Mr. Caldwell, DBS, CPA, has been involved in the establishment and early stage management of a number of technology companies since the mid 1980s. These companies were active in providing design tools and services to diverse industries such as road, mining, airplane and ship design. Mr. Caldwell is also a member of the IEEE.

Dr. Rosenrauch, MSc. Ph.D., joined Optimal Geomatics in 1995 as Director of Research & Development. He was responsible for defining and developing the Company's technological suite. Dr. Rosenrauch's technical expertise includes remote sensing, geoscience, precise positioning systems, and advanced algorithm and software development. Since 2001 Dr. Rosenrauch has managed operations and supervised systems development at Optimal. He has considerable experience in tailoring the Company's applications to meet customers' specifications and objectives, in building technical teams, project management, systems design, and implementation. Prior to joining Optimal, Dr. Rosenrauch was a Senior Research Fellow at the Russian Academy of Sciences where he managed a number of technology projects. Dr. Rosenrauch is also a member of ASPRS (American Society for Photogrammetry and Remote Sensing).

Mr. Verne Pecho, CA and MBA, possesses over 30 years of senior financial management and business experience with several aggressive growth companies within the wireless, geomatics, and aviation industries. Mr. Pecho has served as Chief Financial Officer for both public and private companies including MDSI Mobile Data Solutions Inc, MacDonald, Dettwiler & Associates Ltd, Versacold Corporation, and Okanagan Helicopters Ltd. Mr. Pecho joined Optimal after serving as Chief Financial Officer for Vancouver-based, public high tech software company, MDSI Mobile Data Solutions Inc. ("MDSI?. MDSI specializes in wireless workforce management and dispatch solutions for utility and telecommunications companies worldwide. During his 9 year tenure with MDSI, Mr. Pecho was responsible for managing internal IT, treasury, accounting and purchasing functions. Significant projects included the company's initial public offering on NASDAQ, business acquisitions and dispositions, and the implementation of an Enterprise Resource Planning (ERP) system. Mr. Pecho's experience includes management of interdisciplinary teams, implementation of financial information systems, financial management of large development contracts, capital markets, business acquisitions, and listing and compliance on both the TSX and NASDAQ.

Roger Bannon, FCA, is a business manager with over twenty-five years of experience at the Chief Executive and Finance Director level. His particular expertise is in International markets, notably the USA and the Far East, where he has extensive experience in negotiating and managing joint ventures with substantial multi-national companies, including distribution arrangements, procurement facilities as well as corporate acquisitions and disposals. In recent years Mr. Bannon has been one of the principal shareholders and an executive Director of Rapid Technology Group Plc a company quoted on the Dublin and London Stock Exchanges. He was the executive director charged with the responsibility of overseeing the flotation process. Mr. Bannon has wide-ranging experience in rapidly growing companies, both small and large, having previously worked at a senior level with Coopers & Lybrand and the Smurfit Group. He qualified as a Chartered Accountant in 1975, but has been working mainly in the industrial environment since 1984, concentrating on emerging technology companies.

Mr. Peet has been involved with Guardian since idea conception in 1993. At that time, Mr. Peet provided the financial support necessary to file a patent on the early system design. In 2002 when he saw that the key technological components behind a GPS-based mobile monitoring system were on the near-term commercial horizon, he again provided the initial funding to help launch the company. Today, Mr. Peet serves as the Chairman of the Board, providing invaluable experience and leadership to the company. Mr. Peet is best known as being the former Chief Executive Officer of ALI Technologies (TSE: ALT), a leading medical image management solutions provider. After joining ALI in 1993, Mr. Peet grew ALI from a 14-person development company into a profitable, public technology company with 260 employees and over $40 million in annual revenue. His role in guiding the company's focus on customer satisfaction, technology leadership and service resulted in it being acclaimed as the best PACS (picture archiving communications systems) vendor in the industry, beating out GE Medical and Siemens.

Mr. Somji is the founder, president and CEO of Matrikon. Nizar has over 20 years of experience in the process industry. Under Nizar's leadership, Matrikon grew from a local consulting company to an international solution provider without incurring any debt. He is responsible for Matrikon's finance function and oversees all corporate operations areas, including HR, IT and legal. Nizar is also a director of Optimal Geomatics and CARE Canada.
