Oshkosh Truck Corp.

Robert G. Bohn was appointed CEO in October 1997 and chairman in January 2000. Prior to becoming chairman and CEO, Bohn was president and chief operating officer for Oshkosh Corporation. He also held the position of president of Pierce Manufacturing Inc., an Oshkosh Corporation company, acquired in September 1996. Bohn led Pierce's corporate management team and had overall responsibility for sales and marketing, manufacturing operations, quality, new product development and purchasing at the company. Since joining Oshkosh in May 1992 as group vice president manufacturing, Bohn has directed a substantial reduction in manufacturing hours for commercial vehicles and reductions of inventory space and cost. He was elected to the position as president and chief operating officer (COO) of Oshkosh Corporation in February 1994. He was elected to the Oshkosh Board of Directors in 1995, a position he holds in addition to his responsibilities as chairman and CEO of Oshkosh Corporation. Bohn has extensive experience in growth strategy development and execution, international market development, acquisitions integration, and in maximizing operational efficiency. He came to Oshkosh from Johnson Controls, Inc. European Operations, where he spent considerable time as a global manager. Bohn serves as a director of the following companies: Menasha Corporation, an industry-leading packaging, logistics and marketing services company, and Carlisle Companies Inc., a diversified global manufacturing company serving the construction materials, industrial components and diversified components industries.

Charles L. Szews is the President and Chief Operating Officer (COO) of Oshkosh Corporation responsible for managing the company’s four segments and its supply chain and quality functions. He joined the company in 1996 as vice president and CFO, was appointed executive vice president in October 1997, and appointed to his current position in October 2007. Mr. Szews has been a key member of the company's management team and responsible for executing the company's strategy of growth and diversification through accretive acquisitions. From September 1996 to December 2006, he led Oshkosh's acquisitions, and related financing, of 15 companies which largely contributed to Oshkosh’s sales growth from $0.4 million in 1996 to $6.3 billion in 2007. He served as interim president of JLG Industries, Inc. from acquisition in December 2006 through May 2007 with responsibility for integrating JLG into the company. JLG was accretive to Oshkosh’s earnings by $0.75 per share in fiscal 2007. Mr. Szews had broad responsibility for finance, mergers and acquisitions, investor relations, strategic planning and information services functions until promotion to his current position. Prior to joining Oshkosh, Mr. Szews spent eight years with Fort Howard Corporation, holding a series of increasingly responsible positions, most recently as vice president and controller. He performed a key role in numerous large financing transactions at Fort Howard including a $3.6 billion leveraged buy-out, high-yield offerings and equity offerings. Mr. Szews is a director of Gardner Denver, Inc. He holds a bachelor's degree summa cum laude in business administration from the University of Wisconsin - Eau Claire. He received his certified public accountant certification in 1980 and has 10 years of independent auditing experience with Ernst & Young.

David M. Sagehorn is responsible for directing the company’s overall financial policies, as well as managing all financial functions including accounting, investor relations, credit and insurance. Sagehorn joined Oshkosh in March 2000 in the role of senior manager, mergers and acquisitions, and subsequently assumed roles of increasing responsibility, including director and vice president of business development; vice president, finance for Oshkosh’s defense group; and vice president and treasurer for the corporation before being promoted to his current position. He was also responsible for mergers & acquisitions (M&A) and strategic planning for the corporation, supporting the company’s growth and diversification strategies. Prior to joining Oshkosh, Sagehorn worked in corporate finance at CNH Global (formerly Case Corporation). He began his career at a public accounting firm in Madison, Wis., achieving the position of audit manager. Sagehorn holds a bachelor's degree in accounting from the University of Wisconsin – Platteville and an MBA from Marquette University. He is a certified public accountant.

Matthew J. Zolnowski is Executive Vice President and Chief Administration Officer. He was appointed to this position in September 2002. Since joining Oshkosh Corporation in January 1992 as Vice President, Human Resources and Organizational Development, Zolnowski has assumed responsibility for all administrative functions of the company including: corporate marketing, communications, human resources, labor relations, employee benefits administration, compensation, facilities, workers compensation, travel, and aviation. Zolnowski also serves the company as a trustee of the Oshkosh Corporation Foundation, trustee and chairman of the U.K. pension fund, internally on the Oshkosh Corporation Investment Committee, and on the Board of Directors of Pierce Manufacturing Inc. and McNeilus Companies, Inc. Zolnowski has over 20 years of business experience in positions of increasing responsibility in Fortune 100 companies. He has held various staff positions with Occidental Petroleum Corporation (1981 - 1982), the Frito-Lay, Inc., division of PepsiCo, Inc., (1982-1991) and Rexene Products Company, located in Dallas, Texas (1991-1992). Zolnowski holds a bachelor’s degree and an MBA from the State University of New York - Buffalo.

Bryan J. Blankfield is Oshkosh Corporation’s principal legal officer and a member of the executive management team. He serves as an advisor to the CEO, Board of Directors and other senior management members for all the Company’s business units and reports directly to Robert Bohn, Chairman and Chief Executive Officer. Blankfield also serves as a trustee of the Oshkosh Corporation Foundation and as a director and Executive Vice President and Secretary of the Company’s 65+ subsidiaries, including JLG Industries, Inc., McNeilus Companies, Inc. and Pierce Manufacturing Inc. Blankfield joined Oshkosh Corporation in June 2002. He previously served as in-house legal counsel for Waste Management, Inc., an international waste services company, and its predecessors from 1990 to 2002. He was appointed Associate General Counsel and Assistant Secretary of Waste Management, Inc. in 1995 and Vice President in 1998. From 1987 to 1990, Blankfield was an associate with the Chicago law firm of Bell, Boyd & Lloyd. Blankfield holds a bachelor’s in business administration (accounting major) magna cum laude with departmental honors from Drake University, Des Moines, Iowa. He received his law degree from Northwestern University School of Law, Chicago, in 1987. Blankfield received his certified public accountant certification in 1983. He is admitted to the Illinois Bar and is a member of the American Bar Association, Association of Corporate Counsel and Society of Corporate Secretaries & Governance Professionals.

Donald H. Verhoff is Executive Vice President, Technology. He was appointed to this position in February 2003. Verhoff's career with Oshkosh Corporation spans more than 30 years. He joined the corporation in 1973 as a research and development engineer, and has held progressively more responsibility positions primarily in the areas of engineering and research and development. Verhoff was instrumental in establishing Oshkosh 's world-class New Product Development Center in 1994 and has contributed significantly to all of Oshkosh 's current, major defense programs. He was promoted to Vice President, Corporate Engineering in 1998. Verhoff leads the corporation's new technology and product development, component and systems engineering, electronics engineering, and engineering services. During his tenure, Oshkosh has developed revolutionary truck technologies including TAK-4™ independent suspension, ProPulse® diesel-electric drive, Command Zone® advanced electronics, remote diagnostics, and all-wheel steering. Verhoff himself holds seven patents for his development work. Verhoff holds a bachelor's degree from Purdue University. In addition, he spent four years with the U.S. Air Force in missile operations.

Prior to joining Oshkosh in 2001, Joseph (Jay) H. Kimmitt was most recently assistant staff director and legislative director for the United States Senate Appropriations Committee. In that role, he was responsible for technical analysis and political issues for all 13 annual appropriations bills passed by Congress. Prior to that, Kimmitt held increasingly responsible positions on Capitol Hill, including senior professional analyst on the Defense Appropriations sub-Committee and staff director for the U.S. Senate Appropriations Subcommittee on Military Construction. Kimmitt began his career with the U.S. Army in 1972, spent 11 years on active duty and then served 16 years in the U.S. Army Reserve before retiring in 1999 with a rank of lieutenant colonel. He served in numerous positions at the Department of the Army, Office of the Controller, Office of the Director of Operations and Maintenance, and the Office of the Director of the Army Budget. Kimmitt holds a bachelor's degree in engineering from the United States Military Academy at West Point and holds a master's degree in business administration from Syracuse University. In addition, he graduated from the U.S. Army Command and General Staff College in 1990. Kimmitt is based in Oshkosh's Washington D.C office.

Thomas D. Fenner is Executive Vice President of Global Manufacturing Services for Oshkosh Corporation. Fenner is responsible for improving operational excellence throughout all domestic and international manufacturing facilities across the Corporation’s four business segments – Access, Defense, Fire & Emergency and Commercial. He will spearhead activities to continually improve operational efficiencies, drive lean initiatives, balance production levels and inventories with market demands, improve quality and delivery performance and expand Oshkosh Corporation’s global production capacity. He was appointed to this position in September 2008. Fenner most recently served as Executive Vice President and President of the Fire & Emergency segment. Fenner will continue to serve as a principal officer of the Corporation. Fenner has held increasingly broad and responsible positions since joining the company in 1982, primarily in the areas of operations. In 1998, he was promoted to Vice President of Manufacturing Operations at the company’s refuse and concrete subsidiary, McNeilus Companies, Inc. with primary responsibility for production, quality, procurement and testing of McNeilus® brand commercial products. In 1999, Fenner returned to Oshkosh and assumed the same responsibilities for Oshkosh Corporation’s defense and commercial products. In 2002, he assumed the same responsibilities at the company’s fire apparatus subsidiary, Pierce Manufacturing Inc. In 2004, he returned to Oshkosh as Vice President and General Manager for Airport Municipal Products. Before coming to Oshkosh, Fenner served in the United States Marine Corp. and held positions at E-Z Paint Corp. and Pewaukee Sanitary District.

Ann Stawski was appointed Vice President, Marketing Communications in May 2007. Stawski is responsible for leading the marketing communications department that supports all business units at Oshkosh, guiding corporate brand development, overseeing research to support product development, managing external communications and public relations, and developing corporate licensing and merchandising. Stawski joined Oshkosh Corporation in 2004. She was previously Director, Marketing Communications for Pierce Manufacturing Inc. and Medtec Ambulances, Oshkosh Corporation companies. Prior to joining the corporation, she was with Bombardier Recreational Products and the marketing agency of Bader Rutter & Associates. Stawski was also an adjunct professor at Alverno College, in the business management department. Stawski holds a bachelor of arts degree from Alverno College, Milwaukee, Wis., and a master of arts degree from the University of Wisconsin - Milwaukee.

Mark Radue was appointed Vice President, Business Development in November 2005. He is responsible for mergers & acquisitions (M&A) and strategic planning to support the company’s growth and diversification strategy. Radue joined the Company in May 2005 as Senior Director of Financial Analysis and Controls. In this role, he was responsible for overseeing the company’s process to be compliant with Section 404 of the Sarbanes-Oxley Act of 2002, managed the Oshkosh Truck Division Operations Finance Department and was the company liaison with the outsourced internal audit function. Radue previously worked for Oshkosh in 1997 as Corporate Controller. In 1998 Radue joined Grant Thornton LLP, where he was an audit partner from 2000 to May 2005. In addition to being the client lead on manufacturing and distribution clients, he led several M&A assignments, primarily related to buy-side transaction support. Radue started his career in 1988 at Arthur Andersen, most recently as an audit manager, where he served a client base of public and privately held companies. From 1994 to 1996 he was the Chief Financial Officer for two companies in the flexographic printing industry. Radue holds a bachelor’s of business administration degree in accounting and information systems from the University of Wisconsin – Madison and is a certified public accountant.

Michael Rohrkaste is Vice President, Human Resources. He was appointed to this position in October 2003. Rohrkaste has overall responsibility for human resources initiatives across the corporation and its subsidiaries. These responsibilities include labor and employee relations, people development, compensation, benefits, training, government compliance and staffing. Rohrkaste has over 20 years of extensive human resources and management experience in a variety of industries. Prior to joining Oshkosh in 2003, he spent nine years at Menasha Corporation, most recently as vice president of human resources for the corporation’s largest subsidiary. Here, he had broad human resources responsibilities including chief spokesperson for labor contract negotiating. Before joining Menasha, Rohrkaste held various human resource management positions at Heller Financial (a diversified middle market commercial lender) and Unisys Corporation (a computer and services firm). He began his career at Miller Brewing Company where he held a number of human resources and field sales positions. Rohrkaste holds bachelor’s degree in social science and a master’s degree in labor and industrial relations in social science from Michigan State University.

Michael Guzowski joined the corporation in 1999 as director of information technology for Pierce Manufacturing. In 2003 he was promoted to his current position. Guzowski’s primary responsibility is establishing information technology strategies for the corporation on a global basis with a focus on strengthening business functions through the organization. Prior to joining Oshkosh, Guzowski was director of information technology at Fort James Corporation (now Georgia Pacific). His responsibilities included management of all information technology for 23 manufacturing facilities and 10 distribution centers for the Tissue and Dixie Businesses. He has more than 18 years of experience in information technology management, primarily in the manufacturing environment. Guzowski holds a Bachelor’s Degree in Computer Science from the University of Wisconsin-LaCrosse.

Patrick Davidson has been with Oshkosh Corporation since 2006 as the vice president of investor relations. He is responsible for communications with analysts, investors and financial media. He works cross-functionally with strong support throughout Oshkosh to educate and inform stakeholders regarding the company and its strategies so that Oshkosh is appropriately and accurately valued by the investing community. Prior to his work at Oshkosh, Davidson spent 14 years at Harley-Davidson, Inc. in a variety of positions including factory supervisor, Asia-Pacific marketing, corporate purchasing and director of investor relations. He began his career at Motorola as a product engineer in the semiconductor products sector in Austin, Texas and spent time at S.C. Johnson Wax in Racine, Wisconsin. Davidson holds a bachelor of science degree in Chemical Engineering from the University of Wisconsin-Madison, and a master’s degree in business administration from Northwestern University’s Kellogg School of Management.

Paul R. Gosling was appointed Vice President, Purchasing in August 2005. He is responsible for annual procurement of more than $4 billion in components and materials, strategic supplier relationship management, the implementation of lean throughout the organizations’ purchasing organization and purchasing support of new product development and acquisitions. He also oversees all of the purchasing departments of all of Oshkosh Corporation companies. Gosling has been with Oshkosh Corporation in the purchasing area since 1998. He has held positions within the company as senior buyer, commodity team manager, purchasing manager, director corporate and strategic purchasing before moving into his most recent role of vice president, purchasing. Gosling has a bachelor’s of marketing management from the University of Wisconsin – Milwaukee, and is a retired U.S. Army Officer.

R. Scott Grennier was appointed Vice President and Treasurer in May 2008. He is responsible for Oshkosh’s global treasury operations including banking and cash management, credit and collections, customer finance programs, risk management and international sales support. Prior to joining Oshkosh, Grennier spent 13 years at Johnson Controls, Inc. where he held several treasury positions and had responsibility for all treasury function in the Americas, along with managing the company’s global relationships with all banks and investment firms. Grennier holds a bachelor’s degree from the University of Wisconsin – Whitewater and a master’s degree from Marquette University, Milwaukee, Wis.

Thomas J. Polnaszek is Senior Vice President, Finance and Controller. He was appointed to this position in September 1998 after joining the company as Controller in January 1998. Prior to joining the company, Polnaszek was Chief Financial Officer and Vice President of Finance for Wisconsin Pharmacal Company, Inc., a consumer products manufacturer. He was a key member of the Pharmacal management team responsible for accounting, budgeting and financial reporting, investor relations, treasury, risk management and human resources. Polnaszek helped lead ten public/private equity offerings, which raised $30 million in capital. He led four business acquisitions and one disposition as part of the management team. Polnaszek worked for Ernst & Young from 1978 to 1991, most recently as an audit senior manager where he coordinated audits of private and public companies ranging in size from $1 million to $1 billion in revenues. Polnaszek was actively involved in campus recruiting efforts and served as final technical reviewer on several engagements. Polnaszek holds a bachelor's degree in business administration from the University of Wisconsin- Eau Claire. He received his certified public accountant certification in 1980 and is currently an active member of the Financial Executives International Organization where he has previously served as a board member.

Donald V. Fites, 74, has been a director since November 2004. From 1990 until his retirement in 1999, Mr. Fites served as Chairman and Chief Executive Officer of Caterpillar Inc., a global manufacturer of construction and mining equipment and engines. Mr. Fites currently serves on the Board of Advisors of Thayer Capital Partners, a private equity investment firm.

Mr. Medvin has served as a director of the Company since 2004. Mr. Medvin was Executive Vice President and Chief Financial Officer of Aon Corporation (and its corporate predecessor), a provider of risk management services and insurance brokerage, from 1982 until his retirement in 2003. He is a director of The Warranty Group, Inc., a subsidiary of ONEX Corporation. Mr. Medvin is also a director of two non-profit organizations: Evanston Northwestern Health Care and Ravinia Festival.

Mr. Mosling has served as a director of the Company since 1976, having joined the Company in 1969. He served in various senior executive capacities during his employment with the Company through his retirement in 1994.

Mr. Andersen has served as a Director of the company since 1976. He served as Executive Director of Development for the University of Wisconsin-Oshkosh from 1980 through his retirement in 1994.

Kathleen J. Hempel was elected a director of Whirlpool Corporation in June 1994. She is a member of the corporate governance & nominating committee and the finance committee of the board of directors. Hempel is the former vice chairman and chief financial officer of Fort Howard Corporation. Hempel joined Fort Howard in 1973 and served as vice president – human resources, executive vice president, and senior executive vice president prior to the 1997 merger with James River Corp. to form Fort James Corporation. She had been a member of Fort Howard's board of directors since 1979 until the 1997 merger. Hempel graduated from the University of Wisconsin, Stevens Point, in 1972 with a Bachelor of Science Degree in Business Administration. She earned her MBA from Arizona State University in Tempe in 1984. Hempel currently is a member of the board of directors of Oshkosh Truck Corporation. Hempel served a gubernatorial appointment to the University of Wisconsin System Board of Regents, is a past member of the board of directors of the National Association of Manufacturers, and is a past member of the American Forest and Paper Association's Tissue Division Board.

Mr. Grebe has served as a director of the Company since 1990. He was a partner in the law firm of Foley & Lardner LLP in Milwaukee from 1977 until his retirement in 2002. Mr. Grebe has served since 2002 as President and Chief Executive Officer of the Lynde and Harry Bradley Foundation, a private foundation based in Milwaukee. Mr. Grebe is also a director of the Lynde and Harry Bradley Foundation and Church Mutual Insurance Company. In addition, Mr. Grebe is a director of the Philanthropy Roundtable, a non-profit organization.

Andy Hove is the Executive Vice President and President, Defense for Oshkosh Corporation. He has responsibility for all aspects of the company's defense business including tactical wheeled vehicles programs, aftermarket parts and service, and advanced technology development. Andy joined the company in March 2009. Andy has been involved with military and defense industry management for more than 20 years. He is a former army officer who served in tank and mechanized infantry units for most of his 11-year military career. At BAE Systems, Inc., he served as vice president, Combat Systems Programs, where he was responsible for a portfolio of domestic and international ground vehicle programs, including Bradley Combat Systems. Prior to that, he was employed with United Defense in program management, operations and business development. Andy has an extensive international background through foreign assignments with the U.S. Army and international assignments in industry including FNSS Defense Systems, Turkey, and Vinnel Corporation, Saudi Arabia. Andy holds a bachelor's degree from Nebraska Wesleyan University, a master's degree in national security affairs from the Naval Postgraduate School and a master’s degree in business management from the University of Michigan. He also holds a certificate in program management from the Defense Acquisition University.

Mr. Donnelly has served as a director of the Company since 2001. From 1961 until his retirement in 1999, he held various positions with General Motors Corporation, a manufacturer of motor vehicles, including most recently as President and Group Executive of General Motors, Europe, a division of General Motors Corporation. Mr. Donnelly is an Industrial Partner in Ripplewood Holdings LLC, a private equity investment firm located in New York, New York, where he is responsible for its global automotive supply business. He is also Chairman of Niles Co., Ltd. and Honsel International Technologies S.A., a director of Asahi Tec Corporation and a Trustee of Colonial Williamsburg Foundation.

Retired Chairman of the Board of Directors, Chief Executive Officer and President, Snap-on, Inc., Kenosha, Wisconsin (tool manufacturer). He served as Chief Executive Officer and President from 1991 to 2001 and as Chairman from 1991 to 2002. Mr. Cornog is a director of Oshkosh Truck Corp. and Wisconsin Energy Corp. ( We Energies ). Mr. Cornog serves on the Human Resources Committee (compensation) of Oshkosh Truck Corp. and the Audit Committee of We Energies.

Wilson R. Jones is Executive Vice President and President of Fire & Emergency. The Fire & Emergency group consists of the Pierce®, Oshkosh® Airport Products, Medtec®, Jerr-Dan®, BAI™, Oshkosh Specialty Vehicles, Frontline™ and SMIT™ brands. He is responsible for developing and executing the segment’s growth strategies and continually improving customers’ experience with segment products and aftermarket support. He was promoted to this position in September 2008 He also continues to serve as President of Pierce Manufacturing Inc. where he is responsible for Pierce Manufacturing Inc., Medtec Ambulance Corporation and Kewaunee Fabrications, L.L.C. He has held this position since July 2007. Jones has also served as Vice President of Sales and Marketing for the Fire and Emergency Group. Jones joined Oshkosh Corporation in 2005, as the Vice President and General Manager of the Airport Products Business Unit, where he led a strategic International initiative for the company. Jones has been in specialty vehicle manufacturing for more than 20 years. The last 12 years have been focused in the fire and emergency industry. Jones has served on the Board of Directors for the Fire Apparatus Manufacturers’ Association and the American Ambulance Association. Jones holds a bachelor’s of business administration degree from the University of North Texas.
