Shad L. Burke has served as the Chief Accounting Officer of Outdoor Channel Holdings, Inc. since October 2007 and as our Interim Chief Financial Officer from December 2007 until May 2008, when he became our Chief Financial Officer . He previously served as Vice President of Finance and corporate controller of Dot Hill Systems Corp., a provider of data storage systems, where he also served as Interim Chief Financial Officer from March through July 2006. From April 2004 to July 2005, Mr. Burke held the position of corporate controller at PeopleSupport, Inc., a business process outsourcer. From July 2002 to April 2004, he was a senior manager in the assurance practice of the Los Angeles office of Deloitte & Touche, a public accounting firm. From September 1995 to July 2002, Mr. Burke held various assurance positions with Arthur Andersen, a public accounting firm. Greg Harrigan was promoted to Senior Vice President of Advertising Sales in 2006. He joined Outdoor Channel in 2002 as Director of Advertising Sales and was promoted to Vice President Advertising Sales in 2003. Prior to joining Outdoor Channel, he worked for Comcast from 1994 to 2001 in the Advertising Sales division, most recently as Advertising Sales Manager. Prior to joining Salem Partners, Mr. Merritt founded and ran Gerard Klauer Mattison's Entertainment Media Advisory Group, which focused on financial advisory services to the entertainment and media industries. Previously, Mr. Merritt spent 24 years at KPMG LLP, one of the four international accounting and consulting firms, including 14 years as a partner. From 1989 to 1998 he served as the National Partner-in-Charge of the Media Entertainment Practice. During this period he had direct partner responsibilities for many of the largest clients of KPMG, including four of the major studios, two major television networks and several independent producers. From 1999 through 2000, Mr. Merritt was the Chief Financial Officer to Artists Management Group, a major talent management company and Artists Television Group, a major independent television producer. Mr. Merritt currently serves on the Board of Directors of Charter Communications, Inc. and Laser Pacific Media Corporation.

Bahns Stanley has been a director of Outdoor Channel Holdings since January 2004. He also serves on the board's Audit Committee. From 1991 to 2003, Mr. Stanley served in various positions for Landmark Communications, Inc., most recently as Executive Vice President Strategy and Development for The Weather Channel Companies. While with Landmark, he was responsible for strategy, new business development, operations of various properties of the company including The Travel Channel and The Weather Channel. From 1985 to 1991, Mr. Stanley held the position of Vice President Investment Banking with Scott & Stringfellow (now a division of BB&T Corporation) conducting public offerings, private placements, mergers, acquisitions and financial advisory activities. From 1980 to 1985, Mr. Stanley held various positions with Land mark Communications including New Venture Analyst, Director of Cable Sales and Marketing, as well as Director Business Development at Cable and Broadcast, at which he developed strategy and tactics to convert The Weather Channel from a free service to subscriber fee based service. From 1978 to 1980, Mr. Standey served Worrell Newspapers and Broadcasting, Inc. as Publisher and Editor of Sanford ME Star and President and Publisher of Princeton WV Times. Mr. Stanley earned his bachelor's degree from Duke University and his master's in business administration from the University of Virginia.

Michael Pandzik has been a director of Outdoor Channel Holdings since June 2007. Mr. Pandzik is widely recognized as the founding president of the National Cable Television Cooperative (NCTC), having served in this role from inception in late 1984 until 2005. Starting with just ten Midwestern cable operators and 110,000 subscribers, Mr. Pandzik began purchasing cable programming networks, equipment and services in large master contracts on behalf of the membership. Over a 21-year tenure as the NCTC’s leadership, he guided the co-op to become a cable powerhouse with the addition of 1,700 member companies and 8,000 franchised cable systems, embodying 10 million subscribers across the U.S. — a subscriber base that today surpasses every multiple service operator but one. During this time, Mr. Pandzik also served on the board of C-SPAN for nearly 10 years, was inducted into the Cable Television Pioneers in 1992 and was listed as one of the Top-100 most influential personalities in the cable industry by CableFAX. Previously, he served HBO as director of new business development in the network’s New York City office from 1982 to 1984 and as regional director in the Kansas City sales and marketing office from 1978 to 1982. Prior to that, he was with Hallmark Cards as a TV director for the company’s Crown Center project in Kansas City. Mr. Pandzik holds a B.S. from the University of Nebraska and a M.S. from Kansas University.
