Pacific Mercantile Bancorp is a California corporation that owns all of the stock of Pacific Mercantile Bank, a California state chartered commercial bank (which, for convenience, will sometimes be referred to in this report as the Bank). The capital stock of the Bank is our principal asset and substantially all of our business operations are conducted by the Bank which, as a result, accounts for substantially all of our revenues and income. As the owner of a commercial bank, Pacific Mercantile Bancorp is registered as a bank holding company under the Bank Holding Company Act of 1956, as amended (the Bank Holding Company Act) and, as such, our operations are regulated by the Board of Governors of the Federal Reserve System (the Federal Reserve Board). See Supervision and Regulation below in this Report. For ease of reference, we will sometimes use the terms Company, we or us in this Report to refer to Pacific Mercantile Bancorp on a consolidated basis and PM Bancorp or the Bancorp to refer to Pacific Mercantile Bancorp on a stand-alone or unconsolidated basis.

Raymond E. Dellerba is the President and Chief Executive Officer, and also serves as a member of the Boards of Directors, of PM Bancorp and PM Bank. Mr. Dellerba has worked in the banking industry for more than 30 years. He served as the President and Chief Operating Officer and as a director of Eldorado Bank, and also as Executive Vice President and a director of Eldorado Bancorp, based in Tustin, California, from February 1993 to June 1997. Mr. Dellerba has a Bachelor of Science degree in management, and a Masters of Business Administration with emphasis in organizational management and finance from Pepperdine University. Additionally, he has completed post graduate work at the University of Pennsylvania, Wharton School of Business Administration, with certificates issued in Integrating Finance and Marketing; and in Mergers and Acquisitions. Mr. Dellerba formerly taught evening classes in Strategic Management and Business Policies at California State University, Fullerton.

Mr. Bradford C. Hoover , age 50, has been the Bank s Chief Credit Officer since March 2001. From 1993 through 1998, Mr. Hoover was a Senior Vice President/Regional Manager for Eldorado Bank at its Newport Beach Office. After the sale of Eldorado Bank, from 1998 to April 2000, Mr. Hoover was its interim Chief Credit Officer. He joined Pacific Mercantile Bank in May 2000 as Senior Vice President-Loan Administration and was promoted to the position of Chief Credit Officer in March 2001. Ms. Gray was born in Dallas, Texas and grew up in the Dallas/Ft. Worth area. She graduated from The University of Texas at Arlington with a Bachelor of Business Administration in Accounting and is a Certified Public Accountant in Texas. She began her banking career in 1971 with First City Bank in Dallas as an accountant. In 1980, she joined First RepublicBank Oak Cliff as Vice President and Controller. Ms. Gray was promoted to Senior Vice President and CFO/Controller in 1982. She served as an inside director of First RepublicBank Oak Cliff from 1987 to 1988. In 1988, Ms. Gray continued her banking career at NCNB of Texas as a Senior Vice President and Business Line Controller for Mortgages, Credit Cards, Student Loans, Asset Based Lending, Middle Market, Trust and Private Banking. She oversaw financial reporting and strategy planning for the various units. After the merger of NCNB and C&S to form NationsBank in 1992, Ms. Gray was transferred to Atlanta, Georgia as Senior Vice President and Executive Financial Manager for the Private Client Group for which she developed nationwide financial reporting and strategies. Ms. Gray assumed the role of Senior Vice President and Executive Financial Manager for Bank of America Private Bank West located in Los Angeles during 1999. On May 1, 2002, Ms. Gray joined Pacific Mercantile Bank, headquartered in Costa Mesa, California, as Executive Vice President and Chief Financial Officer.

Robert W. Bartlett joined Pacific Mercantile Bank as its Senior Executive Vice President and Chief Operating Officer on October 31, 2008. Mr. Bartlett, a well respected local banker, brings a wealth of expertise to the Bank in the areas of commercial lending and credit, loan administration and risk management, strategic planning and executive management. Mr. George H. Wells, age 66, has served as the Chairman of the Board and as a Director of Pacific Mercantile Bancorp and Pacific Mercantile Bank since the respective dates of their inception. Mr. Wells is a private investor. Mr. Wells was a founding director of Eldorado Bank in 1972, and served as Chairman of that bank and of its parent holding company, Eldorado Bancorp, from 1979 to 1997, when it was sold. Gary M. Williams joined the Pacific Mercantile Bank Board as a Director in January of 2007, and a Director of Pacific Mercantile Bancorp in July of 2007 and is the Chairman of the Nominating Committee of Bancorp. John Thomas, M.D., has served as a Director of Pacific Mercantile Bancorp and Pacific Mercantile Bank since the respective dates of their inception. Dr. Thomas is a licensed physician who has been engaged in the private practice of medicine, specializing in Radiation Oncology, for over 18 years. Matthew F. Schafnitz joined the Pacific Mercantile Bancorp Board and the Pacific Mercantile Bank Board as a Director in March of 2008. Matt Schafnitz, along with partner Jim Brakke, founded Brakke-Schafnitz Insurance Brokers in 1971, of which Mr. Schafnitz has been the Chief Executive Officer of the firm since it founding. Brakke-Schafnitz has grown to hold $250 million in premiums and continues to grow, covering all lines of commercial insurance, as well as worker’s compensation, and personal lines.
