In January 2007, Palatin entered into an exclusive global licensing and research collaboration agreement with AstraZeneca AB to discover, develop and commercialize compounds that target melanocortin receptors for treatment of obesity, diabetes and related metabolic syndrome. The collaboration agreement was amended in June and December 2008 to include additional compounds developed by Palatin. The collaboration is based on Palatin's melanocortin receptor obesity program and includes access to compound libraries, core technologies and expertise in melanocortin receptor drug discovery and development. Under the terms of the agreement, Palatin received an up-front payment of $10 million from AstraZeneca. Under the December 2008 amendments, Palatin received an additional up-front payment of $1.6 million from AstraZeneca, and has received milestone payments totaling $5 million. Palatin is eligible for milestone payments totaling to $300 million, with up to $180 million contingent upon development and regulatory milestones and the balance on achievement of sales targets, together with the payment of royalties on sales of approved products. AstraZeneca assumed responsibility for product commercialization, product discovery and development costs, with both companies contributing scientific expertise in the research collaboration. In addition, Palatin is providing research services to AstraZeneca at a contractual rate per full-time-equivalent employee.

r. Spana, co-founder of Palatin, has been our chief executive officer and president since June 14, 2000. He has been a director of Palatin since June 1996 and has been a director of our wholly-owned subsidiary, RhoMed Incorporated, since July 1995. From June 1996 through June 14, 2000, Dr. Spana served as an executive vice president and our chief technical officer. From June 1993 to June 1996, Dr. Spana was vice president of Paramount Capital Investments, LLC, a biotechnology and biopharmaceutical merchant banking firm, and of The Castle Group Ltd., a medical venture capital firm. Through his work at Paramount Capital Investments and The Castle Group, Dr. Spana co-founded and acquired several private biotechnology firms. From July 1991 to June 1993, Dr. Spana was a Research Associate at Bristol-Myers Squibb, a publicly traded pharmaceutical company, where he was involved in scientific research in the field of immunology. Dr. Sharma is vice president and chief scientific officer at Palatin Technologies, Inc., and has been with the company since 1995. He is the inventor of Palatin's proprietary, MIDAS drug discovery platform. Dr. Sharma is a peptide chemist with more than 18 years of experience in the areas of peptide research, drug design and discovery. Prior to joining Palatin, Dr. Sharma was a research scientist in the research group of Prof. Victor J. Hruby, of the University of Arizona, Tucson from 1988 to 1994. Dr. Hallam joined Palatin in May, 2005 as executive vice president of research & development. He possesses over 20 years of drug discovery and development experience within the pharmaceutical industry. From 1996 to 2005, Dr. Hallam held key senior management leadership positions within AstraZeneca R&D, including vice president of biologics based out of the UK, vice president of respiratory and inflammation research based in Sweden and vice president of medical affairs within the US. During this time, Dr. Hallam developed and implemented programs to broaden the firm’s portfolio of products, established strategic partner relationships and defined new discovery strategies. From 1985 to 1995, Dr. Hallam served at progressively senior management positions within Smith Kline & French Research, Glaxo Group Research and Roche Research. His accomplishments include development of numerous drug candidates for a variety of indications, including asthma, rheumatoid and osteo-arthritis, multiple sclerosis and transplant rejection. Dr. Hallam joined the pharmaceutical industry after a post-doctoral fellowship at the Physiological Laboratory, University of Cambridge, UK. He earned his Ph.D. in biochemistry from the University of London and his B.Sc. from the University of Leeds.

John Prendergast, Executive Chairman and CEO, is a biopharmaceutical executive who has been involved in the financing and corporate development of early to mid-stage biotechnology companies over the past 15 years. Christopher Steidle, M.D., attended Tulane University and graduated Magna Cum Laude with a B.S. degree in Parasitology. He received his M.D. degree in 1983 from the University of Virginia School of Medicine where he gained extensive research experience, including studies conducted through the National Institutes of Health. In 1989, he completed his general surgical training in urology at Indiana University Hospital where he had become chief resident. He has served as a visiting scientist at Eli Lilly in Indianapolis, Indiana, where his work centered on the pharmacologic receptor identification in the genitourinary tissues of various species, with special emphasis on the identification of serotonin receptor sub-types. Currently, Chris works in his own practice in Fort Wayne, Indiana and is a Clinical Associate Professor of Urology at the Indiana University School of Medicine. He has been actively involved in clinical research since 1989 specializing in male and female sexual dysfunction as well as urinary incontinence, prostate cancer and infectious diseases. Dr. Michael A. Perelman is the Co-Director of the Human Sexuality Program, Payne Whitney Clinic of the New York Presbyterian Hospital in New York City. He has been affiliated with this program, founded by his late mentor Dr. Helen S. Kaplan, for over twenty-five years. He holds a joint appointment on the faculty in both Psychiatry and in Urology at Weill Medical College of Cornell University. He also is the Senior Consulting Psychologist/Sex Therapist at the NY Center for Human Sexuality, holding an appointment in the Department of Urology, Columbia University, Columbia Presbyterian Medical Center. Additionally, he is the Senior Consulting Sex Therapist to the Department of Urology at Greenwich Hospital. A National Institute of Mental Health Fellow, he received his MS, M.Phil., and Ph.D. degrees in clinical psychology from Columbia University, writing the first sex therapy doctoral dissertation in Columbia's history. Dr. Perelman was Chief Intern in Medical Psychology at Duke University Medical Center. He was a 1974 Postdoctoral Fellow in sex therapy at Cornell's Human Sexuality Program of the Payne Whitney Clinic, New York Presbyterian Hospital. Dr. Perelman is a New York State certified psychologist and is listed in the National Register of Health Service Providers in Psychology. He maintains an independent practice in Manhattan, specializing in sex and marital therapy. He is certified by the American Association of Sex Educators, Counselors and Therapists (AASECT) as a sex educator, therapist and supervisor. He has served on several boards of directors including The Society for Sex Therapy and Research (SSTAR) and AASECT. He is a member of over twenty other professional societies, including the American Psychological Association, the American Urological Association (AUA), the Society for the Scientific Study of Sex (SSSS), the International Society for Sexual and Impotence Research (ISSIR), and the International Society for Study of Women's Sexual Health (ISSWSH). Robert A. Kloner, MD, PhD, is Professor of Medicine in the Cardiovascular Division, Keck School of Medicine of the University of Southern California, in Los Angeles. He is also Director of Research at the Heart Institute of Good Samaritan Hospital in Los Angeles and attending cardiologist at Los Angeles County/University of Southern California Medical Center. Dr Kloner received his MD in the honors program in medical education and his PhD from Northwestern University The Feinberg School of Medicine in Chicago, Illinois, and is a member of the Alpha Omega Alpha honor society. He completed an internship and residency in internal medicine at Brigham and Women's Hospital (formerly Peter Bent Brigham Hospital) in Boston, Massachusetts. Additional training included clinical and research fellowships in medicine and cardiology at Harvard Medical School and Brigham and Women's Hospital. He served as Assistant and then Associate Professor of Medicine at Harvard Medical School and as an attending cardiologist at Brigham and Women's Hospital. Dr Kloner is a fellow of the American College of Cardiology, an inaugural fellow of the Council on Basic Cardiovascular Sciences of the AHA, and was elected to the American Society of Clinical Investigation. Dr. Taber has been a director since May 2001. Dr. Taber began his career in the pharmaceutical industry in 1962, holding a succession of positions within Schering Corporation’s biological research group before leaving in 1982 as a director of biological research.
