JOSEPH P. CARUSO. Mr. Caruso has served as one of our directors since October 2001. Since May 2002, Mr. Caruso has served as our Chief Executive Officer and President. From May 2001 to May 2002, Mr. Caruso served as our President and Chief Operating Officer. From 1992 until May 2002, Mr. Caruso served as our Chief Financial Officer. From 1981 to 1992, Mr. Caruso was Chief Financial Officer for a private manufacturing company and a manager with an international public accounting firm. Mr. Caruso is a Certified Public Accountant and a graduate of Merrimack College.

Mr. Baraw joined the Company in March 1996. Mr. Baraw currently serves as our Chief Accounting Officer and is responsible for the accounting, internal and external financial reporting, internal controls and information technology. Mr. Baraw was also strategically involved in restructuring the Company over the past few years. From 1992 to 1996, Mr. Baraw was the Corporate Controller for a private manufacturing company and had previously worked in an international public accounting firm. Currently, Mr. Baraw serves as a member of the Financial Executive Institute and the American Institute of Certified Public Accountants. Mr. Baraw is a graduate of Northeastern University.

Dr. Smotrich has served as the Company's Chief Technical Officer since 1997. From August 1994 through 1997, Dr. Smotrich served as the Company's President and a Director. Dr. Smotrich was a consultant to Dymed from May 1992 until its merger with Palomar in September 1992, at which time he became the Company's Executive Vice President, Chief Operating Officer, Secretary and a Director. From July 1988 until May 1991, Dr. Smotrich was an independent consultant specializing in the development and manufacture of laser based medical products. Dr. Smotrich was Vice President of Operations at Candela Laser Corp. from June 1987 to June 1988, where he was responsible for medical laser production and product development. From July 1984 to June 1987, as Corporate Vice President of Research and Development, Dr. Smotrich was responsible for the design and development of surgical laser products at Merrimack Laboratories, Inc., which was acquired by the LaserSonics division of Cooper Laboratories, Inc. From 1972 to 1984, Dr. Smotrich was Vice President in charge of the Electro-Optics Group at Avco Everett Research Laboratory, Inc., working in the laser technology field. Dr. Smotrich received a certificate from the Advanced Management Program at Harvard Graduate School of Business Administration and has a B.S. in Physics from the Massachusetts Institute of Technology and an M.S. and Ph.D. in Physics from Columbia University.

Dr. Altshuler joined the company to lead the research and development in 1996. He was professor and head of department of Quantum Electronics and Biomedical Optics of St. Petersburg Institute of Fine Mechanics and Optics, largest optical university of Russian Federation. From 1993 to 1996, he was Vice President of Research and Development for Laser Medical System G.m.b.H., Vienna, Austria. From 1989 to 1996, Dr. Altshuler was a general manager for Laser Center of St. Petersburg. Since 1980 Dr. Altshuler has lead more then 25 projects of development laser systems for medicine, dentistry, space and industrial applications. He is author of 140 papers and 50 patents. Dr. Altshuler has a M.S., Ph.D., D.Sc. and professor in laser physics and optics from St. Petersburg Institute of Fine Mechanics and Optics.

Ms. Davis joined the Company in August 2001. Ms. Davis is a Registered Patent Attorney and has over ten years of legal experience with high tech companies. As General Counsel to Palomar, Ms. Davis is responsible for legal functions including intellectual property protection and licensing, corporate issues, FDA regulatory issues, contract negotiation, litigation and labor issues. Prior to joining Palomar, Ms. Davis served as Corporate and IP Counsel to telecommunication start-up, Equipe Communications Corporation. Prior to joining Equipe, Ms. Davis served as Senior Patent Counsel to Boston Scientific Corporation, and prior to that, Ms. Davis was an Associate with the law firm of Fish & Richardson. Before becoming an attorney and after receiving a BSEE from Northeastern University, Ms. Davis held various engineering positions at Digital Equipment Corporation including Design Engineer and Senior Design Engineer. Ms. Davis left engineering to work in Digital's Legal Department as a patent agent while she attended night law school and received her Juris Doctor, Magna Cum Laude from Suffolk University Law School.

Paul Wiener joined the company on February 1, 2000 as Vice President of Sales to lead Palomar's sales organization. Paul has more than 20 years of experience in selling medical lasers for numerous applications. In 1991, Paul Wiener was a co-founder of Continuum Biomedical, Inc. (ConBio) and served as Vice President of Sales and Marketing and Clinical Applications. Prior to ConBio, Paul Wiener was Vice President of Sales for Metalaser Technologies and Regional Sales Manager for Cooper Lasersonices and Molectron, Inc. Paul Wiener holds a B.A. and B.S. from Lehigh University and a M.S. from New Jersey Institute of Technologies.

Mr. Armstrong joined Palomar Medical Technologies, Inc. in 1996 to oversee global customer service operations. In 1997 he was promoted to Vice President of Quality, Regulatory and Customer Service. Since 2001 he has held the position of Vice President of Operations and is currently responsible for product development, manufacturing, customer service, quality assurance and regulatory affairs. Prior to joining Palomar Medical Technologies, Inc., Mr. Armstrong held numerous positions within the medical and industrial laser industry. The majority of this time was spent working with Visx Inc., during the early development and pre-market approval of PhotoRefractive Keratectomy. This procedure is now one of the most common surgical procedures performed throughout the world and is performed with an excimer laser, which uses a cool ultraviolet light beam to precisely remove ("ablate") very tiny bits of tissue from the surface of the cornea in order to reshape it.

Prior to joining Palomar in September 2003, Jeff Knight ran a successful medical laser distributorship that was the top US distributor for Palomar. In addition, his business carried a number of different systems ranging from noninvasive cosmetic systems to urological and ophthalmic lasers, selling hundreds of lasers over the preceding years for use in hospitals and private practice settings. Product lines included systems from LaserSonics, Candela, LaserSight, Sciton and Continuum Biomedical for which he also was a top performer. A graduate of Colgate University with a Bachelor of Science degree in Economics, Mr. Knight has over twenty years experience in medical sales, seventeen of which focusing on lasers. During his tenure with Palomar, Mr. Knight has overseen a 40% growth in yearly sales revenues and has tripled the company’s North American sales force

New York Plastic Surgeon specialist, Kenneth Owen Rothaus, M.D. earned his bachelor of science degree at Yale College, graduating Magna Cum Laude and with honores insignes in biologia. He then continued on to Harvard Medical School, where he graduated Cum Laude. Dr. Rothaus completed both his surgical internship and residency at the prestigious Columbia Presbyterian Medical Center. He then went on to a plastic surgery residency at The New York Hospital-Cornell Medical Center. Also completing a microsurgical fellowship at the University of Louisville, Dr. Rothaus passed the rigorous examinations required to become board certified in plastic surgery in 1982. Dr. Rothaus shares his extensive knowledge of New York Plastic Surgeon in his capacity as a Clinical Assistant Professor of Surgery at Cornell University Medical College. He is also an Assistant Attending Physician at The New York Hospital and a Visiting Associate Physician at The Rockefeller University Hospital. Dr. Rothaus' professional memberships include the American Society of Plastic Surgery (ASPS), the American Society of Aesthetic Plastic Surgery (ASAPS), The American Society of Reconstructive Microsurgery, the American Society of Laser Medicine and Surgery, the American Society of Hair Restoration, and the New York State Medical Society. As a member of these societies, Dr. Rothaus stays abreast of the latest cosmetic and reconstructive surgery techniques, enabling him to offer the best service to his patients. Dr. Rothaus has also written numerous published research papers on the subjects of breast reconstruction, computer use in reconstructive facial surgery, cleft palate repair innovations, hand surgery, restoring amputated extremities, and knee reconstruction. A. Neil Pappalardo, founder of MEDITECH, is the Chairman and Chief Executive Officer, and has been a Director since 1969. He is also a Director of Palomar Medical Technologies, Inc.

LOUIS P. VALENTE. Mr. Valente has served as one of our directors since February 1, 1997. Mr. Valente currently serves as our Executive Chairman of the Board of Directors. From May 14, 1997 through May 15, 2002, he served as our Chief Executive Officer, and on September 15, 1997, he became our Chairman of the Board. From 1968 to 1995, Mr. Valente held numerous positions at Perkin Elmer, Inc. (formerly EG&G, Inc.), a provider of drug discovery, research and clinical screening products, services and technologies for the life science industry in addition to products for aerospace, chemical, environmental, medical, photography, security and other global arenas. In 1968, he began his career at EG&G, Inc. as an Assistant Controller and held executive positions, including Corporate Treasurer, before becoming Senior Vice President of EG&G, Inc., presiding over and negotiating acquisitions, mergers and investments. Mr. Valente serves as a director of Medical Information Technology, Inc. and MKS Instruments, Inc., both of which are publicly held companies. Mr. Valente is a Certified Public Accountant and a graduate of Bentley University.

JEANNE COHANE. Ms. Cohane has been one of our directors since June 7, 2000. Ms. Cohane has over eighteen years of experience in the cosmetic business. Ms. Cohane has spent most of her career in the retail beauty market where she was a senior member of the Crabtree & Evelyn management team and served as Managing Director of their private label company. Crabtree & Evelyn, an international company, is well known and respected for its beauty products and consumer based market approach. Ms. Cohane has many years of experience in strategic planning, business development and product expansion, leadership and management of all areas of operations.

Dr. Economou formerly served as chief executive officer of Confluent Photonics Corporation, a supplier of optical transport systems for the CATV and telecommunications industries. Earlier, Dr. Economou was chairman, president and CEO of Micrion Corporation where he served as CEO for ten years, seeing the company through a turnaround in 1990, its initial public offering in 1994, and a second public financing in 1994. During 1998-1999, he successfully completed merger negotiations with FEI/Philips, culminating in the acquisition of the company in August of 1999. Previously, he had served at MIT Lincoln Laboratory and at Bell Laboratories. Dr. Economou holds a B.A. degree in physics from Dartmouth College, and M.A. and Ph.D. degrees in physics from Harvard University.
