Mr. Shrader has been a shareholder in the law firm of Sprouse Shrader Smith, Amarillo, Texas, since January 1993. He has also served as a director of Hastings Entertainment, Inc. since 1992. Mr. Shrader is Chairman of the Board of Directors of Parallel and is Chairman of the Corporate Governance and Nominating Committee.

Mr. Oldham is a founder of Parallel and has served as an officer and Director since its formation in 1979. Mr. Oldham became President of Parallel in October 1994, and served as Executive Vice President prior to that time. Effective January 1, 2004, Mr. Oldham became Chief Executive Officer. Mr. Oldham received a Bachelor of Business Administration degree from West Texas State University in 1975.

Donald E. Tiffin, 48, served as Vice President of Business Development from June 2002 until January 1, 2004 when he became the Chief Operating Officer. From August 1999 until May 2002, Mr. Tiffin served as General Manager of First Permian, L.P. and from July 1993 to July 1999, Mr. Tiffin was the Drilling and Production Manager in the Midland, Texas office of Fina Oil and Chemical Company. Mr. Tiffin graduated from the University of Oklahoma in 1979 with a Bachelor of Science degree in Petroleum Engineering.

Steven D. Foster, 50, has been the Chief Financial Officer of Parallel since June 2002. From November 2000 to May 2002, Mr. Foster was the Controller and Assistant Secretary of First Permian, L.P. and from September 1997 to November 2000, he was employed by Pioneer Natural Resources, USA in the capacities of Director of Revenue Accounting and Manager of Joint Interest Accounting. Mr. Foster graduated from Texas Tech University in 1977 with a Bachelor of Business Administration degree in accounting. He is a certified public accountant.

Mr. Bayley has been Vice President of Corporate Engineering since July 2001. From October 1993 until July 2001, Mr. Bayley was employed by Parallel as Manager of Engineering. From December 1990 to October 1993, Mr. Bayley was an independent consulting engineer and devoted substantially all of his time to Parallel. Mr. Bayley graduated from Texas A&M University in 1978 with a Bachelor of Science degree in Petroleum Engineering. He graduated from the University of Texas of the Permian Basin in 1984 with a Master's of Business Administration degree.

Mr. Rutherford has been Vice President of Land and Administration of Parallel since July 2001. From October 1993 until July 2001, Mr. Rutherford was employed as Manager of Land/Administration. From May 1991 to October 1993, Mr. Rutherford served as a consultant to Parallel, devoting substantially all of his time to Parallel's business. Mr. Rutherford graduated from Oral Roberts University in 1982 with a degree in Education, and in 1986 he graduated from Baylor University with a Master's degree in Business Administration.

Ray M. Poage has been a director of the Company since August 2007. Mr. Poage was a partner in KPMG LLP from 1980 to June 2002 when he retired. Mr. Poage s responsibilities included supervising and managing both audit and tax professionals and providing accounting services, primarily in the area of taxation, to private and publicly held companies engaged in the oil and natural gas industry. Since June 2002, Mr. Poage has been involved in private investments. Mr. Poage is a director of Parallel Petroleum Corporation. Mr. Poage received a Bachelor of Business Administration degree in Accounting from Texas Tech University, and is a certified public accountant.

Ed Nash graduated Cum Laude from Texas A&M University with degrees in both Biology and History. He then earned his medical degree from University of Texas at Houston Medical School. He went on to complete both internship and residency training in Physical Medicine & Rehabilitation at Baylor College of Medicine / University of Texas Medical School Alliance. Dr. Nash is a physiatrist, a doctor who treats medical conditions that can cause pain or limit function. Physiatrists see patients of all ages experiencing a wide range of problems from sore shoulders to muscle weakness that may make it difficult to function at home, in the workplace or during recreational activities. Dr. Nash will use techniques ranging from detailed medical histories and examination to specialized nerve conduction studies to diagnose a multitude of medical conditions. When evaluating patients, he considers the impact of their condition on the whole person not only medically but emotionally and vocationally.

Martin B. Oring is a recognized expert in the areas of analyzing business problems, identifying cost reduction opportunities, developing new financial products, and negotiating and implementing transactions. He formed Wealth Preservation, LLC in 2001, and has extensive previous management experience including Managing Director Executive Services of Prudential Securities, Manager of Capital Planning at Chase Manhattan Corporation, and Manager, Capital Markets & Investment Banking at Mobil Corporation. Mr. Oring is also currently a director of Parallel Petroleum Corporation.

Thomas W. Ortloff is an attorney with the law firm of Lynch, Chappell & Alsup in Midland, Texas and is the Corporate Secretary for Parallel Petroleum Corporation.
