PC Mall Inc.

Mr. Freix joined PC Mall in 2002 as Senior Vice President of Business Development for the company's SMB operations. Today, Mr. Freix is President of PC Mall Sales and is responsible for all aspects of the PC Mall Sales company. Prior to joining PC Mall, Mr. Freix served as the Chief Executive Officer of NexGen Solutions, Inc., an internet marketing provider. Mr. Freix also previously served in a variety of senior management roles with Dell, Inc., including sales and marketing director roles related to Dell's consumer and SMB businesses. Additionally, Mr. Freix has previously served executive roles in sales, marketing and operations with companies primarily in the technology industry. Mr. Freix graduated from the School of Engineering at Auburn University.

Mr. Newton recently became an advisor to our Board of Directors in April 2008. Mr. Newton is currently the General Counsel, Secretary and Chief Human Resource Officer for PC Mall, Inc., a $1.5 billion annual revenue publicly traded value-added director marketer of IT products, services, solutions and consumer electronics and a leading company in Internet commerce for more than a decade. In his executive positions with PC Mall, Mr. Newton is actively involved in most areas of PC Mall's strategic planning and operations including, mergers and acquisitions, corporate governance and public company compliance, securities offerings, numerous Internet commerce sales and marketing initiatives, legal compliance, litigation management, risk management and human resources for more than 2000 employees operating in multiple countries. Prior to joining PC Mall in June of 2004, Mr. Newton was a partner and associate with several large international law firms where he assisted companies, venture capital and private equity funds and investment banks in venture capital finance transactions, general corporate advise focused on emerging growth company issues and public and private mergers and acquisitions. Mr. Newton has significant experience working with boards of directors, executive management and investors in developing emerging growth companies. Mr. Newton received a B.B.A and J.D. from the University of Texas at Austin with Highest Honors and Honors, respectively.

Mr. DeVries has served as Executive Vice President - Marketing since February 1996 and was a Senior Vice President from October 1994 to that time. Mr. DeVries is currently responsible for all aspects of the consumer business at PC Mall, Inc., including sales and marketing. From April 1993 to October 1994, he held various sales and marketing positions with the company. From July 1988 to April 1993, Mr. DeVries was a Regional Manager for Sun Computers, a computer retailer. Mr. DeVries attended the University of Michigan.

Mr. Hayek joined the company in March 2008 as Executive Vice President, Corporate Development and Investor Relations. From August of 2000 to March 2008, Mr. Hayek worked in corporate finance at Raymond James & Associates, an investment banking firm, where he most recently served as a Senior Vice President and headed the firm's Supply Chain Technologies Practice. Before joining Raymond James, Mr. Hayek was an investment banker in the technology group at Wachovia Securities. Mr. Hayek also worked for the Eastman Kodak Company. Mr. Hayek holds an MBA from Duke University's Fuqua School of Business and a B.S. in Business from Miami University in Oxford, Ohio.

Mrs. Rogers joined the company in February 2000 and was appointed as Executive Vice President - Sales in June 2001. Mrs. Rogers in her current role is responsible for all sales and marketing functions of the company. Prior to joining the company, Mrs. Rogers held a variety of positions with Merisel, a computer wholesale distributor from 1980 through 1999, most recently as Senior Vice President and General Manager of the U.S. region. In addition, Mrs. Rogers spent one year (1997) as Executive Vice President and General Manager of the U.S. region for Micro Warehouse, Inc., a direct marketer based in Norwalk, Connecticut. Mrs. Rogers received a B.A. degree in Political Science from Bates College (Lewiston, Maine). Mrs. Rogers also serves as the Vice President of the HP SMB Advisory Council.

Mark C. Layton , age 49, has served as Chairman of the Board, President and Chief Executive Officer of PFSweb since its inception in 1999. Mr. Layton previously held the following positions with Daisytek International Corporation ( Daisytek ), a leading global distributor of consumable computer supplies and office products and the former parent corporation of the Company: Chairman of the Board from September 1999 to October 2000; President, Chief Executive Officer and Chief Operating Officer from April 1997 to February 2000; Director from 1988 to October 2000; President, Chief Operating Officer and Chief Financial Officer from 1993 to April 1997; Executive Vice President from 1990 to 1993; and Vice President Operations from 1988 to 1990. Prior to joining Daisytek, Mr. Layton served as a management consultant with Arthur Andersen & Co., S.C. for six years through 1988 specializing in wholesale and retail distribution and technology.

Paul C. Heeschen joined our board of directors in January 1996. In February 2001, the board of directors elected him as Chairman. For the past 15 years, Mr. Heeschen has been a Principal of Heeschen & Associates, a private investment firm. He is also the sole general partner of Sequoia Enterprises, LP, and D.C.H., LP, each of which are stockholders of Diedrich Coffee. Sequoia Enterprises, LP is also a lender to the company as further discussed under the section entitled “Certain Relationships and Related Transactions” beginning on page 13. Mr. Heeschen serves on the board of directors of PC Mall, Inc., a publicly traded supplier of technology solutions for business, government and educational institutions, as well as consumers.
