PharmAthene Inc.

Eric I. Richman has served as a Director of our company since December 29, 2004. Since October 2003, Mr. Richman has been Vice President, Business Development and Strategic Planning at PharmAthene, Inc., a private biotechnology company. From 2000 to 2003, he was Vice President, Corporate Development at MaxCyte, Inc., a private biotechnology company. Mr. Richman was part of the founding team at MedImmune, Inc., a publicly-traded biotechnology company, holding various administrative, financial, strategic planning, marketing and international positions between 1988 and 2000, including Director, International Commercialization with MedImmune, Inc. (1998-2000), and Senior Director of Transplantation Products (1993-1998). He was a key member on the launch teams for MedImmune's biotechnology products, both domestically and internationally. Mr. Richman received a B.S. degree in Biomedical Science in 1984 from the Sophie Davis School of Biomedical Education (CUNY Medical School) and a Masters of Business Administration from the American Graduate School of International Management in 1987.

Mr. Wright joined PharmAthene as President and Chief Executive Officer in July 2003. Prior to joining PharmAthene, Inc. he served as President and Chief Operating Officer of GenVec Inc, and previously President and Chief Business Officer of Guilford Pharmaceuticals. Mr. Wright served as Executive Vice president for MedImmune, Inc. from 1990 to 2000 where he was responsible for building MedImmune's commercial operation and growing product sales from $0 to over $400 million per year. Additionally he has held various marketing and sales positions at pharmaceutical companies including Smith-Kline & French, G.D. Searle, and Glaxo. Mr. Wright received his Master of Arts in Speech Pathology and Audiology from the University of South Florida.

James Cavanaugh has been a Managing Director of HealthCare Ventures since 1988. He was previously president of SmithKline & French Laboratories U.S., the domestic pharmaceutical division of SmithKline Beckman Corporation. He had been president of SmithKline Beckman's clinical laboratory business and president of Allergan International. Earlier Dr. Cavanaugh served in numerous senior posts with the U.S. Government on the White House staff and before that at the U.S. Department of Health and Human Services. Prior to that he was a member of the faculty of the College of Medicine and the Graduate College at the University of Iowa. Dr. Cavanaugh received his Master's and Doctorate degrees from the University of Iowa.

Mr. Gill was Chief Operating Officer and a member of the Board of Directors of 3-Dimensional Pharmaceuticals, Inc. (3DP) until May 2003. He joined 3DP in May 2001 as Executive Vice President and Chief Financial Officer. From 1995 to 2001, Mr. Gill was Vice President and Director, Operations and Finance, SmithKline Beecham Research and Development, now GlaxoSmithKline plc where he was a member of the R&D Executive Committee and Chairman of the R&D Operating Committee. From 1985 to 1995 Mr. Gill served as a founding member and partner in SR One, Limited, SmithKline Beecham's Life Sciences Venture Capital Fund.
