Mr. Parker was President of USAG and US Airways from September 27, 2005 to October 1, 2006. Mr. Parker served as Chairman of the Board and Chief Executive Officer of America West Holdings (“AWH”) and of America West Airlines (“AWA”) from September 2001 to September 2007, and has served as a director of AWH and AWA from 1999 to September 2007. Mr. Parker also served as President of AWH and AWA from September 2001 to October 1, 2006. Mr. Parker is also a director of USAG. Mr. Parker was a director of Clear Channel Outdoor until July 16, 2008.

"James R. Hatfield is Senior Vice President and Chief Financial Officer of Pinnacle West and its principal subsidiary APS. With more than 28 years of electric and gas industry experience, Mr. Hatfield joined Pinnacle West in July 2008 from OGE Energy Corp., the parent company of Oklahoma Gas and Electric Company, where he served as Senior Vice President and Chief Financial Officer since 1999. He has a B.S. degree from Central Missouri State University, as well as an M.B.A. from the University of Missouri-Kansas City. "

Randy Edington is Executive Vice President and Chief Nuclear Officer for APS. Responsible for operations at the Palo Verde Nuclear Generating Station®, Edington comes to APS from Entergy Corporation with more than 25 years of commercial nuclear power plant operational experience and an additional eight years nuclear Navy experience. He most recently served as Site Vice President and Chief Nuclear Officer of Cooper Generating Station in Brownville, Neb. Edington earned a Bachelor of Science degree in physical science from Arkansas Technical University and a Master of Science degree in operations management from the University of Arkansas.

In 2007, John Denman was named Senior Vice President, Fossil Operations for Arizona Public Service Company (APS). Denman, who joined APS in 1964, previously served as Director, Fossil Generation, for the company with responsibility for the operation, maintenance, engineering and personnel of fossil-fired electric generating stations. He was named Vice President Fossil Generation in 1997. During his tenure, he has served as Manager of Fossil Generation, as well as Manager of the Company's Four Corners Power Plant in New Mexico, one of the largest coal-fired plants in the United States. Other positions Denman has held at APS include Maintenance Manager, Controls Supervisor and Maintenance Foreman at Four Corners.

Chris Froggatt was elected Controller of Arizona Public Service APS in July 1997 and named Vice President and Controller in July 1999. Froggatt joined the company in December 1986 as Manager of Financial Accounting. He became the chief accountant for APS in September 1990 and the same for Pinnacle West in October 1992.

David Hansen, Vice President, Power Marketing & Trading, Arizona Public Service Company (APS) is responsible for bulk power marketing and commodity trading activities, including risk management and sales to direct access markets, and for APS’ 24-hour power scheduling functions. Hansen began his career at APS in 1980 in the mailroom and progressed through a variety of power plant positions.

Denise R. Danner, Vice President and Controller, Arizona Public Service (APS), joined the company in January 2009. Danner previously served as Senior Vice President, Controller and Chief Accounting Officer for Allied Waste Industries, Inc. Before Allied Waste, she was Vice President, Controller and Chief Accounting Officer for Phelps Dodge Corporation.

Don Robinson is President and Chief Operating Officer at Arizona Public Service (APS). Robinson joined APS in 1978 and became an officer in 2001. He has been responsible for a number of regulatory, financial and planning organizations. In 2009, he was named to his current position.

Ed Fox is Vice President and Chief Sustainability Officer for Arizona Public Service (APS). He is responsible for environmental, health and safety compliance as well as the company's sustainability efforts including facility management and maintenance. In addition, Fox oversees the company's Technology Development group that identifies and helps bring to market technologies such as solar energy and fuel cells. An attorney, and the former Director of the Arizona Department of Environmental Quality (ADEQ), Fox has also served as an Assistant Attorney General in West Virginia.

He serves as the company’s chief lobbyist dealing extensively with members of Congress, their staff and officials at various executive agencies including the Department of Energy, the Environmental Protection Agency, the Department of the Interior and the White House. Mr. Aiken assists the Chairman and Chief Executive Officer in formulating corporate policy and strategy on energy, utility, nuclear, environmental, natural resources, conservation and tax issues. "

"Warren Kotzmann is the Vice President of Strategic Initiatives and Risk for Arizona Public Service Company (APS). Mr. Kotzmann assumed this position in January, 2006. Other roles within Pinnacle West include Vice-President of Business and Corporate for Pinnacle West Energy Corporation, Director of Corporate Planning and Senior Attorney. Prior to joining Pinnacle West and APS, Warren was an attorney with the law firm of Jennings, Strouss and Salmon in Phoenix, Arizona. Mr. Kotzmann received his JD degree from Arizona State University College of Law, and a BS in accounting from Arizona State University College of Business. He is a member of the Arizona and California State Bars."

Rebecca L. Hickman is Director of Investor Relations for Pinnacle West Capital Corporation. She has been involved in investor relations for more than 17 years. Prior to assuming her current responsibilities, Ms. Hickman held a number of positions with the company in finance and treasury. Before joining the company in 1980, Ms. Hickman was employed by Price Waterhouse & Co., serving clients in a wide variety of industries. Ms. Hickman is a member of the NIRI Senior Roundtable. In addition to NIRI, Ms. Hickman's professional memberships include the Edison Electric Institute Investor Relations Group and the Arizona Society of Certified Public Accountants. Ms. Hickman has an MBA from Grand Canyon University and a BS in Accountancy from Northern Arizona University. She is a certified public accountant.

President Emeritus of Thunderbird School of Global Management since November 2004. Mr. Herberger was President of Thunderbird from 1989 until August 2004. Mr. Herberger is also a director of the Apollo Group and an advisory director of MedAire, Inc. Mr. Herberger was a director of ECO2 Plastics Inc. until January 30, 2009.

Ms. Grant was President and CEO of Goldwaters Department Stores, a division of May Department Stores, from January 1987 to April 1988. From November 1978 to January 1987, Ms. Grant was President, Chair and CEO of Goldwaters Department Stores, a division of Associated Dry Goods.

Yvonne Hunter is a Senior Public Affairs Representative for Pinnacle West Capital Corporation, the parent company of APS, APS Energy Services, SunCor and Eldorado. She provides support on matters of public policy concerning environmental issues, community growth and development, construction and other general business issues on behalf of Pinnacle West. Prior to her position with Pinnacle West, Ms. Hunter worked as an Assistant Attorney General in the Office of the Attorney General for Arizona. Her responsibilities were primarily environmental enforcement and providing technical advice on proposed legislation impacting Arizona's environmental laws. Prior to her environmental law enforcement responsibilities, Ms. Hunter represented the Arizona State Board of Accountancy in its enforcement actions against certified public accountants and certified public accounting firms doing business in Arizona, in particular, individuals and organizations involved in the savings and loan scandals. Ms. Hunter has also spent time as a general practice in-house attorney with Salt River Project and served as a Deputy County Attorney with the Maricopa County Attorney's Office where she handled felony prosecutions. Ms. Hunter completed her college education in Las Vegas, receiving a Bachelor of Arts degree in English from the University of Nevada, Las Vegas. She completed her law school career at the College of Law (currently, Sandra Day O'Connor College of Law) at Arizona State University, where she participated in various activities and externship programs. Ms. Hunter is married to Duncan Horton, a retired member of the Arizona National Guard. She serves as an emeritus member of the Advisory Board for the Salvation Army; Phoenix Public Library Foundation Board of Directors; Life Member Boys Hope Girls Hope Board of Directors; Valley Citizens League; Phoenix Pride Commission; and the Arizona Saves Board of Directors. She is also a member of the Maricopa County Bar Association, Charter 100, Arizona Judicial Council, Arizona Black Bar and the Los Abogados Bar Association.

Chairman of the Board of Bashas’ supermarket chain since 1968. Chief Executive Officer of Bashas’ and an Arizona civic leader dedicated to multiple Arizona community projects.

Mike is a two-time graduate of ASU and is currently a partner in the law firm Gallagher & Kennedy. During his career, Mike has served as president of the Arizona Association of Defense Counsel and president of the Phoenix Chapter of the American Board of Trial Advocates. He is a Fellow of the International Academy of Trial Lawyers. He also currently serves as a Trustee of the Peter Kiewit Foundation and as the Presiding Director of Pinnacle West Capital Corporation. In addition, Mike is a member of the Board of Directors for Suncor Development Company, El Dorado Investment Company, Arizona Public Service Co., and the Omaha-World Herald Company. He is a member of AMEC Inc.'s North American Advisory Board.

Mr. Stewart retired from the Company effective November 26, 2003. Mr. Stewart served as Chief Executive Officer of Pinnacle West Energy Corporation (“PWEC”) from October 2002 until January 2003 and President of PWEC from October 1999 until January 2003. Mr. Stewart served as President, Generation, of APS from October 1998 to October 2002.
