Potash Corporation of Saskatchewan Inc.

William J. Doyle is President and Chief Executive Officer of Potash Corporation of Saskatchewan Inc. (PotashCorp), the world's largest fertilizer enterprise. He assumed his current duties on July 1, 1999 after 12 years as a key member of the PotashCorp senior management team. He has served on the Board of Directors since the company was first listed on the Toronto and New York stock exchanges in 1989. Mr. Doyle is a 35-year veteran of the fertilizer industry and began his career with International Minerals and Chemical Corporation. In addition to his work with PotashCorp, Mr. Doyle is Chairman of Canpotex Limited, on the boards of The Fertilizer Institute and International Plant Nutrition Institute, as well as a member of the Executive Management group of the International Fertilizer Industry Association. Mr. Doyle is a graduate of Georgetown University in Washington, DC and a member of its Board of Directors. He is also on the boards of the Executive Club of Chicago, the Big Shoulders Fund and is a director of the Western Golf Association. He is married and has three children.

David Delaney was appointed President, PCS Sales in 2000, with responsibility for all PotashCorp sales, marketing, transportation and distribution activities. In 2006, he was also assigned responsibility for market research, as well as public and government relations. He joined the company as Vice President, Industrial Sales, PCS Sales in 1997, following its acquisition of Arcadian Corporation, where he had been Vice President, Agricultural Sales, for its eastern territory. He began his career in Allied Chemicals' fertilizer division, which later became Arcadian, where he worked in various supervisory roles. In addition to his work with PotashCorp, Mr. Delaney serves on the boards of PhosChem, Canpotex Limited and the International Plant Nutrition Institute. A graduate of Southern Illinois University, he has completed Vanderbilt's Sales Management Program and the Executive Management Program at the University of Pittsburgh.

As Senior Vice President, General Counsel and Secretary, Joseph Podwika is responsible for delivery of legal services to PotashCorp and, in his role as corporate secretary, for the corporate compliance program and for oversight of corporate governance processes. He joined PotashCorp in 1997 as litigation and general business counsel at its Memphis office and later became senior counsel to the phosphate business in Northbrook, where he also assumed responsibility for all US legal affairs. He was named Vice President, General Counsel and Secretary in 2005. Before joining PotashCorp, Mr. Podwika worked in the legal department of International Paper Company in Memphis and was in private practice with Jaeckle, Fleischmann & Mugel of Buffalo, New York. He earned an English degree with highest honors at State University of New York at Buffalo and a Juris Doctorate from Northwestern University School of Law. He is a member of the American and Canadian bar associations, the Association of Corporate Counsel and the US and Canadian societies of corporate secretaries and governance professionals.

Stephen Dowdle brings a depth of knowledge in soil microbiology and agronomy plus frontline experience with international and domestic customers to his position as PotashCorp's Senior Vice President, Fertilizer Sales. He joined the company in 1999 as Vice President, International Fertilizer Sales, and one year later was promoted to Vice President, Fertilizer Sales. He began his current position in 2006, with responsibility for all domestic and international fertilizer transactions. He is on the board of the Phosphate Chemicals Export Association (PhosChem) and Sinofert Holdings Ltd. (Sinofert). Mr. Dowdle gained extensive international experience during 10 years as Vice President and Managing Director for Canpotex (Singapore) Pte. Ltd., and four years as Director, China Programs, for the Potash & Phosphate Institute. He has a PhD in Agronomy and Soil Science from the University of Hawaii, and a BA in Anthropology from Brown University.

Daphne Arnason joined PotashCorp in 1988 and held various positions in the tax department, rising to Senior Director, Taxation and, in 2003, to Vice President, Internal Audit. She is now responsible for developing, coordinating and delivering PotashCorp's worldwide internal audit program as provided for in the Internal Audit Charter and set out in the Audit Plan as approved annually by the Audit Committee. She is a director of the Saskatoon Airport Authority and serves as chair of its audit and finance committee. Ms. Arnason earned a Bachelor of Commerce degree at the University of Saskatchewan and is a Fellow Chartered Accountant (FCA) of the Institute of Chartered Accountants of Saskatchewan.

John Hunt has been PotashCorp's Vice President, Safety, Health and Environment since 2005. He joined the company as Director, Corporate Affairs when it acquired Arcadian Corporation in 1997, and was appointed Director, Production Services a year later. In 2000, he became General Manager of PCS Nitrogen Memphis, and in 2003 Senior Director, Operations Development. Mr. Hunt came to PotashCorp with 12 years of experience in a variety of sales, production and corporate positions at Arcadian, as well as four years in the retail and wholesale fertilizer business in Illinois. He earned his Agricultural Business degree at Black Hawk College in Illinois.

Karen Chasez joined PotashCorp in 2000 as Vice President, Procurement, with responsibility for establishing purchasing and inventory control policies, guiding strategic procurement strategies and overseeing negotiations with suppliers. She has broad experience in the fertilizer industry. As editor of a major fertilizer newsletter in Washington, DC, she steered the launch of a spinoff newsletter for fertilizer retailers and then became managing editor, executive director and editor-in-chief, finally heading the fertilizer newsletter unit. She then spent 10 years at British Sulphur North America, Inc. as Vice President, overseeing its fertilizer and wire industry newsletters, administrative office and corporate activities in the US. Ms. Chasez earned a Bachelor of Social Work from Bowie State University in Maryland.

Denita Stann was named Senior Director, Investor Relations in January 2009 after two years as Director, Investor Relations. She is responsible for PotashCorp’s communication with analysts and investors. Before joining PotashCorp, she was a key member of the senior management team at Agrium’s Saskatchewan potash operations, overseeing its finance, information technology, purchasing and materials management departments. Earlier, she was Manager, Finance with Areva Resources Canada and worked at a public accounting and consulting firm in Canada and Australia, primarily serving its mining clients. She has a Bachelor of Commerce degree from the University of Saskatchewan, and has earned her Canadian designation as a Chartered Accountant and her American designation as a Certified Public Accountant. She serves on the board of the Canadian Investor Relations Institute.

Dallas J. Howe, of Calgary, Alberta, is owner and CEO of DSTC Ltd., a technology investment company, and a director of Advanced Data Systems Ltd. and Viterra (formerly Saskatchewan Wheat Pool). A director of the PCS Crown corporation from 1982 to 1989, he joined the PCS Inc. Board in 1991 and was elected Chair in 2003. (Corporate governance and nominating committee)

C. Steven Hoffman, of Lincolnshire, Illinois, is an export consultant and a former senior executive of IMC Global Inc. With over 22 years of global fertilizer sales and marketing management experience, he retired as Senior Vice President and President, Sales and Marketing of IMC Global upon completion of the IMC Global and Cargill Fertilizer merger, creating the Mosaic Company. He is a former Chairman and President of the Phosphate Chemical Export Association (Phoschem) and a former Chairman of Canpotex. He joined the PCS Inc. Board in 2008. E. Robert Stromberg, QC, of Jackfish Lake, Saskatchewan, was associated with the Saskatchewan law firm Robertson Stromberg Pedersen. He is a director of NorSask Forest Products Inc. and Hitachi Canadian Industries Ltd., and holds the rank of Honorary Lieutenant-Colonel of the North Saskatchewan Regiment. He joined the PCS Inc. Elena Viyella de Paliza, of the Dominican Republic, is President of Inter-Quimica, S.A., a chemicals importer and distributor, Monte Rio Power Corp and Indescorp, S.A. She is a member of the board of the Inter-American Dialogue and Past President of the Dominican Business Council, the Dominican Stock Exchange, Dominican Manufacturers Association and the National Agribusiness Board. John W. Estey, of Glenview, Illinois, is President and CEO of S&C Electric Company. He is a member of the Board of Governors of the National Electrical Manufacturers Association, a director of the Executives' Club of Chicago, a member of the Dean's Advisory Board at the Kellogg School of Management at Northwestern University and a member of the Board of Trustees of Adler Planetarium. Mary Mogford, of Newcastle, Ontario, is a Corporate Director and a former Ontario Deputy Minister of Finance and Deputy Minister of Natural Resources. She is also a director of MDS Inc. and the SickKids Foundation. Wade Fetzer III, of Glencoe, Illinois, is Retired Partner with the investment banking firm Goldman Sachs.
