W. STANCIL STARNES, ESQ., is the Chairman and Chief Executive Officer ProAssurance Corporation. Mr. Starnes, who assumed this position at ProAssurance on July 2, 2007, was first associated with Medical Assurance, the predecessor of ProAssurance, in 1979 when he began defending insured physicians on behalf of the company. In the ensuing years he became ProAssurance’s lead outside defense counsel and was a vital outside voice in many key decisions that shaped the Company. He was one of the architects of ProAssurance’s policy of passionately defending non-meritorious lawsuits. Mr. Starnes was the founder (in 1975) and ultimately the senior and managing partner of the law firm of Starnes & Atchison. His primary work was in the field of medical liability defense, but his 34-year history of courtroom advocacy included successful representation of local and nationwide clients in a wide range of civil trials, appeals and litigation. In October, 2006 Mr. Starnes assumed the position of President, Corporate Planning and Administration with Brasfield & Gorrie, LLC, one of the nations leading commercial contractors. He is a member American Bar Association as well as the Bar Associations of Alabama and Birmingham. He is a Fellow in the American College of Trial Lawyers, an Advocate in the American Board of Trial Advocacy and a Life Fellow of the Alabama Bar Foundation. He graduated from the University of Alabama and is a summa cum laude graduate of The Cumberland School of Law in Birmingham.

JEFFREY L. BOWLBY is the Senior Vice President and Chief Marketing Officer in our Professional Liability Group. Mr. Bowlby joined one of ProAssurance’s predecessor companies, ProNational Insurance Company, in September, 1998. Prior to joining ProNational, Mr. Bowlby served as Senior Vice President, Marketing for the Meadowbrook Insurance Group from 1984 to 1998. While at Meadowbrook, Mr. Bowlby specialized in the alternative risk area. Prior to joining Meadowbrook, he was a Marketing Executive for Federated Mutual Insurance Company. Mr. Bowlby is an Associate in Risk Management (ARM). Mr. Bowlby is a graduate of Northern Michigan University where he majored in Marketing Management. Hayes V. Whiteside, MD, is the Senior Vice President of Risk Management and Medical Director for ProAssurance. Prior to joining ProAssurance in 2004 he practiced Urology for 17 years in Tuscaloosa, Alabama. He received his undergraduate degree from Louisiana State University and his medical degree from Louisiana State University School of Medicine in New Orleans. Dr. Whiteside completed a general surgery internship and residency at LSU in New Orleans and a Urology Residency at LSU as well. John J. McMahon, Jr. is Chairman and a co-founder of Ligon Industries, LLC. He has been involved in direct equity investing for more than 30 years. Mr. McMahon worked for McWane, Inc., a closely held manufacturing holding company with over 20 plants and over one billion in sales, for 25 years. During his career at McWane, Inc., Mr. McMahon held numerous management positions including President and Chairman of the Board. JOHN P. NORTH, JR. has served as a Director of ProAssurance since completion of the consolidation on June 27, 2001, and as a director of Medical Assurance, Inc. since 1996. Mr. North is a certified public accountant who was a partner of the accounting firm of Coopers & Lybrand LLP until his retirement in September 1995.. Mr. North serves as Chairman of the Audit Committee of the ProAssurance Board of Directors. Members of the Audit Committee and the Board believe that Mr. North meets the qualifications of an Audit Committee Financial Expert based upon his long and distinguished career in the accounting profession including a top leadership role at Coopers & Lybrand. More specifically, Mr. North retired in 1995 as a partner of Coopers & Lybrand (one of the predecessor firms to PricewaterhouseCoopers), an international accounting, auditing, tax and consulting firm with worldwide revenue at that time of more than $5 billion. Mr. North, a native of Alabama, received his BS (major in accounting) from the University of Alabama in 1957. He joined Coopers & Lybrand in 1957, served in the US Army from 1958 to 1960. Mr. North returned to Coopers & Lybrand in 1960 and served on the audit staff for several years before transition to the tax staff. He was admitted to the partnership in 1967, as a Tax Partner, and became Managing Partner of the Birmingham office in 1974. In addition to his supervisory responsibilities in the Birmingham office, Mr. North were directly involved in mergers and acquisitions activities for the firm�s clients where he directly evaluated and analyzed financial statements. In 1983 he moved to Atlanta to become managing partner of the firm�s 15 Southeastern offices and served in that capacity until October 1988, when he became managing partner of the Atlanta office. In each of these positions, Mr. North was responsible for the overall operation of the office or region. The offices under his responsibility performed audits of numerous public companies including Royal Crown Cola, BellSouth, SONOCO and Tampa Electric Company. In October 1992, Mr. North was named Client Service Vice Chairman, and in July 1993, moved to New York as Chief of Staff of Coopers & Lybrand. He served two terms as a member of the Executive Committee. As a part of his Chief of Staff and Executive Committee responsibilities, the General Counsel of Coopers & Lybrand reported to Mr. North thus causing Mr. North to be particularly aware of auditing and accounting problems and particularly those that had resulted in litigation or discussions with regulators. In addition, Mr. North was a member of Firm Council, served as Chairman of the Firm Council Nominating Committee and Chairman of the Retirement Committee. After retirement, Mr. North has continues to serve on the Retired Partners Committee of PriceWaterhouseCoopers (the successor of Coopers & Lybrand). Mr. North presently serves as a director of ProAssurance, and has been a member or chairman of the Audit Committee since he joined the Board in 1996. He also serves as a consultant to Guardsmark, LLC. He was formerly a director of Ransom Industries, Inc.

ANN F. PUTALLAZ has served as a director of ProAssurance, and as a member of the Audit Committee of ProAssurance since the completion of the consolidation on June 27, 2001. For the past five years, Ms. Putallaz has been the Vice President and director of marketing information services of Munder Capital Management, an investment advisor to The Munder Funds, an open end investment company registered under the Investment Company Act of 1940. She has also served as an economist and Director of Mutual Fund Product Management, and Director of Fiduciary Services at affiliates of Comerica Bank and Munder Capital Management. Comerica is a top 50 Bank headquartered in Detroit and Munder Capital is Michigan largest investment firm. She holds NASD Series 2, 6, 63 and 65 licenses.
