Michael D. Beck has been an assessment/evaluation/research consultant to many local school districts, intermediate school districts, state departments of education, corporations, and publishers. He is the President of Beck Evaluation & Testing Associates, Inc. (BETA) and Vice President of Touchstone Applied Science Associates, Inc. (TASA). BETA was founded 20 years ago to provide consulting and contractual services to school districts, state education agencies, and test and textbook publishers. When TASA acquired BETA in 1997, Beck became a corporate officer and member of the board of directors. At TASA, Beck assists in long-term corporate planning and new product planning and development, oversees corporate research and development activities, and supervises and directs specific assessment projects. BETA projects have involved all aspects of test and assessment development, interpretation, and use. For over 25 years, Beck has planned and advised on test development activities for more than 10 states and over 35 test and textbook publishers. He has consulted with state departments of education in 20 states. At TASA he also directs the revision of the Maculaitis English Language Evalution series and supervises the conception and construction of Signposts, a primary-school language arts assessment and instructional system. Mike Beck holds an MA in Psychology from Fordham University and an AB with a major in Psychology and minors in Mathematics and Education from John Carroll University. He was elected to Psi Chi, the national psychology honorary fraternity and was selected to become a member of Sigma Xi, a national scientific honorary fraternity. Beck has won numerous honors, including the Harcourt Brace Jovanovich Psychometrics Fellowship. While working for Harcourt Brace Jovanovich, Inc. and the Psychological Corporation, he was a Senior Research Psychologist and Project Coordinator for the Survey of School Attitudes and the Metropolitan Achievement Tests, the Otis-Lennon School Ability Test. He oversaw extensive research programs for numerous test projects. He chaired a study conducted by the International Reading Association for the National Institutes of Education to examine reading program evaluations. Mike Beck has published extensively in refereed journals in educational measurement, instruction, evaluation, and related fields. He has served on the board of directors and editorial boards of major academic associations and leading educational journals. He frequently writes reviews for such publications. His thoughtful and incisive perspectives on developments in those areas are highly valued and sought after. His professional memberships include the American Educational Research Association, American Psychological Association, New England Educational Research Organization, International Reading Association, National Council of Teachers of English, National Council on Measurement in Education, New York academy of Sciences, and Sigma Xi.

Mr. Ivens is the vice president at Touchstone Applied Science Associates (TASA), Inc. He received his undergraduate degree in mathematics from Illinois State University and his Ph.D. in educational research and testing from Florida State University. A former high school mathematics teacher, he joined the College Board's Regional Offices in Atlanta in 1970 where his primary responsibilities were to assist member schools and colleges in developing admissions and financial aid policies, evaluating placement and retention practices, and conducting longitudinal analyses of students' achievement trends. In 1977, Mr. Ivens joined the New York office of the College Board as the Executive Director of Research and Development. Although Mr. Ivens was responsible for the administration of all research and development activities of the College Board, his principal interest was in the development of the Degrees of Reading Power (DRP) program with New York State Education Department. In 1989, Mr. Ivens joined the staff of TASA, located in Brewster, New York, and is currently Vice-President and a member of the Board of Directors. For the NUA/Indianapolis Public Schools Project, Mr. Ivens conducted an analysis of the instructional materials used to deliver the curriculum. In each grade and class, these materials represent the defacto reading expectations that teachers have for the students they serve. This analysis helps to address the following questions: (1) are the materials appropriate for the students served; (2) do the materials increase in difficulty as students progress through the grades; (3) are the materials consistent in difficulty and used in different courses within a grade; and (4) is the progression in difficulty across the grade sufficient for students to reach graduation goals in reading.

DAVID L. WARNOCK was elected as a Director of the Company in October 1998 and, since that time, he has also served on the Company's Compensation Committee. Since 1999, Mr. Warnock has been President and Chief Executive Officer of both Camden Partners, Inc. and Camden Partners Holdings, LLC, each of which is an affiliate of Cahill Warnock. Mr. Warnock is a founding partner of Cahill, Warnock & Company, LLC, an asset management firm established in 1995 to invest in small public companies. From 1983 to 1995, Mr. Warnock was with T. Rowe Price Associates in senior management positions, including President of the corporate general partner of T. Rowe Price Strategic Partners and T. Rowe Price Strategic Partners II, and as the Executive Vice President of T. Rowe Price New Horizons Fund. Mr. Warnock also serves on the Boards of Directors of Blue Rhino Corp., Bridges Learning Systems, Concorde Career Colleges, Inc., Environmental Safeguards, Inc., the National Alliance to End Homelessness, the Center for Fathers, Families and Workforce Development, Nobel Learning Communities, and CardSystems Solutions, Inc. Mr. Warnock received a B.A. in History from the University of Delaware and a Masters in Finance from the University of Wisconsin.
