Board of Directors
Don Bailey has served as a director and our Chairman since April 2005, and serves as the chairman of the Nominating and Governance Committee of the Board of Directors. Since November 26, 2007, Mr. Bailey has served as President, Chief Executive Officer and a director of Questcor Pharmaceuticals, Inc., having served as its interim President from May 2007 and as a director since May 2006. In addition, he served as Chairman of the Board of Comarco, Inc., a provider of wireless test products for the wireless industry and a maker of emergency call box systems and mobile power products for handheld devices from 1998 until August 31, 2007. He also served from June 1990 to April 2000 as President of Comarco, Inc. and as its Chief Executive Officer from January 1991 to April 2000. Mr. Bailey earned his Bachelor of Science degree in Mechanical Engineering from Drexel University 1968, his Master of Science degree in Operations Research from the University of Southern California in 1971 and his Master of Business Administration degree from Pepperdine University in 1986.

The Company has a separately designated standing Nominating and Corporate Governance Committee of the Board of Directors. The Nominating and Corporate Governance Committee is responsible for (i) the identification of qualified candidates to become members of the Board of Directors, (ii) the selection of candidates for recommendation to the Board of Directors as nominees for election as directors at the next annual meeting of shareholders, (iii) the selection of candidates for recommendation to the Board of Directors to fill any vacancies on the Board of Directors, (iv) the selection of a candidate for recommendation to the Board of Directors as the chairperson of the Board, (v) making recommendations to the Board of Directors regarding the staffing of Board committees and the chairpersons of such committees; and (vi) analyzing and making recommendations to the Board of Directors regarding corporate governance matters applicable to the Company. The Nominating and Corporate Governance Committee is composed of three non-employee directors: Mr. Bradsher, who serves as Chairman, Mr. Thompson and Dr. Young. The Nominating and Corporate Governance Committee has recommended that it be composed of Mr. Bradsher (as Chairman), Mr. Thompson and Dr. Young following the Annual Meeting should each be elected to the Board of Directors by the Company s shareholders. Each member of the Nominating and Corporate Governance Committee is independent as that concept is defined under NASDAQ listing standards.
Mr. Thompson has been a director since 1994 and is a member of our Audit and Finance and Nominating and Corporate Governance Committees. From 2002 until his retirement in July 2007, Mr. Thompson was President and Chief Executive Officer of Angstrom Pharmaceuticals, Inc., a pharmaceutical company, and he currently serves as a director of Angstrom. From 2000 to 2002, Mr. Thompson was President, Chief Executive Officer and a director of Chimeric Therapies, Inc., a biotechnology company, and he was our President and Chief Operating Officer from 1999 to 2000. From 1996 to 1999, Mr. Thompson was President and Chief Executive Officer of Cytel Corporation, a biotechnology company. Mr. Thompson is chairperson of the board of directors of Aradigm Corporation, an emerging specialty pharmaceutical company, as well as chairperson of its compensation committee and a member of its nominating and corporate governance and audit committees. He is also chairperson of the board of directors of Questcor Pharmaceuticals, Inc., and serves on its compensation, audit and nominating and corporate governance committees.

Roger G. Stoll, Ph.D. Executive Chairman, Dr. Stoll has over 30 years of experience in the pharmaceutical, medical devices, and diagnostic industries. Most recently, he was the Executive Vice President of Fresenius Medical Care – N. America, in charge of both the dialysis products and laboratory services. Dr. Stoll oversaw the company’s manufacturing, sales, service, research and development, and business development functions, and was responsible for combined sales of approximately $900 million as well as more than 3,000 employees. From 1991 to 1998, Dr. Stoll was CEO of Ohmeda, Inc., a worldwide leader in anesthesia and critical care products with sales of approximately $1 billion and more than 5,000 employees. From 1986 to 1991, Dr. Stoll held several positions within Bayer, AG. Initially at Bayer, he had responsibilities that included both hospital and general pharmaceuiticsls before becoming President of the Consumer Health Care Group of Miles. He then became the Executive Vice President and General Manager of the worldwide Diagnostics Business Group of Bayer, during which time the business expanded from $400 million to approximately $1 billion in sales. Before 1986, Dr. Stoll was involved in the development of critical care pharmaceuticasl andheld positions of increasing responsibility including President of the American Critical Care Division of American Hospital Supply Corporation (now Baxter International). He began his career in clinical research at The Upjohn Company. In addition to the Cortex board, Dr. Stoll currently serves as a member of the boards of directors of Chelsea Therapeutics, Inc and is a member of the advisory board of the School of Pharmacy at the University of Connecticut. Dr. Stoll obtained a B.S. in Pharmacy from Ferris State University and a Ph.D. in Biopharmaceutics from the University of Connecticut as well as conducting postdoctoral studies in pharmacokinetics at the University of Michigan.

Stephen C. Farrell joined the Company s Board of Directors in November 2007. Mr. Farrell currently serves as Executive Vice President and Chief Financial Officer of Stream Global Services, Inc., a position he has held since November 2008. Mr. Farrell oversees Stream Global Services Inc. s finance, accounting, treasury, taxation and corporate services functions, and also plays a role in shaping corporate strategy. Mr. Farrell previously served as President of PolyMedica Corporation until PolyMedica was acquired by Medco Health Solutions. During his eight year tenure at PolyMedica, Mr. Farrell served in various positions, including President, Chief Operating Officer, Chief Financial Officer, Chief Compliance Officer, and Treasurer. Earlier in his career, Mr. Farrell served as Senior Manager at PricewaterhouseCoopers LLP. Mr. Farrell holds an A.B. from Harvard University, and an M.B.A. from the University of Virginia. Mr. Farrell is also a certified public accountant.
