Mr. O?Connor is President and Chief Executive Officer of Softrax. With over 20 years of experience in executive management of software companies, he has proven expertise in finance, sales and marketing. Under O'Connor's leadership, Softrax has become a leading provider of revenue management applications. O?Connor was also responsible for articulating the initial vision for the Company and securing all of the venture capital funding for a rapid growth plan. In addition, he has executed a clear strategy of customer focus, significant sales growth and infrastructure building that has positioned Softrax for industry leadership. Prior to Softrax, O?Connor was CEO of RBS Group, Inc., a software and services company that grew to become IBM?s largest business partner in New England. At that time, he was honored by IBM as one of the ?Top 50 CEOs? among its business partners. Before RBS Group Inc., O?Connor held senior financial positions at technology companies, including Chief Operating Officer and Chief Financial Officer.

Ken Bender is the Founder and Managing Director of Software Equity Group. During the past twenty-five years he has advised, counseled and guided thousands of software entrepreneurs, executives and equity investors worldwide. Industry newsletter Software Success and others have recognized him as "The nation's leading expert in midcap software and internet M&A transactions." Ken is former President and Chairman of the Arizona Software Association, and is a recipient of the Association's prestigious Software Industry Leader of the Year award. From 1998-2003 he served as a Director of the San Diego Software Industry Council. An acclaimed speaker, Ken has keynoted or addressed conferences and seminars sponsored by such groups as Software Business Magazine, Software Publisher's Association, VAR Magazine, Software Success, SoftLetter, The Daily Deal, Tech Coast Angels, The Venture Network, ACETECH (Canada's leading association of software CEOs), NZX (New Zealand Stock Exchange) and the Colorado, Arizona, Chicago, Denver, Southern California, Boulder and San Diego Software Associations. He has been widely quoted by such leading publications as Information Week, U.S. News & World Report, The Daily Deal, Mergers & Acquisitions, Entrepreneur, USA Today, Reuters, Software Business, Software Success and SoftwareCEO. Ken is also the featured speaker at quarterly M&A Web seminars sponsored by leading software provider Softrax. Before founding our firm in 1992, Ken was Vice President, Software and Chief Administrative Officer of MicroAge, Inc., a Fortune 500 systems integrator/aggregator. Ken also served as Founder & CEO of Access Solutions, Inc., a value-added distributor of vertical solutions to software companies serving vertical markets, and as Executive Vice President and General Manager of Information Systems Consultants Inc., a software developer and systems integrator. An attorney by training, he was Assistant General Counsel of Honeywell Inc. and Honeywell Bull, specializing in corporate and computer law, software licensing, and mergers and acquisitions. He is a member of the State Bar of Arizona and the New York State Bar. Ken has served as Chairman of the Board of Arizona Senior Olympics and as Vice President and Executive Board Member of United Jewish Federation of San Diego. He was awarded a Bachelor of Arts degree (Political Science and History) from Pennsylvania State University and a Juris Doctor degree from New York University School of Law.

Stephen is a director with Grant Thornton Corporate Finance LLC, the investment-banking subsidiary of Grant Thornton LLP. He has been involved in numerous transactions including acquisitions, divestitures, capital raisings and refinancings. He is also the primary liaison point for cross-border transactions involving U.S. and European companies. Stephen has 10 years experience and is primarily responsible for managing mergers and acquisitions (M&A) transactions. In this capacity he coordinates the transaction process from buyer research through to deal structuring, negotiations and closing. His principal focus is on mid-cap technology M&A, an area in which he has specialized for the last four years. He is a registered representative with the National Association of Securities Dealers, on the board of directors of the Boston Chapter of the Association for Corporate Growth, and a chartered accountant and member of the Institute of Chartered Accountants in England & Wales. Stephen earned a bachelor of science in economics from the University of Bristol, England.

Mike Shanahan has spent nearly 30 years in finance and early stage venture investing. He co-founded Egan-Managed Capital in 1997. As Managing Partner at Egan-Managed Capital, Mike is responsible for the investment decision process. He currently serves on the Board of Directors of Apparent Networks, Genalytics, IntelliVid, Nexaweb, OnePIN, SOFTRAX Corporation and Whaleback Systems. He formerly served on the Boards of nine other Egan portfolio companies. Prior to founding Egan-Managed Capital, Mike worked for 15 years with Eastech Management Company, a venture firm that developed a portfolio of 34 technology investments during his tenure. He also worked in corporate finance and venture capital at both Paine Webber and Banker's Trust Company. He holds an AB in Economics from Holy Cross College, and an MBA from Harvard Business School.
