Mr. Adams joined Sepracor in March 2007 as President and Chief Operating Officer and, in May 2007, became President and Chief Executive Officer of the company. Most recently, Mr. Adams was with Kos Pharmaceuticals, Inc., where he served as President and Chief Operating Officer from April 2001, prior to becoming President and Chief Executive Officer in January 2002. In December 2006, Mr. Adams was instrumental in the sale of Kos to Abbott Laboratories. Having spent the majority of his career in the pharmaceutical industry, Mr. Adams has extensive senior and general management experience with a broad background encompassing research and development, sales, marketing, international and national product management and business development. Mr. Adams served as President and Chief Executive Officer of Novartis-UK from 1999 until his tenure began at Kos. For the previous seven years, Mr. Adams was with SmithKline Beecham Pharmaceuticals, last serving as President and CEO of the company's Canadian subsidiaries. Previous assignments at SmithKline Beecham included Vice President and Director of Worldwide Marketing in the U.S., and Director and Vice President of Sales and Marketing in the United Kingdom. Mr. Adams began his career at ICI Pharmaceuticals, where he rose from research laboratory assistant to Director of Sales and Marketing. During his career, he has worked in most countries of the world and has experience in most primary care, specialist and biological therapeutic areas. In addition, he has been instrumental in a number of major global and national product launches including Paxil®, Famvir®, Coreg®, Diovan®, Tenormin® and Zestril®. He is a graduate of Manchester University in the United Kingdom with a Bachelor of Science degree. Mr. Adams serves as a board member of Amylin Pharmaceuticals.

Mark Iwicki joined Sepracor in October 2007 and is Executive Vice President and Chief Commercial Officer. Mr. Iwicki is responsible for leading all aspects of Sepracor's Commercial functions, including the Sales, Marketing, Managed Care, New Products Planning, and Commercial Analytics groups. Prior to joining Sepracor, Mr. Iwicki held senior positions at Novartis Pharmaceuticals from 1998 through 2007, most recently as Vice President and Cardiovascular Business Franchise Head. Prior to that, Mr. Iwicki was head of the Arthritis, Bone, Gastrointestinal, HRT, Infectious Disease and Urology Business Franchise Head. Before joining Novartis, Mr. Iwicki held various sales and marketing positions at Merck and Astra Merck. Mr. Iwicki earned his B.S. from Ball State University and an MBA from Loyola College.

Bob Dishman is a scientist with a long history as a successful biotech operating executive and entrepreneur. In the course of his 30+ years of experience, Bob has become recognized as a leading expert in running biotech companies engaged in drug discovery based on bioseparation, purification, and combinatorial chemistry. Bob is perhaps best known as COO of Sepracor, Inc., managing its work in the "pure isomer" form of major pharmaceuticals, and as the founder and CEO of Arqule, Inc., one of the early combinatorial chemistry companies, both of which went public and achieved multimillion dollar valuations. In addition, Bob was the President and Founder of the Milligen Division of Millipore, focused on DNA and peptide synthesizers and sequencers for analysis and synthesis of biological molecules, and CEO of Biotage, Inc., a company he helped re-direct and take public as Dyax Corp. More recently, Bob has been CEO, Chairman or Board member of four other biotech companies both public and private. Dr. Dishman holds a Ph.D. in Analytical Chemistry, a MS in Chemistry, both from the University of Massachusetts, Amherst, and a BS from the University of New Hampshire, Durham.

Mr. Scumaci was recently appointed as Executive Vice President and Chief Financial Officer of Sepracor. Mr. Scumaci served as Executive Vice President, Corporate Finance, Administration and Technical Operations since May 2007 and as Executive Vice President of Finance and Administration at Sepracor since February 2001. Mr. Scumaci served as Senior Vice President of Finance and Administration at Sepracor from March 1996 to February 2001 and as Vice President and Controller from March 1995 until March 1996. Prior to joining Sepracor, Mr. Scumaci was Vice President of Finance and Administration, North American Operations with Ares-Serono Group, a multinational pharmaceutical company from 1987 to 1994. Previously, he was associated with Revlon and Coopers & Lybrand in various finance and accounting capacities.

Prior to joining Sepracor in March 2007, Mr. Koven was Executive Vice President, General Counsel and Corporate Secretary at Kos Pharmaceuticals, Inc., which was acquired by Abbott Laboratories in December 2006. At Kos, he oversaw the legal, compliance and quality assurance functions. From 2000 until 2003, Mr. Koven served as Senior Vice President, General Counsel and Corporate Secretary at Lavipharm Laboratories Inc., a drug delivery and specialty pharmaceutical company. Mr. Koven served in increasingly responsible roles at Warner-Lambert Company between 1993 and 2000, most recently in the position of Assistant General Counsel, Pharmaceuticals, North America. Prior to joining Warner-Lambert, Mr. Koven was a corporate/securities associate at Cahill Gordon & Reindel in New York City. Mr. Koven earned his B.A. in 1978 from Dalhousie University in Halifax, Nova Scotia, Canada, his LL.B. in 1981 from Dalhousie Law School and his LL.M. in 1986 from Columbia University School of Law.

Dr. Corrigan joined Sepracor in 2003 as Executive Vice President of Research and Development. Prior to joining Sepracor, Dr. Corrigan joined the Upjohn Company in 1993, which became Pharmacia Corp. in 1996. At Pharmacia, Dr. Corrigan served as Group Vice President of Global Clinical Research and Experimental Medicine and in 1998, was promoted to Group Vice President, Global Clinical Research, with responsibility for clinical research, biostatistical/data management and global procurement for compounds in Phases I-IIIB. Prior to joining the pharmaceutical industry with the Upjohn Company, Dr. Corrigan spent several years in academic research at the University of North Carolina Medical School, focusing in psychoneuroendocrinology. During his tenure, Dr. Corrigan was a principal investigator for several novel antipsychotics and continues to maintain an appointment as Adjunct Clinical Professor of Psychiatry. Dr. Corrigan has over twenty years of experience in treating psychiatric and central nervous system disorders and is board certified in psychiatry and neurology. Dr. Corrigan earned his undergraduate and medical degrees from the University of Virginia and subsequently received specialty training in psychiatry at Cornell and Maine Medical Center. Dr. Corrigan serves as a board member of Cubist Pharmaceuticals, Inc. and Neuromed Technologies Inc. and has been elected as a Distinguished Fellow of the American Psychiatric Association (APA).

Mr. Ranieri joins Sepracor from Neurocrine Biosciences, Inc. where he was Senior Vice President and Chief Administrative Officer. Mr. Ranieri managed and directed Neurocrine Biosciences' human resources function and its corporate communications, operations and purchasing. He also served as a corporate officer and was a member of the senior management team as well as Secretary to the Compensation Committee of the Board of Directors. Prior to his tenure with Neurocrine Biosciences, Mr. Ranieri served as Senior Vice President, Human Resources at Genencor International Inc. for 12 years, contributing to its growth from a start-up to a publicly traded company with over 2,000 employees worldwide. Prior to joining Genencor, Mr. Ranieri spent over 13 years with GlaxoSmithKline where he held a variety of human resources and sales management positions. Mr. Ranieri earned his bachelor's degree from Villanova University and received his Master's degree in Organizational Development from Rider University.

Patrick F. Latterell has served on our Board since July 2002. Mr. Latterell is the founder of Latterell Venture Partners, a venture capital firm, and has served as the Managing Member of its general partner entities since 2001. Prior to forming Latterell Venture Partners, Mr. Latterell was a General Partner at Venrock Associates, which he joined in 1989. Mr. Latterell served as Chairman of the National Venture Capital Association Medical Industry Group in 2003 and 2004, and also serves on the boards of several privately-held medical device companies. Mr. Latterell holds an S.B. in Biological Sciences and an S.B. in Economics from the Massachusetts Institute of Technology, and an M.B.A. from Stanford University.

Mr. Barberich has served as Chairman of our Board of Directors since 1990. He served as our President from 1984 to 1990, and as our Chief Executive Officer from 1984 until May 2007. From May 2007 until May 2008, Mr. Barberich served as our Executive Chairman. From 1984 until October 1999, Mr. Barberich also served as our President. Mr. Barberich serves as a director of BioSphere Medical, Inc. and HeartWare Limited, which are publicly traded entities, and Gem X Biotechnologies, Resolvyx Pharmaceuticals, Inc., Bionevia Pharmaceuticals, Inc. and Boston Medical Center, which are privately held entities.

Digby W. Barrios, age 71, has been a director since 1992 and currently serves on both our Compensation Committee and Nominating and Corporate Governance Committee. Since July 1992, Mr. Barrios has been an independent management consultant. From 1988 until June 1992, Mr. Barrios served as President and Chief Executive Officer of Boehringer Ingelheim Corporation, a fine chemical and pharmaceutical company.

James F. Mrazek, age 68, has been a director since 1984 and currently serves on both our Compensation Committee and Audit Committee. Mr. Mrazek served as the Chairman of our Board of Directors from 1984 until 1990. Since March 1996, Mr. Mrazek has served as Managing Partner of the Four Corners Venture Fund, a venture capital and management consulting firm. From January 1990 until March 1996, Mr. Mrazek was President of Carnegie Venture Resources, a venture capital and management consulting firm.

Dr. Mansford is a Principle of Mansford Associates, a leading consulting group serving the international biotechnology and pharmaceutical industries, and is currently a non-executive director of Sepracor, Inc. Formerly, he was head of R&D and a group board member of SmithKlineBeecham. Dr. Mansford has held non-executive directorships at SkyePharma, Kudos Pharmaceuticals and Proteome Sciences.

Lisa Ricciardi, age 49, has been a director since November 2007 and currently serves on our Compensation Committee. Since October 2007, Ms. Ricciardi has been an Adjunct Partner at Essex Woodlands Health Ventures, a venture capital firm. Prior to joining Essex Woodlands Health Ventures, Ms. Ricciardi was Senior Vice President of Licensing and Development for Pfizer, Inc., a pharmaceutical company, a position to which she was promoted in 2004 after serving as Vice President for Licensing and Development beginning in 1998.

Marshall B. Stamper, M.D. is a pioneer in the study of obesity and is the founder of Lindora, California's largest weight management organization. A graduate of the University of Mississippi School of Medicine, he established a general medical practice in California, where he became interested in the study of obesity and became one of the first physicians to specialize in bariatrics, the treatment of obesity. Alan A. Steigrod has been an advisor to the Board of Directors since 1996. Since 1996 Mr. Steigrod has served as Managing Director of Newport HealthCare Ventures, a venture capital and consulting firm. From March 1993 until November 1995, Mr. Steigrod served as President and Chief Executive Officer of Cortex Pharmaceuticals Inc. From February 1991 until February 1993, Mr. Steigrod was a management consultant. From March 1981 until February 1991, Mr. Steigrod served as Executive Vice President of Marketing/Sales of Glaxo Inc., a pharmaceutical corporation. Mr. Steigrod also serves as a director of NeoRx Corporation, Lorus Therapeutics Inc., and Sepracor, Inc.

Robert J. Wherry is the Senior Director, Computer Systems Compliance for Sepracor Inc. and has been employed in the pharmaceutical industry for over 20 years. He has worked in the areas of process development, process validation, computer validation, regulatory affairs, regulatory operations, quality assurance and corporate compliance within the pharmaceutical and biotechnology industries. Bob has lectured extensively on process validation, computer validation, biotechnology, regulatory affairs and quality assurance issues at numerous conferences. He has authored on sterility assurance validation and computer validation, and has also contributed to the editing of several computer validation publications. Bob holds a B.S in Chemical Engineering from Lehigh University.
