Matt Medeiros serves as the President and CEO of SonicWALL. Since joining SonicWALL, Mr. Medeiros has steered the company in growth through an aggressive acquisition strategy, positioning SonicWALL as a leader in the Unified Threat Management industry for both SMB and Enterprise organizations. He has driven international growth and elevated SonicWALL as the new alternative vendor to high priced complex network solutions. Prior to joining SonicWALL, Mr. Medeiros served as President and CEO of Philips Components. As the chief architect of the liquid crystal display (LCD) joint venture between Philips Electronics and LG Electronics, Mr. Medeiros established Philips as a leader in flat displays. Before Philips, Mr. Medeiros was Vice President and General Manager for the Optical Polymers Group, and Vice President of business development for the Electronic Materials division of AlliedSignal. Mr. Medeiros also has extensive background in PC manufacturing, operations and materials management following executive positions at Radius, NeXT Computer and Apple Computer. Mr. Medeiros graduated from the University of San Francisco with a bachelor's degree in business administration in management science.

Robert B. Knauff was named our Vice President, Finance, Controller and Chief Accounting Officer in November 2003. From September 1997 until November 2003, Mr. Knauff held various management roles at Rational Software Corporation, including corporate controller. Beginning in February 2003, Mr. Knauff led the financial integration of Rational Software into IBM. Prior to joining Rational Software, Mr. Knauff held various financial management and controller positions in the high technology industry. Mr. Knauff received a Bachelor of Arts degree in business economics from the University of California, Santa Barbara, and is a Certified Public Accountant in the State of California. Robert D. Selvi was named our Vice President and Chief Financial Officer in January 2005. Mr. Selvi has 25 years of experience in senior financial management roles at leading technology companies. From 1992 to 1995, Mr. Selvi held the position of chief financial officer at Claris Corporation. He was also chief financial officer at Cooper & Chyan Technology from 1995 to 1997 and Artisan Components from 1997 to 1999. Most recently, Mr. Selvi served as chief financial officer of Kontiki, a private enterprise software company, from 2001 to 2004. Mr. Selvi currently serves on the board of directors of eSilicon Corporation, Sunnyvale, California, and on the Advisory Board of Santa Clara University's Leavey School of Business. He holds a Bachelor of Science degree in Commerce and a Master of Business Administration degree, each from Santa Clara University.

Boris Yanovsky has an extensive background in engineering and management with focus on Networking and Security. Mr. Yanovsky leads the development of SonicWALL Security Services and Content Management. In this role he pioneered the development of Deep Packet Inspection Infrastructure the core technology for all SonicWALL products and Services. Before joining SonicWALL Mr. Yanovsky was a founder of NetManage Inc., where he spend 6 years helping to grow the company from a 3-man operation through a successful IPO. While at NetManage he developed industry leading TCP/IP and NFS technologies, including the first TCP/IP implementation for Windows. Prior to NetManage Mr. Yanovsky was a lead engineer, working as a subcontractor, on a "Red Phone" project for the US Air Force (RTSS program). Mr. Yanovsky holds multiple patents and is a significant force in Standards development. He was a leading contributor to Windows Sockets Standard (WinSock). Mr. Yanovsky holds bachelor's a degree in computer science from San Jose State University.

Dawn Thompson brings 20 years of human resources management experience to SonicWALL, with a focus on global, high-growth companies. Ms. Thompson has extensive experience in global growth, total reward programs, leadership and employee development, talent management, and merger and acquisition integration. Prior to SonicWALL, Ms. Thompson was the Vice President of Zoran Corporation. Previous positions include Vice President of Human Resources at CMGI Corporation, Vice President of Human Resources for Radius Corporation, Director of Human Resources at SGI and Director of Human Resources at Hewlett Packard. Ms Thompson holds a Bachelor of Science degree in Psychology from Sheffield University in England.

As vice president of corporate development, Edward Cohen is responsible for driving the company's strategic process to identify, evaluate and integrate organic and inorganic business growth options, including mergers & acquisitions, partnerships and alliances. In this role, Mr. Cohen has architected a turnaround strategy to significantly expand SonicWALL's total available market in several new growth segments, resulting in four successful acquisitions. With over 18 years of international business experience, he has held positions in M&A, venture capital, corporate strategy, new business development, program management, marketing, financial management and acquisition integration. Prior to SonicWALL, Mr. Cohen was the director of mergers & acquisitions and business development at Philips Electronics, where he led and executed all aspects of the company's external investment strategy, resulting in more than a dozen emerging technology investments with a combined market capitalization of over $12B. Before Philips, Mr. Cohen led corporate strategy for the $10B aerospace division of AlliedSignal (currently Honeywell). In August 2001, Mr. Cohen was named one of "Silicon Valley's Most Notable MBA Alumni" by Silicon Valley Business Ink. He holds an MBA in international strategic management from Duke University, and received his CPA certification in the state of Maryland.

John Gmuender has over 18 years of software and hardware engineering experience including 10 years of startup and corporate management. Mr. Gmuender came to SonicWALL with the acquisition of SecureCom Networks, the startup he founded and led as CEO and VP of Engineering, which delivered the company's secure communication appliance to market and booked first revenue in 9 months. Prior to SecureCom Networks, Mr. Gmuender led his engineering and networking consulting company, GUM, providing detailed engineering expertise on L1-L7 networking hardware and software, TCP/IP stack and driver optimization, and network security protocols to many companies including JMA/Network Translation, the developer of the PIX firewall prior to its acquisition by Cisco. During his career, Mr. Gmuender has held management and engineering roles in the development of x86 and Sparc microprocessors at Cyrix and Fujitsu/HaL Computer Systems respectively, and began his career at IBM in the Communications Division. Mr. Gmuender has several patents and publications in both hardware and software, and graduated Summa Cum Laude with a Bachelor of Science degree in Electrical Engineering from North Carolina State University.

Patrick Sweeney has over 18 years experience in high tech product marketing, product management, corporate marketing and sales development. Currently, Mr. Sweeney is SonicWALL's Vice President of the Network Security Business Unit. Previous positions include Vice President of Worldwide Marketing, Minerva Networks, Senior Manager of Product Marketing & Solutions Marketing for Silicon Graphics Inc, Director of Worldwide Sales & Marketing for Articulate Systems, and Senior Product Line Manager for Apple Computer. Mr. Sweeney holds an MBA from Santa Clara University, CA.

Andrew Klein is an invited industry speaker on the technical and business aspects of the tricks and trends in Email Security. With more than 20 years of software development and product management experience, his current focus is eradicating the scourge of spam and phishing from inboxes everywhere. Klein was instrumental in developing a "Phishing IQ Test" which has been taken by nearly 1 Million people around the world and continues to provide valuable insights into consumer interaction with phishing e-mail. His recent speaking and Web cast engagements include the FTC Spam Summit, ISSA, SANS, InfoSecurity NY, the Security Leadership Conference Series, RSA, ITEC, the MIT Spam Conference, NPR (Justice Talking) and the Commonwealth Club in San Francisco.

Bob Williams is a General Partner with Bay Partners, an early stage Venture Capital firm located in Silicon Valley managing $1B in funds being invested across a portfolio of high technology companies. Bob joined Bay in 1997. His primary area of investment interest is enterprise infrastructure hardware and software. He has also made investments in electronic design automation, carrier networking, and wireless. His past deals include WebLogic (NASDAQ:BEAS) and SonicWall (NASDAQ:SNWL). Prior to joining Bay, Bob was an entrepreneur for over 20 years. He helped to found and grow four successful startup companies in enterprise software and networking. Bob held senior executive positions in Marketing and Business Development at Ingres, Verity, and NetManage all of which became publicly traded companies. Bob holds an undergraduate degree from Dartmouth College and an MBA from the Stanford Graduate School of Business.

Cary H. Thompson serves as a director of our company. He served as a director of FIS from February 2006 until the spin-off date. Mr. Thompson served as a director of old FNF from 1992 until the merger between FIS and old FNF in November 2006. Mr. Thompson currently is a Managing Director with Banc of America Securities LLC. From 1999 to May 2008, Mr. Thompson was a Senior Managing Director with Bear Stearns & Co. Inc. Prior to that, Mr. Thompson was a director and Chief Executive Officer of Aames Financial Corporation, from 1996 to 1999. Mr. Thompson also serves as a director of FNF and SonicWall Corporation.

Charles D. Kissner has served as a director of our company since July 2000 and as Chairman of our Board of Directors from March 2003 to June 2006. He is currently chairman and chief executive officer of Stratex Networks, Inc., a global provider of wireless transmission solutions where he had served as chairman of the board since 1997 and as chief executive officer from 1995 to 2000 and from 2001 to Previously, Mr. Kissner was vice president/general manager of M/A-Com, Inc., a manufacturer of radio and microwave communication products, and president, chief executive officer and a director of Aristacom International, Inc., a communications software company. He was the executive vice president of Fujitsu Network Switching, Inc. and held several key positions at Lucent Technologies. Mr. Kissner serves on the Advisory Board of Santa Clara University's Leavey School of Business. Mr. Kissner holds a Bachelor of Science degree from California State Polytechnic University and a Master of Business Administration degree from Santa Clara University. Mr. Kissner is a member of the board of directors of ShoreTel, Inc.

Mr. Berger has served as a director of Tier since January 2002. Since April 2003, he has served as President and Chief Executive Officer of Nuance Communications, Inc., a publicly traded company that develops and markets speech recognition software. From December 2001 to December 2002, he was President and Chief Executive Officer of Vicinity Corporation, a publicly traded company providing location-based marketing services. Vicinity was acquired by Microsoft Corporation in December 2002. He has also served as the managing director of Volatilis, LLC, a private investment and aviation services firm, since its founding in June 2001. Prior to forming Volatilis, Mr. Berger served as Chairman and Chief Executive Officer of AdForce, Inc., an online advertising company, from July 1997 to June 2001. AdForce provided on-line advertising management and delivery services to publishers, completed an initial public offering in May 1999 and was acquired by CMGi, an Internet operating and development company, in January 2000. Previously, Mr. Berger served as Chairman and Chief Executive Officer of Radius, Inc., a maker of peripheral products for graphics and video applications, from 1993 to 1997. Prior to joining Radius, Mr. Berger was Senior Vice President for Worldwide Sales, Operations and Support at Claris Corporation, a developer of desktop-to-web information management software, from 1992 to 1993. Mr. Berger is also on the Board of Directors of Nuance Communications, Inc., Vicinity Corporation, Efficient Market Services and FreeFlyer, Inc. Mr. Berger received a B.S. from Bucknell University and an MBA from the University of Santa Clara.
