Brendan R. O'Neill has been a director of Tyco since March 2003. Dr. O'Neill is the former Chief Executive of Imperial Chemical Industries PLC (ICI). Prior to Dr. O'Neill's career at ICI, he held numerous positions at Guinness PLC, including Chief Executive of Guinness Brewing Worldwide Ltd, Managing Director International Region of United Distillers, and Director of Financial Control. Dr. O'Neill also held positions at HSBC Holdings PLC, BICC PLC and the Ford Motor Company. Dr. O'Neill is also a director of The Rank Group Plc, Endurance Specialty Holding Ltd., Aegis Group plc and Watson Wyatt & Company Holdings.

Chandrasekhar Ramamurthy, known as Babloo Ramamurthy, has served as Vice President, Regional Manager (Europe) since 2005 and served as a Director from 2005 to 2008. He joined The Wyatt Company in 1977. Following the establishment of the global Watson Wyatt Worldwide alliance in 1995, Mr. Ramamurthy became a partner of Watson Wyatt LLP. Mr. Ramamurthy has been based primarily in London, although between 1983 and 1986 he transferred to the international benefits and compensation consulting team based in the New York area, where he dealt primarily with the head offices of US multinational companies. Since returning to Europe, Mr. Ramamurthy has been the account manager for a number of the firm's major clients in the UK, advising on a broad range of human capital and employee benefits issues both in the UK and overseas. Mr. Ramamurthy was the Head of the European Benefits Consulting Practice from 1999 to 2004, before being appointed Managing Partner of Watson Wyatt LLP in 2004, and has also served on Watson Wyatt LLP's Partnership Board. Mr. Ramamurthy holds an honours degree in Mathematics from King's College, London.

Kevin L. Meehan has served as Regional Manager (North America) since 2006, as a Vice President since 1994 and was a Director from 1999 to 2002. Mr. Meehan joined Watson Wyatt in 1983, and has been instrumental in developing our Government Consulting Services initiative, our flexible benefits operations, our Human Resources Technologies Group and our Account Management system. Mr. Meehan has been a frequent speaker on employee benefits tax and legal issues, and has testified before the IRS, the Department of Labor and Committees of Congress on employee benefit plan issues. Mr. Meehan has a B.A. from the College of the Holy Cross and a J.D. from St. John's University Law School.

Robert J. McKee has served as Vice President and Global Director of Marketing since 2006. Mr. McKee joined Watson Wyatt in 1992 and was named Director of Marketing for Watson Wyatt & Company in 1998. Mr. McKee is responsible for: marketing strategy, planning and research; brand management; marketing communications and public relations; web-based marketing; and sales support. Prior to joining Watson Wyatt, Mr. McKee held marketing and public relations roles at Towers Perrin and at the Guardian Life Insurance Company of America. He has an A.B. degree from Columbia University.

Mr. Wright became a director in February 2008 and is a retired partner of Ernst & Young LLP. He was with Ernst & Young LLP from 1971 until 2000, most recently as an audit partner focusing on the technology sector. He was the executive vice president and chief financial officer of Quadramed Corporation, a software company, from July 2003 to September 2005. Mr. Wright also serves on the board of directors of Watson Wyatt Worldwide, a global provider of human capital consulting services. Mr. Wright earned a B.S. in accounting from the University of North Carolina.

R. Michael McCullough was employed by Booz, Allen & Hamilton Inc. ( Booz Allen ), a global consulting firm, from 1965 through 1996. He was the Chairman and Chief Executive Officer of Booz Allen from 1984 to 1992, and from 1992 until his retirement in 1996, Mr. McCullough was the Senior Chairman of Booz Allen. Mr. McCullough has served as a trustee of the Company since our initial public offering and is currently also a Director of Watson Wyatt Worldwide, a global consulting firm. Mr. McCullough was previously a director of Charles E. Smith Residential Realty, Inc. Mr. McCullough received a Bachelor of Science degree in Electrical Engineering from the University of Detroit.

Brian Wilkerson is the co-founder and CEO of WisdomNet in Denver , Colorado . WisdomNet is a boutique consulting firm focused on providing Strategy, Operations, and Human Capital solutions to businesses, government organizations, and non-profits of all sizes, including the world-class I-TMS software for integrated Talent Management. He has extensive experience in leading strategy development and operational improvement efforts across a range of clients in both domestic and international settings, with a particular emphasis on making strategy successful through the combination of operational excellence and human capital management. Some of his key clients have included Yamaha, Hasbro, the US Postal Service, Johns Manville, the US General Services Administration, and a host of other global enterprises and government agencies, where he has worked with senior executive teams to help them solve their organization's toughest challenges and capitalize on their greatest opportunities. Mr. Wilkerson has held senior management roles in large corporations such as Level 3 Communications where he was the Vice President of HR Process & Planning and Andersen Consulting (now Accenture) where he was a Senior Manager on the Global Transition & Transformation Team. He has also worked in the non-profit sector and in governmental affairs. His extensive experience includes working around the globe (with a particular emphasis on Asia ) in a variety of roles. His diverse background and focus on delivering results has helped him deliver uncommon insight to his consulting clients as well as drive innovative product and service solutions at WisdomNet. Mr. Wilkerson speaks extensively on a range of topics such as business strategy and strategic planning, innovation, global outsourcing, and talent management for organizations such as The Conference Board. The press also regularly seeks him out for his insight on a number of topics and he has been quoted in diverse publications ranging from the New York Times to the Denver Business Journal. He has also published a number of articles and book chapters. Mr. Wilkerson is actively involved in the community, with a particular emphasis on social justice issues. His educational background includes a Masters Degree in Environmental Planning from University of Colorado and a Bachelors Degree in Criminal Justice from the University of Cincinnati , as well as a Certificate in Human Resource Strategy and Practice from the Human Resource Planning Society.

Diane Lerner is a Senior Consultant in Watson Wyatt Worldwide s New York office specializing in the Executive Compensation Practice area. In this capacity, she works with companies to help them develop effective short- and long-term incentive programs that align pay with performance and long-term shareholder value creation. Assignments have included the design of stock based compensation plans for public and IPO companies, the design of phantom long-term incentive plans for private companies and subsidiaries, recommendations on Board compensation, and the development of executive and broad-based variable compensation programs. Prior to joining Watson Wyatt Worldwide, Ms. Lerner served as a Senior Consultant in the Executive Compensation Practice for the Hay Group, and was Vice President, Human Resources, of Kidder Peabody, specializing in designing executive, incentive, and sales compensation plans. Ms. Lerner has a B.S. in Industrial & Labor Relations from Cornell University and an MBA degree from New York University s Stern School of Business. She speaks widely on compensation-related subjects at industry forums such as the Global Equity Organization, National Association of Stock Plan Professionals, and Institutional Investor.
