Robert A. Bernhard began his business career with Lehman Brothers in 1953 and became a general partner of that firm in 1962. While a partner at Lehman Brothers, he headed up the investment management division, and was also on the boards of the Lehman Corporation and the One William Street Fund. Mr. Bernhard left Lehman Brothers in 1972 to become a partner and a member of the Executive Committee of Abraham & Co. In March of 1974 he was asked to become a partner of Salomon Brothers in the corporate finance department. His primary responsibilities were in the telecommunications industry and international business development; particularly the development of relationships with the Kingdom of Sweden and Japan. During his period at Salomon Brothers, the Kingdom of Sweden financed over $1 billion of debt.

Non-Management Directors . The Non-Management Directors, who currently are Messrs. James H. Stone retired as Chief Executive Officer of Stone Energy on December 31, 2000. He served as Chief Executive Officer for the Company's predecessors.
