Bionutrics, Inc. ("Bionutrics" or the "Company") is a pharmaceutical company developing and commercializing proprietary and brandable drug and/or functional nutrition products. The Company's technology development program has been primarily directed to inflammation and related lipid disorders. Recently, Bionutrics entered into an agreement with Nostrum Pharmaceuticals, Inc., a privately owned pharmaceutical development company ("Nostrum"), pursuant to which the Company obtained certain exclusive worldwide rights to Nostrum's current and future technology as applied to certain drug candidates. These products, based on proprietary formulation technology, represent improved versions of branded pharmaceutical products currently being marketed by other companies and are not necessarily limited to inflammation or lipid disorders. Nostrum has a platform of proprietary technologies that the Company believes will provide it with a specialized delivery foundation for use in its product formulation. The Company expects its development and commercialization efforts in the foreseeable future to be based primarily on the Nostrum supplied technology and/or products.
