Telecom Italia S.p.A.

Paolo Serra was born in Rome in 1954. Mr. Serra graduated in Economics. He has been Chief Financial Officer of Telecom Italia Media S.p.A. since August 2003. He is a director of HMC, La7 Televisioni, Telecom Italia Media Broadcasting, TM News and Gruppo Buffetti. Prior to that, Paolo Serra was an Assistant Controller with Wabco–Westinghouse Compagnia Italiana Segnali S.p.A. (1980-1983) and head of the Operations Control department (1983-1987) in Digital Electronic Automatic S.p.A.. In July 1987, he joined the operations control department of STET- Società Finanziaria Telefonica, where he became an executive in October 1989. He was promoted to Central Deputy Manager in April 1993. In March 1994, he took over the Group Processes and Control function in the Strategy Planning Control and Development area of the Planning and Control Department. In July 1997, following the merger between STET and Telecom Italia, he was given responsibility over the Planning and Control function over the portfolio companies in the Control and Budget area of the Administration and Control department of the newly-named Telecom Italia. Between April 2000 and June 2002, he was Chief Financial Officer of Telespazio S.p.A. (Telecom Italia Group). Between June 2002 and July 2003, he was head of the Administration and Control function of IT Telecom (Information Technology S.p.A.).

Mr. De Maio was born in 1941. He graduated in 1964 in Electronic Engineering from the Milan Polytechnic, where he is currently Ordinary Professor of Innovation Management. Mr. De Maio was Rector of the Milan Polytechnic (1994-2002) and LUISS Guido Carli in Rome (2002-2005). He was Special Commissioner of the Center for National Research (CNR) between 2003 and 2004, with the mandate to reorganize it. Professor De Maio was Chairman of the group set up by the Ministry of Education, University and Research to evaluate Excellence Centers and coordinated the committee of advisors to the Minister for University Reform (2002-2004). Professor De Maio was a member of the Board of Directors of the Ecole Centrale Paris (1998-2002), where he received a “Diploma de Docteur Honoris Causa” in 2003 and, between 2000 and 2002, was Chairman of TIME – an Association of the leading 40 technical European Universities; currently he is TIME’s Honorary Chairman At present, Professor De Maio is Chairman of IRER, Lombardy’s regional research institute, and is an advisor to the Chairman of Lombardy’s Regional Executive on University, Research and Innovation, as well as Chairman of Milan’s Roll of Engineers and Architects. He is also Chairman of the Investment Committee of the venture capital fund Next. Professor De Maio authored numerous publications on company management and on research and innovation governance. He qualifies as an independent director under Telecom Italia Media’s governance code.

Born in Nulvi (Sassari) in 1941. Graduated summa cum laude in Law from the University of Sassari, where his thesis was granted the dignity of publication, Mr. Fois is a lawyer. He has been a Professor of Commercial Law at the Law School of the University of Padua since 1993. Professor Fois served as director and Vice President of Banca Cattolica del Veneto and Mediocredito delle Tre Venezie; member of the Board of Directors of Banco Ambrosiano Veneto; director and member of the Executive Committee of Mediocredito Lombardo S.p.A.; director of Unicredito S.p.A.; member of the Board of Directors of Alleanza Assicurazioni S.p.A.; director of Stefanel S.p.A.; Chairman of the Board of Directors of Aprilia S.p.A.; member of the Board of Directors of S.E.P. (Società Editrice Padana). Currently Professor Fois is Vice President of Unicredit Private Banking S.p.A., member of the Board of Directors of Unicredit Xelion Banca S.p.A. and is a member of the Board of Directors of Telecom Italia Media S.p.A. He is a member of the editorial board of the Journal “Giurisprudenza Commerciale” (“Commercial Case Law”). Member of the Scientific Committee of the Journal “Il diritto dell’economia” (“Law and Economics”). He authored numerous publications in corporate law, banking and insurance. He qualifies as an independent director under Telecom Italia Media’s governance code.

MARIO ZANONE POMA Born in Zumaglia, near Biella, in 1939. Graduated in Economics. Mr. Zanone Poma started his a career with Olivetti in 1960, working in its sales department until 1964. Between 1964 and 1973, he was marketing manager with Rank Xerox. Eventually, he joined Hoechst, where he helped to set up Kalle Infortec in Italy, becoming its General Manager. In 1989-1990, he worked with Fininvest, where he designed and implemented the initial stages of a pay-TV project. Between 1990 and 1997 he was Single Director and, eventually, Chief Executive Office and Deputy Chairman of Telepiù. Between 1998 and 2006 he was a Commissioner of the Cariplo Foundation. Currently, he is Chairman of Intesa Mediocredito S.p.A., Chairman of the Italy-China Chamber of Commerce, Chairman of Governance Consulting, Chairman of Agite S.p.A., Director of Arena S.p.A., Director of Adecco Italia Holding di Partecipazione e Servizi S.p.A., Director of Adecco Italia S.p.A., Director of Tethis S.r.l. He is the leader of the independent directors of Telecom Italia Media and is Chairman of the Internal Control Committee. Born in Rome in 1933. Graduated in Law. He started practicing law in Rome, admitted to argue before Higher Jurisdictions, and was Senior Partner of the legal firm of Ristuccia & Tufarelli. Between 1976 and 1987 Sergio Ristuccia was Secretary General of the Adriano Olivetti Foundation, after he had joined its Executive Committee in 1970. Between 1980 and 1982 he was Head of Cabinet of the Minister of the Treasury (Beniamino Andreatta). Between October 1986 and May 1990 Mr. Ristuccia was Secretary General of the Court of Accounts. In 1992, after he resigned from the Court of Accounts, he started his own consulting practice. Between 1993 and 1997 he was chairman of Ernst & Young amministrazioni pubbliche e organizzazioni non profit S.r.l. Between 1993 and 2000 he was Chairman of CRESME, a center for economic, sociologic and market research for the construction sector. Between 1995 and 2000, Mr. Ristuccia was a member of the Board of directors of Risorse per Roma S.p.A.; currently he is this company’s Chairman of the Supervisory Board. Between November 1996 and February 1999 he was a member of the Board of Directors of the Italian Space Agency. He was a member of the Executive Committee of the European Cultural Foundation based in Amsterdam. Between November 1996 and February 2004 he was member of the General Board of Compagnia di San Paolo Foundation. He is Chairman of the Italian Council for Social Sciences and is editor of the journal “Queste Istituzioni” (“These Institutions”) He authored numerous publications on Government Budget and Public Finances, Foundations and market finance for local public utilities, technology transfers. Sergio Ristuccia qualifies as an independent director under Telecom Italia Media’s governance code.
