Teleflex strives to maintain a portfolio of businesses that provide consistency of performance, improved profitability and sustainable growth. Over the past several years, we significantly changed the composition of our portfolio through acquisitions and divestitures to improve margins, reduce cyclicality and focus our resources on the development of our core businesses. On March 20, 2009, we completed the sale of our 51 percent share of Airfoil Technologies International Singapore Pte. Ltd. (ATI Singapore) to GE Pacific Private Limited for $300 million in cash. We recognized a gain of approximately $179 million, net of $97 million of taxes, in discontinued operations. We are also party to an agreement with General Electric Company (GE) that will permit us to transfer our ownership interest in the remaining ATI business (together with ATI Singapore, the ATI Business) to GE by the end of 2009. We used $240 million of the proceeds to repay long-term debt. (See Note 17 to our condensed consolidated financial statements included in this report for discussion of discontinued operations).

Min Chen . Mr. Chen became a Director of our company in October 2007. Since 1996, Mr. Chen has served as Vice President of Corporate Business Development for Asia at Teleflex Inc., a New York Stock Exchange-listed company. From 1992 to 1996, Mr. Chen was a professor of international business at the American Graduate School of International Management at Thunderbird School of Global Management, where he taught competitive strategy, comparative management and negotiation. During that time, he also taught as a guest lecturer at Beijing University and Singapore Nanyang Technology University, among other Asian universities.

Mr. Smith is the managing partner for the Sales Research Group, a research and consulting organization. Since January 1999, Mr. Smith has also been the Chief Executive Officer of BFS & Associates LLC, a company specializing in strategic planning and venture investing. From January 2000 until December 2005, Mr. Smith also served as a speaker and author at The Gallup Organization, a global research-based consultancy firm. Martin S. Headley was appointed Executive Vice president and CFO in January 2008.
