Marvin O. Schlanger was elected Director and Vice Chairman of the Board of Directors of the Company on June 29, 2005. Mr. Schlanger served as Chairman and Chief Executive Officer of Resolution Performance and RPP Capital Corporation since November 2001 until the closing of the Hexion Formation. Since October 1998, Mr. Schlanger has been a principal in the firm of Cherry Hill Chemical Investments, LLC, which provides management services and capital to the chemical and allied industries. Mr. Schlanger is also a director of AmeriGas Partners L.P., UGI Corporation, UGI Utilities, and Momentive Performance Materials, Inc., and a director and Chairman of the Board of CEVA Group Plc. Prior to the Hexion Formation, he was a director and Chairman of the Board of RPP Capital and Resolution Specialty Materials, Inc. Mr. Schlanger is Chairman of the Environmental, Health and Safety Committee of the Board of Directors.

Richard C. Gozon Chairman of the Board * Age 70. * Chairman of the Board of Directors of AmerisourceBergen since February 2006. * Director of AmerisourceBergen since August 2001. * Director of AmeriSource Health Corporation from 1994 to August 2001. * Executive Vice President of Weyerhaeuser Company (international forest products company) and Chairman of North Pacific Paper Company (a joint venture between Weyerhauser Company and Nippon Paper Industries) from June 1994 until his retirement in 2002. * Also a director of AmeriGas Propane, Inc., Triumph Group, Inc. and UGI Corporation and a member of the Board of Trustees of Thomas Jefferson University.

Stephen Ban is the Director of Technology Transfer at Argonne National Laboratory, a major center of science and engineering research in the Chicago area operated by the University of Chicago for the Department of Energy. Argonne provides solutions to critical energy, environmental, and security problems through research, development, and transfer of technology to industry partners. Dr. Ban is responsible for leadership of Argonne efforts in intellectual property stewardship, technology exchange with industry, cooperative program development, implementation of commercialization strategies, and identification/launch of new ventures and start ups. Prior to joining Argonne, Dr. Ban was the President of the Gas Research Institute (GRI); in this position he led the gas industry's major cooperative research program in developing advanced natural gas technologies. During his tenure, GRI brought more than 300 new gas related products, processes, and technologies into commercial use through joint research and commercialization programs with industry, government, and academic partners. The focus of the program was basic and applied research to reduce the cost of finding and producing natural gas and to develop new utilization technologies with increased benefits to gas users. Before joining GRI, Dr. Ban led research programs in industry at the Bituminous Materials Company in Terre Haute, Indiana, and Battelle Memorial Institute in Columbus, Ohio. Dr. Ban is currently a member of the Board of Directors of UGI Corporation, a national propane marketer and a member of the Board of Directors of Energen Corporation, a natural gas producer and distributor. He is also on the Board of Advisors of the Illinois Technology Enterprise Center (Argonne). Dr. Ban holds degrees in engineering and engineering science from the Rose Hulman Institute of Technology and the Case Western Reserve University. He is a registered Professional Engineer in the states of Indiana and Ohio.

Mr. Trego is President and Chief Executive Officer of UGI Utilities, Inc. (since October 2004). He previously served as Vice President-Electric Distribution (2002 to 2004). Prior to that assignment, Mr. Trego served in a number of capacities in the Gas Utility Division, including marketing, operations, customer relations and engineering. He joined UGI Utilities in 1987.

Mr. Hall is Vice President New Business Development (since October 1994). He also serves as President of UGI Enterprises, Inc. (since 1994). He joined the Company in 1982 and held various positions in UGI Utilities, Inc., including Vice President Marketing and Rates.

Mr. Bissell is President, Chief Executive Officer and a Director of AmeriGas Propane, Inc. (since July 2000), having served as Senior Vice President Sales and Marketing (1999 to 2000) and Vice President Sales and Operations (1995 to 1999). Previously, he was Vice President - Distributors and Fabrication, BOC Gases (1995), having been Vice President National Sales (1993 to 1995) and Regional Vice President (Southern Region) for Distributor and Cylinder Gases Division, BOC Gases (1989 to 1993). From 1981 to 1987, Mr. Bissell held various positions with the Company and its subsidiaries, including Director, Corporate Development. Mr. Bissell is a member of the Board of Directors of the National Propane Gas Association and a member of the Kalamazoo College Board of Trustees.

Mr. Kelly is Vice President Finance and Chief Financial Officer (since September 2007). He previously served as Executive Vice President and Chief Financial Officer of Agere Systems, Inc., a global manufacturer of semiconductors, a position in which he served from 2005 to 2007. Mr. Kelly served as Executive Vice President-Global Operations for Agere Systems, Inc. (2001-2005). Mr. Kelly currently serves on the board of directors and the audit and compensation committees of Plexus Corp., an electronics manufacturing services company.

Mr. Varagne is Chairman of the Board and Chief Executive Officer of Antargaz (since 2001). Before joining Antargaz, Mr. Varagne was Chairman of the Board and Chief Executive Officer of VIA GTI, a common carrier in France (1998-2001). Prior to that, Mr. Varagne was Chairman of the Board and Chief Executive Officer of Brink s France, a funds carrier (1997 to 1998).

Ms. Puccio is Senior Vice President, Finance of Saint-Gobain Corporation, the North American business of Compagnie de Saint-Gobain, a global manufacturer and distributor of flat glass, building products, glass containers and high performance materials (since 2006). Ms. Puccio was formerly Vice President, Finance (2005 to 2006) and Vice President, Internal Control Services (2002 to 2005) of Saint-Gobain. Prior to joining Saint-Gobain, she was a partner with PricewaterhouseCoopers LLP, a public accounting firm (1997 to 2002), having joined Price Waterhouse in 1984. Ms. Puccio is a Director of Girl Scouts of Eastern Pennsylvania.
