Raymond P. Davis, age 59, serves as director, President and Chief Executive Officer of Umpqua, positions he has held since the Company’s formation in 1999. Mr. Davis has served as a director of Umpqua Bank since June 1994. He has served as Chief Executive Officer of Umpqua Bank from June 1994 to December 2000 and from November 2002 to the present. He has also served as President of Umpqua Bank from June 1994 to December 2000 and from March 2003 to the present. Prior to joining Umpqua Bank in 1994, he was President of US Banking Alliance in Atlanta, Georgia, a bank consulting firm. He has over 30 years experience in banking and related industries.

Brad F. Copeland, age 60, serves as Senior Executive Vice President and Chief Credit Officer of Umpqua and Umpqua Bank. He has served as Chief Credit Officer since December 1, 2000. Mr. Copeland served as Executive Vice President and Credit Administrator of VRB Bancorp and Valley of the Rogue Bank from January 1996 until their merger with Umpqua in December 2000.

Ronald L. Farnsworth, age 38, serves as Executive Vice President/Chief Financial Officer of Umpqua, a position he has held since January 2008 and Principal Financial Officer of Umpqua, a position he has held since May 2007. From March 2005 to May 2007, Mr. Farnsworth served as Umpqua’s Principal Accounting Officer. From January 2002 to September 2004, Mr. Farnsworth served as Vice President – Finance of Umpqua. Mr. Farnsworth served as Chief Financial Officer of Independent Financial Network, Inc. (“IFN”) and its subsidiary Security Bank from July 1998 to the time of IFN’s acquisition by Umpqua in December 2001.

Barbara J. Baker, age 59, serves as Executive Vice President – Cultural Enhancement at Umpqua and Umpqua Bank, positions she has held since September 2002. Ms. Baker served as Oregon site executive for IBM’s server division (formerly Sequent Computer Systems, Inc.), where she managed human resources services and programs as well as corporate communications and community relations. Prior to joining Sequent, Ms. Baker served as Vice President of Human Resources for First Interstate Bank (now Wells Fargo).

Daniel A. Sullivan, age 57, serves as Executive Vice President/Strategic Initiatives of Umpqua and Umpqua Bank. He served as Chief Financial Officer of the Company from 1997 to 2007 and served as Chief Information Officer in 2008. Prior to that time, Mr. Sullivan served as Vice President of Finance for Instromedix of Hillsboro, Oregon and worked as Senior Vice President and Controller for US Bancorp in Portland, Oregon.

Neal T. McLaughlin, age 40, serves as Executive Vice President/Treasurer of Umpqua, a position he has held since February 2008 and Principal Accounting Officer, a position he has held since May 2007. From February 2005 to February 2008, he served as Senior Vice President and Controller of Umpqua. From 2002 until joining Umpqua, Mr. McLaughlin served as Senior Vice President and Chief Financial Officer of Albina Community Bancorp and before that was Executive Vice President and Chief Financial Officer at Centennial Bancorp and Columbia Bancorp.

Mr. Carey is Executive Vice President and Manager of Retail Banking for Umpqua Bank. Umpqua Bank is a $9BB multi-state community banking organization with over 150 offices in Oregon, California and Washington. Mr. Carey's responsibilities include achieving growth goals for both consumer and small business in market share, deposits and loans. Prior to joining Umpqua Bank, Mr. Carey was a senior consultant for Oxxford Information Technology, as well as an independent consultant, providing customer driven solutions for Small Business and Consumer segmentation and marketing. Mr. Carey specializes in using customer information to drive actionable marketing strategies and segment initiatives. Prior to joining O.I.T, Mr. Carey was Small Business Segment Manager and Small Business Marketing Director of $270 billion Bank One Corporation. Responsibilities included development of segmentation strategies, implementation and execution of targeted marketing programs and execution of Small Business segment strategic initiatives. Prior to joining Bank One, Mr. Carey was Senior Vice President and Manager of Client Strategies for the Retail and Small Business segments at First Commerce Corporation in New Orleans, LA. His responsibilities included the development and implementation of strategic plans in the areas of segmentation, marketing, product development, product packaging, sales management, delivery channels and segment financial performance. Prior to joining First Commerce, Mr. Carey spent 24 years with U.S. Bancorp where he was Sr. Vice President and Manager of Cash Management and Commercial Product Management. Mr. Carey has been a guest speaker at numerous seminars and conferences sponsored by Source Media, BAI, CBA, ABA, RMA and the Business Banking Board, has been an instructor for the BAI Retail School of Banking and has been published in Banking Strategies Magazine and the American Banker. He is a graduate of the Pacific Coast Graduate School of Banking at the University of Washington.

Steven L. Philpott, age 57, serves as Executive Vice President and General Counsel of Umpqua and Umpqua Bank, positions he has held since November 2002. He has served as Corporate Secretary of Umpqua and Umpqua Bank since 2004. Mr. Philpott served as General Counsel for Centennial Bancorp from October 1995 until its merger with Umpqua in November 2002. Prior to that time, he was in private practice in Eugene, Oregon.

Mr. Timm joined Columbia in June 1997 as Corporate Controller and was named Chief Financial Officer in July 2002. In 2003 Mr. Timm was named Vice President, Chief Financial Officer & Treasurer. In May 2008 he was promoted to Chief Operating Officer and named Executive Vice President in October 2008. Prior to joining Columbia, Mr. Timm held various financial positions with Oregon Steel Mills from 1991 to 1997, rising to Divisional Controller for CF&I Steel, Oregon Steel Mills' largest division. From 1986 to 1991, Mr. Timm was an accountant with KPMG LLP. Mr. Timm is a member of the Board of Directors of Umpqua Holdings Corporation and Doernbecher Children’s Hospital Foundation. He is also a member of the College of Business and Economics Advisory Board for the University of Idaho.

Dan Giustina, age 59, serves as Vice-Chair of Umpqua’s board and has served as a director since the Centennial Bancorp merger in November 2002. He served as a director of Centennial Bancorp and Centennial Bank from 1995 to 2002. Mr. Giustina is managing partner of Giustina Resources, which owns and manages timberland, and a member and manager of G Group LLC, which owns and manages residential and commercial real estate. Mr. Giustina is the past Chairman of the University of Oregon Foundation and is a board member of the Oregon Forest Industries Council.

David B. Frohnmayer, age 68, has served as a director since the Company’s formation in 1999 and as a director of Umpqua Bank since 1996. Mr. Frohnmayer is the President of the University of Oregon in Eugene, and has served in that capacity since 1994. He is the former Dean of the University of Oregon School of Law and former Attorney General of the State of Oregon. Until December 2003, he served on the board of Tax-Free Trust of Oregon.

Diane D. Miller is President and a Shareholder of Wilcox Miller & Nelson. Previously, Ms. Miller served as Vice President for Portfolio Management for a real estate company in the San Francisco Bay Area, with a $.5B portfolio located in 30 states. Ms. Miller has served on the boards of directors of professional, civic and arts organizations. She was the Board Chairman of the Sacramento Metropolitan Chamber of Commerce in 2001. Ms. Miller currently sits on the Boards of the California Chamber of Commerce and is Vice Chair of their Employee Relations committee; the Nasdaq listed, $7B, Umpqua Holdings Company; the National Association of Corporate Directors Northern California Board; and is a Regent for University of the Pacific. Ms. Miller is a graduate of the Federal Deposit Insurance Corporation, Directors' College, UCLA's Directors' College, and NACD's Director Certification Course. The Sacramento Business Journal and the Sacramento Metropolitan Chamber of Commerce's Business Volunteers in the Arts have honored Ms. Miller for her professional and volunteer efforts. She is listed in Marquis' Who's Who in America (Millennium Ed.) and its Who's Who of American Women, and was named "Sacramento Businesswoman of the Year" in 2003. Ms. Miller earned her Bachelor's of Science degree in Applied Behavior Analysis from the University of the Pacific and her Masters of Business Administration (Marketing) from Golden Gate University.

Mr. Whittaker is Vice President, Operations and oversees 10 daily newspapers in California, Florida and the Midwest - The Sacramento Bee, The Fresno Bee, The Modesto Bee, the Merced Sun-Star, and The (San Luis Obispo) Tribune, in California; The Miami Herald, El Nuevo Herald and Bradenton Herald, in Florida; the Lexington Herald-Leader in Kentucky; and the Belleville News-Democrat in Illinois. He was named to this position in 1997. Mr. Whittaker joined McClatchy as General Manager of The Sacramento Bee in 1985 and from 1990 to 1997 served as both President and General Manager of that newspaper. The previous 13 years, Mr. Whittaker served The Toronto Star in a variety of management positions, including Director of Strategic Planning and Circulation Director. Mr. Whittaker is past President of the California Newspaper Publishers Association and currently is on the Board, and serves as Treasurer, of the Audit Bureau of Circulation. He also belongs to the Boards of the Sacramento Regional Foundation and the Graduate School of Business at the University of California, Davis.

Peggy Fowler, retired chief executive officer and president of Portland General Electric (PGE), has 35 years of experience in the utility business. In that time, she managed almost every major area of PGE. Fowler began her tenure at PGE in 1974 as a chemist in the company's analytical laboratory where she performed extensive environmental testing. She later managed that department and eventually worked her way up through the ranks to hold senior officer posts as head of PGE's Customer Service and Delivery areas; Power Production; Hydroelectric and Substation Operations; and one of PGE's largest divisions, the Gresham Division. She also has served as PGE's chief operating officer of distribution operations. Fowler earned a bachelor's degree in chemistry and mathematics from George Fox University in Newberg, Ore. She also has completed the specialized training offered in public utility executive programs at the University of Michigan and the University of Idaho. Fowler resides in Tigard, Ore., with her husband, Bob. Together, they have raised two sons. She enjoys outdoor activities, including golf and skiing. Fowler serves in several volunteer capacities that contribute to the future of the community, including the boards of Oregon Business Council, the Regence Group, Regence BlueCross BlueShield of Oregon, SOLV Founders' Circle, Four County Economic Development Corp., and the Oregon Independent College Foundation. Since 2004, she has been an ambassador for the American Heart Association's "Go Red for Women" campaign.

Ronald F. Angell, age 66, was appointed to the board in July 2004 and was elected in 2005. He served as a director of Humboldt Bancorp from 1996 until it was acquired by the Company in 2004. He served as a director of Humboldt Bank from 1989 to the date of the merger. Mr. Angell is a retired attorney and was a partner in the Eureka, California firm of Roberts, Hill, Bragg, Angell & Perlman. He currently serves as a director of the Sunriver Service District.

Stephen M. Gambee, age 45, was appointed to the board in July 2005 and was elected in 2006. He is the President and CEO and a shareholder of Rogue Valley Properties, Inc. and a Managing Member of Rogue Waste Systems LLC, solid waste collection and disposal businesses. Prior to assuming the duties of the family businesses, Mr. Gambee was employed by Robert Charles Lesser & Co. /Hobson & Associates as the Pacific Northwest Director of Consulting. He is a director and secretary of the St. Mary’s School Community Foundation.
