Alan F. Schultz, 49, is Chairman, President and Chief Executive Officer of Valassis. He serves on the Valassis' Board of Directors as the Chairman of Valassis' Executive Committee. The company is a respected leader within the marketing services industry and is well known for its innovative promotional media properties. Under his leadership, Valassis increased its revenue from $762.2 million in 1998 to $2,242.2 in 2007. In 2007 Schultz led the company through a $1.2 billion acquisition and integration of ADVO, Inc., the nation’s leading direct mail media company. The combined company has 7,000 employees in 28 states and nine countries. Valassis has received more than 30 awards for excellence in business ethics, quality, innovation and employee life-balance practices. Schultz serves on the Board of Directors of the The Ad Council, The American Advertising Federation and R.H. Donnelly and is regarded as an industry pioneer in building convergence among the promotion and advertising industries. He has served as a Director of Valassis since December 1995 and was elected CEO and President in June 1998, and appointed Chairman of the Board of Directors in 1998. Prior to these appointments, he served as Executive Vice President and Chief Operating Officer from 1996 to 1998 and held numerous leadership positions in sales, marketing, operations and finance with the company. Schultz joined Valassis from Deloitte and Touche in 1984. A CPA, he graduated with distinction in 1981 from the University of Michigan.
President and CEO of NCH Marketing Services, Inc. Brian J. Husselbee, 56, is President and Chief Executive Officer (CEO) of NCH Marketing Services, a wholly-owned subsidiary of Valassis. In addition to his leadership at NCH, Husselbee leads the Valassis International and Services group which includes Promotion Watch, a security services company, and businesses in Canada, the United Kingdom, Spain, Italy, Germany and China. Born and educated in the United Kingdom, Husselbee has over 35 years of experience working with major packaged goods manufacturers and retailers around the world. He began his career with AC Nielsen in market research and joined the Nielsen Clearing House (NCH) U.K. business in 1977. While at NCH, he has served in a variety of leadership positions including: Senior Vice President and General Manager of NCH, General Manager of NCH U.K., Managing Director of NCH Europe and President of NCH Canada. In 1997, he became CEO of NCH's global business. Husselbee's global perspective combined with his strong management and team building skills gives him the ideal experience to lead the company's growth in the international arena. Husselbee originally joined Valassis in 1998 as a member of the company's Board of Directors. After Valassis acquired NCH Marketing Services in 2003, Husselbee moved into his current position.

Robert L. Recchia, 51, is Executive Vice President and Chief Financial Officer at Valassis. In this position, Recchia is responsible for all aspects of
finance, accounting, media and purchasing. Recchia has been a member of Valassis’ Board of Directors since 1991. Since joining the company in 1982, Recchia
has held a number of key positions, including treasurer and vice president of operations, and has contributed greatly to the company’s financial and
operational development. His responsibilities in the areas of accounting and finance include the oversight of all acquisitions and joint ventures. Over the
years, Recchia has been responsible for creating the company's tax strategies and improving its debt structure during both private and public ownership.
During his tenure as Vice President of Operations, Recchia reorganized the company’s operations, purchasing, traffic and inventory areas to create better
efficiencies and a stronger framework for growth. This built a solid operational foundation, which remains in place today.
Richard P. Herpich, 55, is Executive Vice President, Sales and Marketing at Valassis. With more than 25 years of sales and marketing experience, Herpich is responsible for the company's U.S.-based sales efforts. Under his leadership, Valassis’ sales revenue has grown from $563 million in 1994 to $2,242.2 million in 2007. Herpich’s leadership style is both innovative and strategic and has driven the evolution of the Free-Standing Insert (FSI) from a mass coupon distribution tool to a targeted, strategic promotion solution. Under his watch, the Valassis selling process has evolved to include sophisticated research and analytics and the company’s portfolio has grown to include a wide array of products and services. Herpich challenges his team to provide media plans that build brand equity and drive results. Herpich has been at the forefront of industry trends toward Strategic Account Management, leading the company’s transition to client-focused selling.
William F. Hogg Jr., 61, is Executive Vice President of Manufacturing and Client Services at Valassis. In addition to this role, Hogg leads the Valassis
Environmental Initiative. Hogg is committed to helping Valassis maintain its low-cost producer status and reputation for stellar customer service. Hogg’s
highest priorities are to continue building a competitive manufacturing organization that utilizes the latest technology and equipment for all of the
company’s product lines. He is also committed to creating integrated systems in client services to make the purchase of multiple products seamless to
clients. Hogg challenges his team to produce quality products in an efficient manner, reduce waste and always keep safety a number one priority. An
exceptional leader with a strong customer background in manufacturing, client services and sales, he is responsible for the company’s four printing
facilities; 17 shared mail plants; Client Services division; Valassis Promociones, a fulfillment company in Mexico; and three clearing facilities in Mexico.
Under his watch, Valassis has established itself as a leader in the graphic arts industry having won numerous Gold Ink Awards as well as having been named on
both IndustryWeek magazine’s “50 Best Manufacturing Companies” list for three consecutive years and Electronic Publishing magazine’s “Top 20 Printing Firms
That Inspire the Industry” list in 2004. When Valassis acquired ADVO Inc. in March 2007, Hogg was charged with leading integration efforts and helping to
build the nation’s leading marketing services company. He established a functional leadership team and key integration milestones, to drive integration
success.
Laurel K. Greer, Vice President of Pet Helpers, Inc. joined the Board of Directors in 1999. Laurel moved permanently to the Charleston area in that same year. She is a retired Group Vice President of Valassis Communications, a sales and marketing firm in Michigan. Specific responsibilities included the management of over 100 people, $200 million dollars in purchases of advertising space, and three divisions with an operating budget exceeding $1.5MM. Other eleemosynary efforts have included board positions or volunteer work with: an organization that runs homes for homeless young single women with infants; a child abuse organization; and, two other homeless pet organizations.

Wallace Snyder, 65, American Advertising Federation (AAF) President & Chief Executive Officer, has served as a Member of the Valassis Board of Directors
since January 2008 where he is the Chairman of the Audit Committee. Based in Washington, D.C., Snyder serves as the AAF’s chief spokesman and keeps well
informed on advertising industry issues. Representing nearly 50,000 members – including 130 corporate members, 210 local ad federations and 210 college
chapters – Snyder often testifies before federal and state lawmakers on issues of importance to the advertising industry. He also serves the industry as a
board member of several national organizations, including The Ad Council, the Advertising Educational Foundation and the National Advertising Review Council,
which oversees advertising self-regulation. Prior to joining the AAF, Snyder was associate director for advertising practices at the Federal Trade
Commission’s Bureau of Consumer Protection, where he served as principal adviser to the FTC on advertising issues. Snyder also served as the FTC’s liaison
officer to the Food and Drug Administration and worked on a number of congressional proceedings involving the FTC. A 16-year veteran of the FTC, Snyder
joined the Commission as a trial attorney and was involved in litigation for a variety of cases. Before signing on at the FTC, Snyder spent two years as an
officer in the US Army. Snyder is a graduate of the University of Iowa, where he was elected student body president, and received his Juris Doctor degree
from the University of Iowa College of Law. He is a member of the bar of the District of Columbia.

Dean Marcella A. Sampson, 77, has served as a Member of Valassis' Board of Directors since August 1998 where she is a member of the Corporate Governance/Nominating Committee and Compensation/Stock Option Committee. She retired in 1999 from Central State University (CSU) in Wilberforce, Ohio. CSU is the oldest predominantly African-American university in the United States. During her 35 years of service to CSU, she served as Dean of Students and directed the CSU Career Services Center since 1975. Dean Sampson has also assisted with the placement of over 6,000 CSU graduates throughout American businesses. She has received awards and honors for her work in the field of education and is a recognized expert in college student placement, particularly experiential opportunities. She was awarded the National Service Commendation by former President Jimmy Carter at a ceremony at the White House and also received Chairperson of the Year from the National Alliance of Business. Her publications include National Youth Motivation Program Manual (co-author); Career Services Manual, “Interviewing in Perspective”; Cooperative Education Student – Employer Brochure; Handbook for Recruiting the New CSU Student; and the 1998-2000 CSU student handbook. She has served on the North Central (collegiate) Association Steering Subcommittee and the CSU Academic Progress Committee, and has served as the Americans with Disabilities Act Compliance Officer for CSU and has advised the Retention, Homecoming and Commencement committees for her university. She is also a member of the Career Advisory Council at Cedarville University in Cedarville, Ohio. Dean Sampson received her undergraduate degree in business administration from CSU and her Master’s degree in Education from the University of Dayton. She brings an inspirational life story to the corporation and its employees including the fact that in the 1930s her mother and father were the subject of a historic lawsuit to overturn Ohio’s miscegenation law against interracial marriages. Dean Sampson also actively participates in employee morale-building and recruiting events and advises the Human Resources department and the Valassis Diversity Council.

Dr. Walter H. Ku, Ph.D., 72, has served as a Member of Valassis' Board of Directors since February 2003 where he is a member of the Corporate Governance/Nominating Committee and Compensation/Stock Option Committee. Dr. Ku is an internationally known scientist in the field of electronic systems and systems controls. He is professor of Electrical and Computer Engineering at the University of California, San Diego, and is the founding director of the National Science Foundation Industry/University Cooperative Research Center on Ultra High-Speed Integrated Circuits and Systems. Dr. Ku also consults and teaches in China and Taiwan. Dr. Ku is a member of the IEEE MTT (Institute of Electrical and Electronics Engineers, Microwave Theory and Techniques) Editorial Board and the Associate Editor of the Journal of the Franklin Institute. His credentials include a bibliography of over 200 publications and he holds several patents. His extensive consulting experiences at TRW, Honeywell, Atlantic Research, COMSAT Lab., Rockwell Science Center, Titan, Cubic, ISL and Qualcomm as well as his internationally recognized expertise have assisted businesses with developing high-level international relationships and opportunities. He was a full professor at Cornell University and the first occupant of the Naval Electronic Systems Command Research Chair Professorship at the Naval Post-Graduate School. Dr. Ku was with the GT&E Sylvania Applied Research Laboratory of Waltham, Mass. where he worked successively from an Engineering Specialist role to Principal Investigator of a number of agency-funded contracts including a number of Air Force, NASA and NSA contracts. Dr. Ku earned a Bachelor of Science degree in Electrical Engineering from the University of Pennsylvania and a Master's of Science and a Ph.D. in Electrical Engineering from the Polytechnic Institute of Brooklyn. Dr Ku's father is revered in China and considered one of the greatest scholars in Chinese history. The Valassis Board of Directors has valued Dr. Ku's perspective on China as the company grows its business there. In addition, he is sound advisor to the Board in the areas of technology and the management of complex systems.
