James F. Arneson. On April 21, 2005, VFG entered into an Employment Agreement with Mr. Arneson, the President of VFG and President and Chief Executive Officer of the Bank, contingent on the closing of the merger with Washington Commercial Bancorp. Employment began on September 2, 2005, the date the merger with Washington Commercial Bancorp was consummated. The Agreement has an initial three year term and will automatically renew for an additional one year term as of the end of each term. During the term of his agreement Arneson shall be entitled to receive all employee benefits that the Company provides to its executives. Additionally, the following are included: medical, dental, life insurance, KSOP & ESOP, voluntary life insurance and long-term disability insurance.

Sandra L. Sager. On November 9, 2005, VFG entered into an Employment Agreement with Ms. Sager, the Executive Vice President, Chief Financial Officer of VFG and of the Bank. Employment began on December 19, 2005. The Agreement has an initial two year term and will automatically renew for an additional one year term as of the end of each term. During the term of this agreement Sager shall be entitled to receive all employee benefits that the Company provides to its executives. Additionally, the following are included: medical, dental, life insurance, KSOP & ESOP, voluntary life insurance and long-term disability insurance.

Doug Thatcher resides in Normandy Park (King County Council District 8) and is VP, Business Banking Manager Development & Construction at Venture Bank in Kent. Doug currently serves on the board at the Highline YMCA and has served as President and Board Chair for The Hi-Liners, a youth performance organization in Burien. Doug has been involved in the arts since he was a child performing with the Hi-Liners and now as an amateur drummer in two bands and a season subscriber to several arts organizations. He holds degrees from the University of Washington and California Polytechnic School of Management Banking.

Ken F. Parsons, Sr., a founder of Venture Bank in 1979, serves as our Chairman and Chief Executive Officer. He has served as our CEO since 1990 and served as President from 1990 to 2005, when Mr. Arneson returned as President. After completing the successful transition of leadership to Mr. Arneson, Mr. Parsons' employment as Chief Executive Officer transitioned to a strategic oversight role effective July 1, 2007. He will continue to lead us in strategic initiatives. From 1981 to 1990, Mr. Parsons was the first President of a national telecommunications company. Mr. Parsons is a current Board member and past Chairman, Washington Independent Community Bankers Association (WICBA); Washington State Director of Independent Community Bankers of America (ICBA); Director of TCM Bank; Executive Committee Member, Treasurer, and Board Member of ICBA; and Director of Bancard, Inc. Mr. Parsons is a former Chairman (and Chairman-elect) of, and currently serves on the board of trustees of Saint Martin's University, past President of Lacey Rotary and on the board of the Association of Washington Business.
