Vertex Pharmaceuticals Inc.

Ian Smith joined Vertex in November 2001. Prior to joining Vertex, Mr. Smith served as a partner in the Life Science and Technology Practice Group of Ernst & Young LLP, an accounting firm, from 1999 to 2001. As Vertex’s CFO, Mr. Smith holds responsibility for a wide variety of core functions at Vertex, including Finance, Strategic Communications, Information Systems and Operations. Mr. Smith is also a member of the Executive Team at Vertex. Mr. Smith received a B.A. with honors in Accounting and Finance from Manchester Metropolitan University. Mr. Smith is a current member of the American Institute of Certified Public Accountants, the Institute of Chartered Accountants of England and Wales, and the Financial Executives Institute. Mr. Smith is a member of the Board of Directors of Acorda Therapeutics, Inc, Epix Pharmaceuticals, Inc. and TolerRx Inc. Additionally, he is a board member of the Massachusetts Biotechnology Council and is Chair of its Policy Committee.

Mr. Graves joined in July 2007 to lead Vertex’s strategic development and commercial functions as well as the business development group. Prior to joining Vertex, Mr. Graves held various executive positions at Novartis Pharmaceuticals from 1999 to present, most recently as Global Head of General Medicines Business Unit & Chief Marketing Officer, Pharmaceuticals. Prior to that, Mr. Graves served as Senior Vice President & General Manager – US Pharma & Commercial Operations; Vice President, Head of US Marketing & Primary Care Franchises; and Vice President & Business Unit Head: Respiratory, GI, Dermatology and Bone Franchises. Prior to joining Novartis, Mr. Graves was GI Business Unit Head – US Gastrointestinal Franchise, at Astra Pharmaceuticals, LP from 1997 to 1998. From 1993 to 1997, Mr. Graves served in a variety of roles at Astra Merck Pharmaceuticals including Executive Director, Business Unit Commercialization Leader. He has extensive training in marketing & sales and general management from prestigious institutions, including the University of Michigan Business School, Wharton School of Business and Harvard Business School. He earned his B.S. in Biology from Hillsdale College.

Dr. Mueller currently serves as our Executive Vice President, Global Research and Development, and Chief Scientific Officer, a position he assumed in May 2009. Dr. Mueller has been with Vertex since 2003. He is responsible for Vertex's research and development, including clinical and non-clinical development, clinical operations and medical and regulatory affairs for all of Vertex's drug candidates. Prior to joining Vertex, Dr. Mueller was the Senior Vice President, Research and Development, of Boehringer Ingelheim Pharmaceuticals, Inc., with responsibility for the development of all drug candidates in the company’s worldwide portfolio in North America. In the US he also led research programs in the areas of immunology, inflammatory cardiovascular disease and gene therapy on a global basis. During his time with Boehringer Ingelheim, Dr. Mueller oversaw the discovery, development and approval of numerous development candidates and held several positions in basic research, medicinal chemistry and management. Dr. Mueller received both an undergraduate degree and a Ph.D. in chemistry at the Albert Einstein University of Ulm, Germany, where he also holds a Professorship in Theoretic Organic Chemistry. He completed fellowships in quantum pharmacology at Oxford University and in biophysics at Rochester University.

Mr. Sachdev joined Vertex in July 2007 and currently serves as our Senior Vice President, Corporate Affairs and Public Policy. In this role, he leads our corporate communications, government affairs and public policy functions. Mr. Sachdev came from Biotechnology Industry Organization (BIO) where he served as Executive Vice President, Health. At BIO, he was the senior executive responsible for managing BIO’s health policy department and its Governing Board. Mr. Sachdev is the former Deputy Commissioner for Policy at the U.S. Food and Drug Administration (FDA) where he also held several other senior appointments from 2002 to 2005. At FDA, he oversaw the development of all FDA policies, regulations and legislation. From 1998 to 2002, Mr. Sachdev served as Majority Counsel to the Committee on Energy and Commerce in the U.S. House of Representatives. From 1993 to 1997, Mr. Sachdev practiced law, first at the Chemical Manufacturers Association, and then with the law firm of Ropes and Gray. Mr. Sachdev received a B.S from Carnegie Mellon University, and a J.D. from Emory University School of Law.

Mr. Boger currently serves as our Senior Vice President and General Counsel, a position he has held since 2001. He came to Vertex from the law firm of Kirkpatrick & Lockhart LLP, where he was a partner specializing in business and corporate law and a member of the firm’s Management Committee. Mr. Boger holds an A.B. in History from Duke University, an M.B.A. from the Graduate School of Business at the University of Chicago and a J.D. from Boston College Law School. Prior to the merger of Kirkpatrick & Lockhart with the Boston law firm of Warner & Stackpole LLP in 1999, Mr. Boger was a partner at Warner & Stackpole, where he served on its Executive Committee from 1988 to 1997. Mr. Boger served in the United States Army for three years and was honorably discharged with the rank of 1st Lieutenant, following service in Vietnam as the leader of a Mobile Advisory Team working with Vietnamese armed forces.

Mr. Garrison, our Senior Vice President and Catalyst, joined Vertex in December 2005. From June 2001 to December 2005, Mr. Garrison was the founder and President of Bink Inc., a strategic consulting firm. Prior to that, Mr. Garrison spent 18 years as Chairman and CEO of Ingalls, Quinn & Johnson, one of New England’s largest advertising agencies. Mr. Garrison holds a B.A in English from Princeton University. “On the back of my business card, you’ll find a definition of catalyst: A substance that modifies (especially increases) the rate of reaction. One that precipitates a process or event. That’s me. My role is to help people accelerate change and improvements.”

Joshua Boger, Ph.D. founded Vertex Pharmaceuticals in 1989. Dr. Boger was our Chief Executive Officer from 1992 until May 2009. He served in the additional role of Chairman of the Board from 1997 until 2006. Dr. Boger began his industry career at Merck in 1978 and immediately before he founded Vertex was Senior Director of Basic Chemistry at Merck Sharp & Dohme Research Laboratories. Dr. Boger holds a B.A. in chemistry and philosophy from Wesleyan and M.S. and Ph.D. degrees in chemistry from Harvard University.

Majda Benhayoun, Ph.D. is currently Director of Program and Portfolio Management at Vertex Pharmaceuticals and has been working in drug development for the past 3 years. Prior to joining Vertex, Majda worked in Clinical Project Management for more than 15 years, with her first 11 years at Aventis Pharma, previously Rhone-Poulenc Rorer, and then 4 years at PAREXEL International where she held a position of Clinical Project Director. Majda has extensive experience in project management both strategic and operational in early and late stages of drug development in various therapeutic areas, some of them being CNS, inflammation, or immunology. As Clinical Program Manager, Majda has a broad experience in the concepts of clinical trials including planning and execution of clinical trials from single site Phase I to large and complex multinational Phase III trials concluding in NDA/MAA filing.

In 2005, Dr. Cordes became the first person to join our Board of Directors from our Scientific Advisory Board. Dr. Cordes has more than 40 years experience in the pharmaceutical industry as a researcher, executive and strategic advisor. Formerly Chairman of Vitae Pharmaceuticals, Inc., from January 2002 until March 2006. Prior to joining Vitae Pharmaceuticals, Dr. Cordes was a professor of pharmacy at the University of Michigan. Dr. Cordes received a B.S. degree in chemistry from the California Institute of Technology and a Ph.D. in biochemistry from Brandeis University.
