Mark J. Miller is Vice President, Chief Technical Officer, and a co-founder of ViaSat Inc. Mr. Miller is a co-founder ViaSat Inc. and has helped lead the company's rapid growth. Before its initial public offering in 1996, ViaSat was named three times to the Inc. 500 list of fastest growing privately held companies. Since then, the company's continuing superior performance qualified it as one of the BusinessWeek "100 Best Small Corporations," as one of the "200 Best Small Companies in America" by Forbes, and for position number eight on the Business 2.0 list of "100 Fastest Growing Technology Companies." Most recently ViaSat was named to Red Herring magazine's "Small Cap 100" for 2005, recognizing innovative technology and smart business models that nurture growth and profitability. Prior to joining ViaSat, he was a Staff Engineer at M/A-COM Linkabit from 1983 to 1986. From 1982 to 1983 he was employed at Cubic defense Systems in San Diego. Mr. Miller's main technical interests and active work lie in area of modulation, coding, digital signal processing and multiple access techniques. He is the holder of various patents and has taught Satellite Communications through the UCSD extension program. Mr. Miller holds a BSEE degree from the University of California, San Diego and a MSEE degree from the University of California, Los Angeles.

HARVEY P. WHITE has been a director of ViaSat since May 2005. Since June 2004, Mr. White has served as Chairman of (SHW)2 Enterprises, a business development and consulting firm. From September 1998 through June 2004, Mr. White served as Chairman and Chief Executive Officer of Leap Wireless International, Inc. Prior to that, Mr. White was a co-founder of QUALCOMM Incorporated where he held various positions including director, President, and Chief Operating Officer. Mr. White attended West Virginia Wesleyan College and Marshall University where he received a B.A. degree in Economics.

B. ALLEN LAY has been a director of ViaSat since 1996. From 1983 to 2001, he was a General Partner of Southern California Ventures, a venture capital company. From 2001 to the present he has acted as a consultant to the venture capital industry. Mr. Lay is currently a director of Physical Optics Corporation, a privately-held optical systems company; Oncotech, Inc., a privately-held medical diagnostic company; NPI, LLC, a privately-held developer and supplier of proprietary and patentable ingredients for dietary supplements; Luminit, LLC, a privately-held light shaping film company; and Canley Lamps, LLC, a privately-held manufacturer of specialty light bulbs.

Mr. Baldridge came to ViaSat from Raytheon Corporation where he was vice president and general manager of its Raytheon Training Systems division. With over 1,000 employees in the division, his responsibilities included day-to-day management including marketing, legal, and overall management, in addition to finance. Other recent experience includes roles as chief operating officer, CFO, and VP of finance and administration for Hughes Information Systems and Hughes Training Inc., before the divisions were acquired by Raytheon in 1997. Mr. Baldridge also held various senior financial management roles within General Dynamics Corporation. The continuing superior performance of ViaSat has qualified it as one of the BusinessWeek "100 Best Small Corporations," as one of the "200 Best Small Companies in America" by Forbes, and a position on the Business 2.0 list of "100 Fastest Growing Technology Companies" in 2003 and 2004. Most recently ViaSat was named to Red Herring magazine's "Small Cap 100" for 2005, recognizing innovative technology and smart business models that nurture growth and profitability. Mr. Baldridge graduated from New Mexico State University, Las Cruces, New Mexico with a B.S. degree in business administration, with an emphasis in information systems. He serves as a director of Jobs for America's Graduates.

Ronald G. Wangerin is Vice President, Chief Financial Officer of ViaSat Inc. Mr. Wangerin brings a diverse financial background to ViaSat, including two years with a startup company, three years with a subsidiary of Raytheon Company, and nine years with Deloitte & Touche LLP. Most recently, Mr. Wangerin was VP Treasurer, Secretary and CFO at startup NexusData Inc. Prior to that he was VP and CFO at Raytheon Training and also was a senior manager with Deloitte & Touche. During his career Mr. Wangerin has worked at both large and small corporations, in both commercial and government environments. His experience includes international business operations, cash management strategies, Oracle MRP system implementation, and mergers and acquisitions. While a member of Deloitte & Touche, he consulted on Raytheon Company's acquisition of Hughes Electronics Defence Business and Hughes Electronics' acquisition of PanAmSat Corporation. At the University of Southern California, Mr. Wangerin was on the baseball and football teams, including the 1985 PAC-10 and Rose Bowl Champions. He earned a B.S. degree in accounting in 1988 and completed his Masters of Accounting in 1989. He is a member of the California Society of CPAs and the American Institute of CPAs.

Steven R. Hart is Chief Technical Officer, and a co-founder of ViaSat Inc. Mr. Hart is a co-founder ViaSat Inc. and as CTO provides technical direction for product concept development, business development, customer relations, and bid and proposal activities. He has authored numerous technical papers in satellite networking and computer and communications security, and holds patents for inventions in these areas. Mr. Hart has over 20 years of experience in design, development and engineering management for digital communications and networking equipment. Prior to joining ViaSat, Mr. Hart was a staff engineer and manager at M/A-COM Linkabit from 1982 to 1986. As a founding leader of ViaSat, he has helped manage the company to rapid growth. The company's continuing superior performance has qualified it for the BusinessWeek "100 Best Small Corporations," Business 2.0 "100 Fastest Growing Technology Companies", the Red Herring magazine "2005 Small Cap 100", the "200 Best Small Companies in America" by Forbes, and as one of the San Diego Business Journal "Best Places to Work". Mr. Hart was named the 2004 Outstanding Executive by the UCSD Jacobs School of Engineering for his dedication to ensuring the highest quality in education for its students through close ties with San Diego's high tech industry.

James P. Collins is Vice President, Business Development for the Government Systems Division at ViaSat Inc. Mr. Collins has served as vice president, business development for the Government Systems Division at ViaSat since 1988. Prior to joining the Company, Mr. Collins was assistant vice president of M/A-Com Linkabit from 1982 to 1988 and managed a business area involved in strategic communication programs. Mr. Collins was a Director of Marketing at General Dynamics from 1976 to 1982 during which he was involved in the development of the Global Positioning System and with Range Instrumentation systems for US and international military training, test and evaluation applications. Prior to that he served on active duty in the US Army for 10 years. Mr. Collins serves in the US Army Reserve at the rank of Major General and retired in 2005. He holds a BA degree from Hofstra University and an MS degree in Geodetic Science from Ohio State University

Jerry Goodwin is Vice President, Tactical Networking and Information Assurance for ViaSat Inc. Mr. Goodwin joined ViaSat in 1991. Hired as a senior software engineer, he has gone on to serve as program manager, networking and security products systems engineer, and ultimately group VP. This business area develops and produces two distinct product lines: tactical networking products and secure networking products. Mr. Goodwin's involvement in networking and security technologies began shortly after his arrival at ViaSat. He has led development of both tactical networking products and high assurance, secure network products, focusing on introduction of innovative networking and security products to support military and government applications. Programs include the KG-250, THAAD Launcher Encryption Module (TLEM), VIP Crypto (KIV-21), Nato Improved Link Eleven (NILE) including the Link-22 Crypto, Advanced Data Controller for Internet Protocol (ADC/IP), NRL Data and Voice Integration Advanced Technology Demonstration, Embeddable INFOSEC Product (EIP), and JTIDS IP demonstration. Mr. Goodwin holds a B.S. in Physics and Mathematics at Point Loma Nazarene University, and an MSEE from the University of Southern California.

Mr. Agnew is responsible for the Broadband Systems group, which builds high-capacity satellite networking systems that bring economical and efficient broadband to fixed, airborne, and mobile customers. Prior to leading the Broadband group, Mr. Agnew served ViaSat in a number of roles after first joining the company in 1988. He led the Government Broadband group, was program director for development of ViaSat's Multifuntional Information Distribution System(MIDS) Link-16 low volume terminal (LVT) program, and led the team that developed Ka-band terminals and gateways for Astrolink, a proposed global broadband system that was one of the first to develop technology based on spot-beam, Ka-band satellites. As business area director for ViaSat Network Systems he provided strategy and vision for bringing networking products to market serving DoD customers, and co-authored Mil-Std-188-184, the data controller waveform adopted as the standard for packet data over UHF Satcom. Before joining ViaSat, Mr. Agnew worked for MA/COM Linkabit and Comsat Telesystems. During that time he was the project engineer on several US Navy sponsored small business innovative research (SBIR) programs focused on multi-user, multi-media communications, and a system engineer responsible for requirements verification, integration, and test on the Milstar UHF program. Mr. Agnew holds a Bachelor's in Electrical Engineering from The George Washington University and earned his MSEE at the University of California at Berkeley.

Phil Berry is Vice President for Military Satellite Communication at ViaSat Inc. Mr. Berry is currently leading our business area targeted at developing narrowband applications for mobile satellite communications. He has over 15 years experience in design, development and engineering management of commercial and military satellite communication systems. He has been instrumental in ViaSat becoming the leader in supplying UHF Satcom systems and products to the U.S. military, where the company has a 15-year history of market success. This success includes the design and development of modems, terminals, and test and training equipment. ViaSat has supplied nearly 20,000 modem modules used in "manpack" satellite communication terminals as well as airborne, ship, shore and mobile applications. Mr. Berry joined ViaSat when the company was in its formative stages and has been involved in every military SATCOM development in the history of the company. In the 11 years Mr. Berry has been with ViaSat, he not only helped build the company's military SATCOM capability, but was also instrumental in developing the company's first commercial VSAT technology. Mr. Berry holds Bachelor's and Master's Degrees in Electrical Engineering from the University of Michigan.

Jennifer Batty started her career working in International distribution for Great North International, Canada's leading factual Producer and Distributor. She has since worked at Alliance Atlantis International, known worldwide for their CSI franchise developing, co-financing, and selling factual programmes worldwide. She was also Director of Business Affairs and Acquisitions at Discovery Europe for a short time. Jennifer is currently Head of Programming for Pay TV at Viasat, responsible for the branded channels VExplorer, VHistory, VCrime and VNature programming strategy. These channels broadcast into 26 countries in 16 languages across Scandinavia and Eastern Europe. Viasat Broadcasting is part of MTG, Modern Times Group, an international media group with principal broadcasting businesses in Scandinavia, the Baltic States, Hungary and Russia. MTG is the largest Free to Air and Pay TV operator in the Nordic and Baltic regions and the largest commercial radio operator in Northern Europe. Viasat channels reach over 60 million people in 26 countries.

DR. JEFFREY M. NASH has been a director of ViaSat since 1987. From 1994 until 2003, he served as President of Digital Perceptions Inc., a privately-held consulting and software development firm serving the defense, remote sensing, communications, aviation and commercial computer industries. Since September 2003, he has been President and Chairman of Inclined Plane Inc., a privately-held consulting and intellectual property development company serving the defense, communications and media industries. In addition to his role at ViaSat, Dr. Nash serves as a director of two San Diego-based companies: Pepperball Technologies, Inc., a privately-held manufacturer of non-lethal personal defense equipment for law enforcement, security and personal defense applications and REMEC, Inc., which is now in dissolution.
