Vion Pharmaceuticals Inc.

Alan was Entrepreneur of the Year in 1987. He successfully started two companies Rolm/Illinois and ISOETEC Communications Inc. both of which were merged in stepped up transactions for shareholders. He served as Chairman of Executone Information Systems, Inc until 1998 establishing the plan for splitting the company into three distinct operating segments including the creation of the first Internet lottery operation. In January 1999 after serving on the board of Vion Pharmaceuticals, Inc, a cancer research company, Alan was asked as part of a PS Capital consulting assignment to step in as CEO of the company and help guide the development of Vion's unique cancer drug development programs. Alan is an active board member of many public and private companies in the telecommunications, Internet and healthcare fields. With these board positions, he applies his extensive expertise in maximizing shareholder value while developing and executing successful strategies for growth.

Bill assumed overall responsibility for Legg Mason's equity funds management group in late 1990. Prior to this, he co-managed the Legg Mason Value Trust with Ernie Kiehne since its inception in 1982. He was the Director of Research of Legg Mason from October 1981 through June 1985. He earned his economics degree from Washington and Lee University where he graduated with honors in 1972. Subsequent to graduation, he served as a Military Intelligence Officer overseas and then pursued graduate studies in philosophy in the Ph.D. program at The Johns Hopkins University. Prior to joining Legg Mason in 1981, he served as Treasurer of the J.E. Baker Company, a major manufacturer of products for the steel and cement industries. Bill received his CFA designation in 1986. Bill currently serves as Chairman on the Board of Trustees of the Santa Fe Institute, one of the world's leading scientific research laboratories, which conducts multi-disciplinary research in complex systems theory.

Alan C. Sartorelli, Ph.D. has been a director since 1995. Dr. Sartorelli has been an Alfred Gilman Professor of Pharmacology at Yale University School of Medicine since 1967 and Chairman of our Scientific Advisory Board since April 1995. Dr. Sartorelli was Chairman of the OncoRx, Inc. Scientific Advisory Board from May 1993 to April 1995 and director of Yale Comprehensive Cancer Center from 1984 to 1993.

Stephen K. Carter, M.D. has served on our Board of Directors since September 1998. Since 1997, Dr. Carter has been a consultant to the pharmaceutical industry. Dr. Carter was Senior Vice President of Research and Development at Boehringer Ingelheim Pharmaceuticals, Inc. from 1995 to 1997. Prior to joining Boehringer, Dr. Carter was Senior Vice President of Worldwide Clinical Research and Development at Bristol-Myers Squibb Company. From 1976 to 1982, Dr. Carter served as Director of the Northern California Cancer Program. Dr. Carter was also appointed to President Clinton's panel for AIDS drug development. Dr. Carter is a director of Allos Therapeutics, Alfacell Corporation, Emisphere Technologies, Inc. and Vion Pharmaceuticals Inc. and several privately held companies. Dr. Carter received an A.B. in History from Columbia College and an M.D. degree from New York Medical College. He completed a medical internship and residency at Lenox Hill Hospital.
