Joseph W. Saunders was named Chairman and Chief Executive Officer of Visa Inc. in May 2007 after having been designated Executive Chairman in February 2007. Prior to this role, he served Visa International as Executive Chairman of the transition governance committee and officially began serving as Chairman and Chief Executive Officer of Visa Inc. upon its formation in May 2007. Prior to joining Visa International, he served as President of Card Services for Washington Mutual, Inc. since the acquisition of Providian Financial Corporation in October 2005. Mr. Saunders was President and Chief Executive Officer of Providian from November 2001, and Chairman of the board of directors from May 2002, until Washington Mutual’s acquisition of Providian in 2005. From 1997 until 2001, Mr. Saunders served as Chairman and Chief Executive Officer of Fleet Credit Card Services at FleetBoston Financial Corporation. Mr. Saunders served as a member of the board of directors of Visa U.S.A. from October 2002 to February 2007 and Visa International from October 2005 to February 2007, when he resigned from the boards of directors of Visa U.S.A. and Visa International to take the Executive Chairman position of the Visa transition governance committee. From 1993 to 1997, while Mr. Saunders was at Household Finance Corporation, he served as a member of the boards of directors of MasterCard International Inc. and MasterCard U.S.A., and was elected Chairman of MasterCard International’s board of directors in 1996. He holds a Bachelor of Science degree in Business Administration and a Master of Business Administration degree, both from the University of Denver.

David Lee was appointed President of the Asia Pacific region in October 2008. In this role, David oversees regional strategy and development and is responsible for leading Visa's businesses in 36 widely diverse markets, stretching from Japan to New Zealand and across the region to India. Lee joined Visa in 1985 from international accounting firm Peat Marwick Mitchell & Co. He has held a number of roles within Visa, most recently serving as Chief Operating Officer since 2007. As COO, he was responsible for strategy, planning, human resources, client support, systems, financial operations and administration in Asia Pacific at a time when the company worked to strengthen its leadership in the region. Lee was educated in Singapore and in 2003, graduated from the Harvard Business School's Advanced Management Program. He serves as a director of the National Library Trust Board, the Singapore Management University School of Accountancy Advisory Board, and the Naval Base School Advisory Board - his alma mater.

Eduardo Eraña has been president of the Latin America and Caribbean region since February 2002. Eraña joined Visa in 1984 as executive vice president and became president of Visa Mexico in 1997. Eraña's professional career in the banking industry spans more than two decades. For 17 years he held various positions at the Mexican bank Bancomer, including senior vice president in charge of the Corporate Division and executive vice president and director of Credit Card Operations. During his four years as director of credit card operations at Bancomer, Eraña served as a member of the board of directors for Visa Latin America and Caribbean and represented the Latin America region on the Visa International board of directors. Eraña has a B.S. in Accounting from the Universidad Autónoma de Mexico.

As President of Visa Inc., Hans Morris is responsible for the company's income-generating businesses. In this capacity, he leads Visa Inc.'s five geographic operating regions, including all sales and marketing functions. Morris oversees Visa Inc.'s relationships with card issuers, merchants, merchant acquirers and third-party processors. In addition, he is accountable for managing the Visa brand, one of the most recognized consumer brands in the world and the most recognized global financial services brand. All Visa Inc. regional presidents and client services organizations report to Morris, as does Visa Inc.'s global chief marketing officer. Morris reports directly to Visa Inc.'s chairman and chief executive officer, Joe Saunders, and serves on Visa Inc.'s executive management committee. From November 2002 until joining Visa Inc. in July 2007, Morris served as chief financial officer of Citi Markets & Banking (CMB), the capital markets, banking and transaction services business of Citigroup. In this capacity, he was responsible for finance, operations and technology for CMB. Prior to this role, he served in positions of increasing responsibility with Salomon Smith Barney and its predecessor companies for 22 years, including most recently as vice chairman and chief operating officer of the Salomon Smith Barney Investment Banking Division, from March 2000 to November 2002. Morris received a B.A. degree from Dartmouth College.

Marc Luet is president of Central & Eastern Europe, Middle East and Africa (CEMEA) for Visa Inc. He is responsible for continuing to grow Visa Inc.'s business throughout the region, overseeing strategy and development. Luet has 20 years of international banking and payments experience with a strong focus on client service and strategic business development. He joined Visa from Fortis Group, a banking and insurance company based in Brussels, Belgium. At Fortis, he served as a member of the business executive committee and led the company's international retail and consumer finance unit. Luet was responsible for the successful expansion of Fortis' consumer finance business from the Benelux region into Germany, Poland and Ireland. Prior to Fortis, Luet served on the executive committee at Egg Banking PLC in the U.K. and spent 12 years in Citigroup's retail banking division. At Citigroup, he helped to launch the bank's credit card business in France and led operations and technology in Canada. Luet was promoted to CEO of Citigroup's Retail Banking unit in Hungary and then CEO of Citibank SA/NV in Belgium. Luet has a B.S.c. in economics from the Pantheon Sorbonne University (Paris-I) and is a graduate from Institut d'Etudes Politiques de Paris. He earned his M.B.A. from the Tuck School of Business Administration at Dartmouth College.

Antonio Lucio is the chief marketing officer and will direct all branding and marketing activities for Visa Inc. Lucio has more than 25 years of global marketing and brand management experience, earned at some of the world's most successful consumer packaged goods companies including PepsiCo, Kraft General Foods, RJR Foods International and Procter & Gamble. Most recently he was chief innovation and health and wellness (H&W) officer for PepsiCo. Lucio earned a bachelor's degree in history from Louisiana State University in 1981. He was born in Spain, raised in Puerto Rico and educated in the United States. Lucio is fluent in English, Spanish and Portuguese.

John Partridge is the chief operating officer (COO) of Visa Inc. As COO, he has day-to-day responsibility for five areas of the company's continuing business operations, with the global heads of the product, information and systems technology, operations, corporate relations, and customer service departments reporting into him. Prior to this role, Partridge was Inovant's first president and chief executive officer. Under Partridge's leadership, Inovant developed a reputation for customer service. He led major efforts to reorganize Inovant, diversify the organization's corporate footprint to include remote development centers, create new centers of excellence for emerging technologies and e-commerce, and examine alternative processing approaches for the global marketplace. Before joining Visa, Partridge was the senior vice president of program management and chief information officer for UNUM Corporation, a disability insurance company in Portland, Maine. At UNUM, Partridge had enterprise-wide responsibility for managing technological capability. Before joining UNUM, Partridge managed all systems, operations and consumer banking for Banco de Credito del Peru in Lima. His earlier career included 10 years with Wells Fargo Bank. Partridge has a B.S. in economics from the University of California, Berkeley.

Michael L. Dreyer is the chief information officer (CIO) of Visa Inc. and is responsible for Visa Inc.’s systems and technology platforms and for supporting the business demands of the company. This includes developing Visa’s global technology and open systems as well as providing transaction services and project management for all technology-related programs. Previously, Dreyer was CIO of Inovant, where he oversaw the development and management of Visa’s global systems technology. Named to the position in July 2005, Dreyer was responsible for application planning, architecture and development in four core areas: Transaction Services, Access and Delivery, Information Services, and Program Management Office/Open Systems. Prior to becoming CIO of Inovant, Dreyer served as Visa U.S.A.’s senior vice president of Processing & Emerging Products, developing products and services to provide Visa with competitive differentiation in the marketplace. Prior to that position, as senior vice president of Commercial Solutions for Visa U.S.A., Dreyer oversaw product development and management for the large corporate, middle market, public sector, small business and business-to-business e-commerce segments. Before joining Visa in 1998, Dreyer was vice president of the Electronic Commerce Center of Excellence for American Express Travel Related Services. While there, he was responsible for coordinating all smart card and Internet activity for several business units. Additionally, Dreyer has held senior positions at Prime Financial, Inc., Federal Deposit Insurance Corporation, Downey Savings, Bank of America and the Fairmont Hotel Management Company. Dreyer received an M.B.A. with an emphasis in marketing and finance and a B.A. in psychology from Washington State University.

Tom M'Guinness is the chief corporate counsel of Visa Inc. He is responsible for all of the company's transactional and corporate legal affairs, including SEC compliance, M&A activity, intellectual property portfolio management, commercial contracts, product development, network operations, marketing and sponsorships. Previously, M'Guinness was general counsel and corporate secretary for Visa International, where he was responsible for developing and executing global and corporate legal strategy and for coordinating legal efforts among Visa's six operating regions. M'Guinness joined Visa in 1997 as staff counsel and subsequently held vice president and senior vice president positions within the Visa International legal department. From 2002 to 2004, he was executive vice president, general counsel and chief financial officer for Visa's Latin America and Caribbean region. Prior to joining Visa, M'Guinness was a corporate attorney for the law firm of Graham & James, LLP, focusing on corporate formation and financing, governance and business transfers for clients ranging from startups to global enterprises. Before this, he was an accountant with Arthur Young & Co., focusing on tax compliance. M'Guinness earned his B.S. in business administration from the University of California, Berkeley and J.D. from the University of California, Davis. He has passed the Uniform Certified Public Accountant examination and is a member of the California State Bar.

Victoria Hyde-Dunn is Director of Investor Relations for Visa Inc., the world's largest retail electronic payments network. Prior to joining Visa, Victoria spent two years as Senior Manager of Investor Relations for McAfee, Inc., the world's largest dedicated security technology company. Prior to McAfee, Victoria served as Manager of Investor Relations for Providian Financial, one of the leading credit card issuers in the United States. Victoria spent six years at Providian Financial (acquired by Washington Mutual in October 2005), three of which as an integral member of the company's award-winning Investor Relations team. Earlier in her career, Victoria held various treasury, financial analyst and marketing roles with privately held multi-national firms. Victoria received a BA degree in Finance and MBA degrees in Marketing and E-business from the University of San Francisco. Victoria is a member of the NIRI San Francisco and Silicon Valley chapters. Victoria has served on the Board of Directors of the National Investor Relations Institute (NIRI) Silicon Valley Chapter for two years, including her current role as VP Seminars.

Doug Michelman leads the global corporate relations function for Visa Inc. and oversees all corporate relations activities at Visa Inc., including global media relations, industry analyst relations, public affairs, issues management and stakeholder communications to financial institution partners, merchants and employees. He is responsible for developing and executing communication programs that support Visa Inc.'s brand, marketing, product and technology strategies as well as supporting executive and digital communication strategies. Michelman joined Visa U.S.A. as executive vice president of corporate relations in January 2003. As steward of the corporation's reputation, Michelman served as the chief communications strategist for Visa U.S.A. Prior to joining Visa, Michelman served as regional president and senior partner at Fleishman-Hillard. In this position, he managed Fleishman-Hillard's West Coast operations and oversaw the company's collective technology communications resources as CEO of Fleishman-Hillard Technology Consulting Worldwide (TCW). During the course of his career, Michelman has developed corporate and investor relations communications programs, counseled clients on crisis communications and directed corporate image campaigns. In addition to various roles within Fleishman-Hillard both in the U.S. and internationally, Michelman's extensive communications experience also includes staff positions in the press office for two presidential campaigns and work as an associate producer for local and national television news programs. Michelman earned a B.A. in political science from Duke University in North Carolina.

Ellen Richey joined Visa Inc. as the global head of Enterprise Risk in September 2007. Prior to joining Visa Inc., she most recently worked at Washington Mutual Inc., as senior vice president of enterprise risk management and executive vice president of cards services, from October 2005 to June 2006. From October 1999 to October 2005, she served as vice chairman of Providian Financial Corporation. At Providian, she also served as the vice chairman of enterprise risk management and chief legal officer from 2003 to 2005, general counsel from 1999 to 2003, chief enterprise risk officer from 2004 to 2005 and corporate secretary from 1999 to 2005. Richey received a B.A. in Linguistics and Far Eastern Languages from Harvard University and a J.D. degree from Stanford Law School.

Jack Carsky is the head of global investor relations for Visa Inc., with responsibility for all communications with the investment community, including quarterly earnings reports and managing relationships with both sell-side research analysts and buy-side institutional investors. Carsky has very strong experience in the Investor Relations function. From 1998 until he joined Visa in August 2007, he held leadership roles in Investor Relations at Providian Financial and subsequently Washington Mutual which merged with Providian in 2005. Prior to Providian/WaMu, Carsky worked at The American Stock Exchange where he was in charge of listed-company investor relations programs. Earlier in his career, Carsky worked for several firms in the areas of investor relations; corporate governance; and proxy consulting. Carsky received his BS in Economics from the University of Minnesota.

Josh Floum serves as the general counsel and corporate secretary of Visa Inc. He has primary responsibility for advising Visa Inc.’s management and board of directors on legal matters. This includes overseeing litigation and competitive legal issues; corporate governance issues; global government relations; and regulatory matters. Floum serves on Visa Inc.’s executive management committee and reports to Visa Inc.’s chief executive officer. Previously, Floum was executive vice president, general counsel and secretary for Visa U.S.A., responsible for advising Visa U.S.A. management and the board of directors on legal matters. Floum was appointed to this position in January 2004 and served as a member of the Visa U.S.A. executive management committee. Before joining Visa U.S.A., Floum served as chairman of the California litigation practice for the law firm of Holme, Roberts & Owen, where he specialized in antitrust and competition law, intellectual property, bankcard and banking practices, and telecommunications law. Prior to this, Floum was a senior partner in the law firms of Heller Ehrman White & McAuliffe and Legal Strategies Group, and served in the Federal District Court as judicial law clerk to the Honorable A. Wallace Tashima. Floum received his bachelor’s degree with dual majors in international economics and in political science from the University of California, Berkeley and his J.D. from Harvard Law School. He is a longstanding member of the Lawyer’s Committee for Civil Rights and a senior legal advisor to Earth Island Institute, a nonprofit conservation organization. Floum has published extensively in the areas of intellectual property, international law and wildlife conservation. He is a member of the bars of the United States and California Supreme Courts, as well as the bars of numerous federal trial and appellate courts throughout the country.

Rick Leweke is global head of human resources for Visa Inc. In this role, Leweke is responsible for managing all human resources functions in the organization, including talent management, staffing, compensation and employee relations, as well as developing effective retention, diversity and performance management strategies. Prior to joining Visa in June 2007, Leweke was vice chairman and chief human resources officer at Providian, where he was in charge of corporate-wide human resources and facilities. Subsequent to the acquisition of Providian by Washington Mutual in October 2005, he served as executive vice president of human resources for Washington Mutual card services. Before joining Providian in January 2003, Leweke was executive vice president of human resources and administrative services at California Federal Bank. Previously, Leweke held various human resource management positions at Ford Motor Company over a 16-year period. Leweke earned his M.B.A. from Michigan State University and a B.A. from Alma College.

Rupert Keeley is the Global Head of Strategy and Corporate Development for Visa Inc., with responsibility for setting our global corporate strategy and leading our strategic merger and acquisition activity. Previously he was President of the Asia Pacific region from May 2000 to September 2008, responsible for leading Visa's businesses in 36 countries. Prior to that, he served as Executive Vice President, Finance, Administration and Marketing for Visa International, from Visa's global headquarters in California. Before joining Visa International in February 1999, Keeley held a number of senior management positions with Standard Chartered plc based in London, Singapore and the Middle East, including as Group Head of Marketing and Planning for the bank's global consumer businesses, Chief Executive of Bahrain and Gulf Head of Consumer Banking. Prior to joining Standard Chartered, he worked for Girobank plc in London. Keeley holds an MBA from the City University Business School in London and a B.Sc. (Hons) in Management Sciences from the University of Manchester, England.

Tim Wilson is the head of Visa's Canada region. Wilson joined Visa two years ago as Canada's senior vice president, Strategy, Finance and Administration. In this role, he was active in shaping the Canada region's strategic direction as part of an ongoing and focused evaluation of Visa's operations, structure, governance and business strategy. More recently, Wilson was appointed head of Sales, which allowed him to focus on strengthening key business relationships. He brings an excellent knowledge of the Canadian marketplace, strong relationships and a solid background in business, strategy and finance. Prior to joining Visa, Wilson was a vice president of Finance at CIBC, working with the retail distribution, President's Choice, marketing, and deposit businesses. Prior to that, Wilson was a management consultant at The Monitor Group, serving clients in a variety of industries, including financial services, across North America and was a manager at Ernst & Young in Toronto. Wilson received a B.Comms. from Queen's University, a C.A. designation, and an M.B.A. from Harvard.

Una Somerville is the global head of customer service and implementation for Visa Inc. In this role, she leads client service, customer implementation services, franchise management and Visa Customer Care Services. Somerville oversees global support, with a local market focus, to Visa Inc. stakeholders around the world, including financial institutions, merchants, processors and cardholders. This includes managing Visa's contact center operations, which offer a variety of global and domestic services for Visa cardholders. The group also provides a variety of implementation and project management support functions, including the semiannual VisaNet business release, rollout of new products/services and deployment of VisaNet and Visa Debit Processing services. In addition, she is also accountable for global operating regulations. Somerville was previously executive vice president of customer service and implementation for Visa U.S.A., and also held executive management roles with Inovant. During her more than 25-year career with Visa, Somerville also held a variety of management positions within Visa International, including global product management and international policies.

Charles W. Scharf has served as a director of Visa Inc. since October 2007. Mr. Scharf served as a director of Visa U.S.A. from May 2003 to October 2007. Mr. Scharf has served as Chief Executive Officer of Retail Financial Services at JPMorgan Chase & Co. since July 2004 and Chief Executive Officer of the retail division of Bank One Corporation from May 2002 to July 2004. Prior to this, he was Chief Financial Officer/Executive Vice President at Bank One Corporation from 2000 to 2002, Chief Financial Officer of the Corporate and Investment Bank division at Citigroup, Inc. from 1999 to 2000 and Chief Financial Officer at Salomon Smith Barney and its predecessor company from 1995 to 1999. Mr. Scharf was also a director of Travelers Property Casualty Corporation from September 2002 to September 2005. He holds a Bachelor of Arts degree from Johns Hopkins University and a Master of Business Administration degree from New York University.
