Oleg Khaykin joined Zarlink's Board of Directors in November 2007 and brings proven expertise in building and growing high technology companies. Mr. Khaykin is Chief Executive Officer with International Rectifier, a pioneer and world leader in advanced power management technology, from digital, analog and mixed-signal ICs to advanced circuit devices, power systems and components. Previously, Mr. Khaykin was Executive Vice President and Chief Operating Officer with Amkor Technology, a leading provider of advanced semiconductor assembly and test services. Over his career with Amkor, Mr. Khaykin has been responsible for the company's sales, marketing, research and development and manufacturing operations as well as corporate development, mergers and acquisitions, and intellectual property initiatives. Prior to joining Amkor, Mr. Khaykin was the Vice President of Strategy and Business Development for Conexant Systems Inc./Mindspeed, a company that designs, develops and sells semiconductors for networking applications. Mr. Khaykin also spent eight years with The Boston Consulting Group, a strategic consulting firm. Mr. Khaykin began his career as a senior development engineer and product manager with Motorola. Mr. Khaykin earned a B.S. in Electrical and Computer Engineering with High University Honors from Carnegie Mellon University and an M.B.A. from Northwestern University's J.L. Kellogg Graduate School of Management.

Scott joined Zarlink Semiconductor in May 2003. He is responsible for the company's corporate finance strategy and the fulfillment of financial control, taxation, treasury, and other financial activities. Prior to joining the company, Scott was Vice President, Finance and Administration with UUNet Canada, now MCI Canada. He led a number of initiatives that helped to increase revenues and improve profit margins. From 1993 to 2000, Scott was with the Pepsi Bottling Group. He served as Director of Planning in Toronto, and then Director of Finance and Business Unit Chief Financial Officer of Pepsi's Great West Business Unit in Denver.

With more than 22 years of expertise in managing and marketing semiconductor technology, with specific focus on fast-growing Asian markets, Jeff is a veteran executive with a proven track record of success. He is responsible for managing global sales and marketing for Zarlink's complete product line. Jeff joined the company in early 2005, and brings extensive experience to his position. Most recently, Jeff consulted to technology start-up companies in Asia and Canada, where he helped build R&D organizations and implement successful business and marketing initiatives. Previously, Jeff was co-founder and executive VP of marketing and sales with Opciel Technology of Taiwan, a private semiconductor company that designs and manufactures chips that support video-on-demand and voice-over-IP services for fiber-to-the-home networks. Jeff played a lead role in founding the company and securing venture capital investments and significant contracts with major Japanese customers. Jeff began his high-technology career with Mitel Semiconductor in 1981, and held senior engineering, marketing and management roles. From 1989-2001, Jeff was managing director and vice president of the company's operations in Asia Pacific, where he was instrumental in establishing the company's regional presence and developing relationships with key Asian accounts. Jeff earned a diploma in Electrical Engineering from Ryerson University and studied computer science at Carleton University. Well known in the industry, he has been a featured conference speaker on technology and business development issues specific to Asia. Jeff is based in Zarlink's Singapore office.

"J. Spencer Lanthier is a distinguished board member and contributor with some of Canada's leading corporations and community organizations. He joined Zarlink's Board of Directors in May 2003. Mr. Lanthier enjoyed a 39-year career with KPMG Canada, serving as Chairman and CEO of the firm's Canadian operations from 1993 until he retired in 1999. Financial Post Magazine repeatedly named him one of Canada's Top 200 CEOs. A recipient of the Order of Canada, Mr. Lanthier is currently a Director of the Boards of the TSX Group, Inc., Bank of Canada, Torstar Corporation, Ellis-Don Inc., BCE Emergis, Gerdau Ameristeel Inc. and Biovail. He is also active with the United Way, Goodwill Industries, The University of Toronto, and the London Health Sciences Foundation. Educated at McGill University, Mr. Lanthier received an honorary Doctor of Law from the University of Toronto in 2002. "

Mr. Chowaniec is the Chairman, past Chief Executive Officer and co-founder of Tundra Semiconductor Corporation. Tundra designs, develops, and markets system interconnects used by the world?s leading communications infrastructure equipment companies. Dr. Chowaniec currently serves on the following boards: IceFyre Semiconductor Corporation, SiberCore Technologies Inc., and BelAir Networks. Dr. Chowaniec is the Chair of the Information Technology Association of Canada (ITAC) Board of Directors.

Kirk Mandy was appointed President and Chief Executive Officer of the Company on February 17, 2005. Mr. Mandy has more than 25 years of experience in the telecommunications industry, and has played an important role in shaping Zarlink as a pure-play semiconductor company. He has served as Vice-Chairman of Zarlink's Board of Directors from July 2001 to February 2005, relinquishing that position upon his appointment as President and CEO. Over a distinguished career with Mitel Corporation spanning 15 years, Mr. Mandy held increasingly senior roles, culminating in the position of President and CEO from 1998 to 2001. He oversaw Mitel's strategic decision to focus on semiconductors, and the subsequent divestiture of the Business Communications Systems (BCS) division. Mr. Mandy is also a member of the board of Epocal, Mitel Networks, and Chairman of The Armstrong Monitoring Corporation. He has served on the Board of the Strategic Microelectronics Corporation (SMC), the Canadian Advanced Technology Association (CATA), The Canadian Microelectronics Corp. (CMC), The Ottawa Center for Research and Innovation (OCRI), and Micronet. He is also past Chairman of the Telecommunications Research Center of Ontario (TRIO), past Co-Chairman of the National Research Council's Innovation Forum, and past Co-Chairman of the Ottawa Partnership. Mr. Mandy is a graduate of Algonquin College in Ottawa.
